7.3.5. The terms of office for members of the Council shall be determined<br />

after due consultation with stakeholders.<br />

7.4. The Constitution of the Council, the Codes of Business Ethics<br />

and Corporate Governance<br />

7.4.1. A constitution for the Council must be formulated within 60 working<br />

days of the Council being established.<br />

7.4.2. The constitution of the Council may be amended from time to time<br />

after consultation with the Council.<br />

7.4.3. The Council may, by resolution, formulate rules to further regulate<br />

its proceedings.<br />

7.5. Eligibility of Council Members<br />

7.5.1. A person may not be appointed or continue as a Council member if<br />

such a person:<br />

7.5.1.1. is an unrehabilitated insolvent; or<br />

7.5.1.2. is of unsound mind, or is subject to an order of a competent<br />

court declaring such person to be mentally ill or mentally<br />

disordered; or<br />

7.5.1.3. has at any time been removed from an office of trust on<br />

account of misconduct; or<br />

7.5.1.4. or has been found guilty in terms of the Prevention of<br />

Corruption Act.<br />

7.6. Funding of the Council<br />

7.6.1.1. The Council shall be primarily funded by the <strong>ICT</strong> sector and<br />

may raise funding through other mechanisms that may be<br />

deemed appropriate from time to time. The funding<br />

mechanism should ensure cross-subsidisation or exemption<br />

of SMMES.<br />

7.6.1.2. It is submitted that National Treasury also make a<br />

contribution to the Council from the government funds<br />

reportedly earmarked for BBBEE.<br />
