3. Shri Ashhok Kumar Jain, who was appointed as part-time non-official Director on the Board of RINL with<br />

effect from 14 th May <strong>2012</strong> by the President of India vide Order No. 1(1)/2009-VSP, dt.14 th May <strong>2012</strong><br />

issued by Ministry of <strong>Steel</strong>. He joined in the Company as additional Director on 14 th May <strong>2012</strong><br />

The Company has received a notice in writing from a Member pursuant to the provisions Section 257 of<br />

the Companies Act, 1956, signifying intention to propose Shri Ashhok Kumar Jain part-time non-official<br />

Director of the Company.<br />

Shri Ashhok Kumar Jain, aged 60 years, is a Fellow Associate of the Institute of Chartered Accountants<br />

of India since 1976. He has more than 34 years of experience as an Income Tax practitioner. He is a<br />

senior partner in the Chartered Accountant firm of Jain Kapila Associates, Chartered Accountants.<br />

None of the Directors except Shri Ashhok Kumar Jain is interested or concerned in the Resolution.<br />

The Board of Directors considers that in view of the background and experience of Shri Ashhok Kumar<br />

Jain, it would be in the interest of the Company to appoint him as part-time non-official Director of the<br />

Company. The Board recommends the Resolution <strong>for</strong> your approval.<br />

4. Professor Sushil, who was appointed as part-time non-official Director on the Board of RINL with effect<br />

from 14 th May <strong>2012</strong> by the President of India vide Order No. 1(1)/2009-VSP, dt.14 th May <strong>2012</strong> issued by<br />

Ministry of <strong>Steel</strong>. He joined in the Company as additional Director on 14 th May <strong>2012</strong>.<br />

The Company has received a notice in writing from a Member pursuant to the provisions Section 257 of<br />

the Companies Act, 1956, signifying intention to propose Prof. Sushil part-time non-official Director of<br />

the Company.<br />

Prof. Sushil, aged 55 years, is a Bachelor of Engineering Degree in Mechanical Engineering from Madhav<br />

Institute of Technology and Sciences, Jiwaji University, Gwalior and a Master in Technology Degree in<br />

Industrial Engineering from Indian Institute of Technology, Delhi. He has a Doctor of Philosophy Degree<br />

from Indian Institute of Technology, Delhi in Systems Modelling of Waste Management in National Planning.<br />

He has 24 years of experience as a professor. Prof. Sushil is currently a professor in Indian Institute of<br />

Technology, New Delhi and is also a visiting/adjunct professor in various other institutions. He has authored<br />

publications on topics like core competence and flexibility in strategic <strong>for</strong>mulation and flexible enterprise<br />

<strong>for</strong> global business. He became the Director of our Company from May 14 th . <strong>2012</strong>.<br />

None of the Directors except Prof. Sushil is interested or concerned in the Resolution.<br />

The Board of Directors considers that in view of the background and experience of Prof. Sushil, it would<br />

be in the interest of the Company to appoint him as part-time non-official Director of the Company. The<br />

Board recommends the Resolution <strong>for</strong> your approval.<br />
