enforce the agreement to arbitrate, (ii) seek provisional injunctive relief so as to maintain the<br />

status quo until the arbitration award is rendered or the dispute in otherwise resolved, or to<br />

otherwise prevent irreparable harm, (iii) avoid the expiration of any applicable limitation period,<br />

(iv) preserve a superior position with respect to creditors, or (v) challenge or vacate any final<br />

decision or award of the arbitration panel that does not comport with the express provisions of<br />

CP.<br />

9.14 Governing Law<br />

The laws of the Commonwealth of Massachusetts and the federal laws of the United States<br />

shall govern the enforceability, construction, interpretation, and validity of this CP, without<br />

regard to its rules on choice of law. Agreements incorporating the CP by reference may have<br />

their own governing law provisions, provided that this Section 9.14 governs the enforceability,<br />

construction, interpretation, and validity of the terms of the CP separate and apart from the<br />

terms of such other agreements.<br />

9.15 Compliance with Applicable Law<br />

This CP and any confidential business and personal information that may be shared pursuant to<br />

its terms is subject to applicable national, state, local and foreign laws, rules, regulations,<br />

ordinances, decrees, and orders including, but not limited to, restrictions on exporting or<br />

importing software, hardware, or technical information. In no event will any information made<br />

available pursuant to this CP be disclosed in any manner to the national of any country where<br />

such disclosure is prohibited by applicable United States law or regulation or to any Foreign<br />

Person (as defined in Section 120.16 of the International Traffic in Arms Regulations) without<br />

<strong>Raytheon</strong>’s express written consent and after obtaining necessary export licenses.<br />

9.16 Miscellaneous Provisions<br />

9.16.1 Entire Agreement<br />

No stipulation.<br />

9.16.2 Assignment<br />

Except where specified by other contracts, no party may assign or delegate this CP or any of its<br />

rights or duties under this CP, without the prior written consent of the other party (such consent<br />

not to be unreasonably withheld, except that <strong>Raytheon</strong> may assign and delegate this CP to any<br />

party of its choosing.<br />

9.16.3 Severability<br />

If any provision of this CP is held to be invalid by a court of competent jurisdiction, then the<br />

remaining provisions will nevertheless remain in full force and effect until the CP is updated.<br />

The process for updating this CP is described in section 9.12.<br />

9.16.4 Waiver of Rights<br />

No waiver of any breach or default or any failure to exercise any right hereunder shall be<br />

construed as a waiver of any subsequent breach or default or relinquishment of any future right<br />

to exercise such right. The headings in this CP are for convenience only and cannot be used in<br />

interpreting this CP.<br />

9.16.5 Force Majeure<br />

<strong>Raytheon</strong> shall not be liable for any failure or delay in its performance under this CP due to<br />

causes that are beyond its reasonable control, including, but not limited to, an act of God, act of<br />
