37.1 It is the Bank’s policy to require that Borrowers (<strong>in</strong>clud<strong>in</strong>g beneficiaries of Bank loans), as well as bidders,suppliers, and contractors and their subcontractors under Bank-f<strong>in</strong>anced contracts, observe the highest standard ofethics dur<strong>in</strong>g the procurement and execution of such contracts. 1 In pursuance of this policy, the Bank:(a)def<strong>in</strong>es, <strong>for</strong> the purposes of this provision, the terms set <strong>for</strong>th below as follows:(i) “corrupt practice” 2 is the offer<strong>in</strong>g, giv<strong>in</strong>g, receiv<strong>in</strong>g or solicit<strong>in</strong>g, directly or <strong>in</strong>directly, ofanyth<strong>in</strong>g of value to <strong>in</strong>fluence improperly the actions of another party;(ii)(iii)“fraudulent practice” 3 is any act or omission, <strong>in</strong>clud<strong>in</strong>g a misrepresentation, that know<strong>in</strong>gly orrecklessly misleads, or attempts to mislead, a party to obta<strong>in</strong> a f<strong>in</strong>ancial or other benefit or toavoid an obligation;“collusive practice” 4 is an arrangement between two or more parties designed to achieve animproper purpose, <strong>in</strong>clud<strong>in</strong>g to <strong>in</strong>fluence improperly the actions of another party;(iv) “coercive practice” 5 is impair<strong>in</strong>g or harm<strong>in</strong>g, or threaten<strong>in</strong>g to impair or harm, directly or<strong>in</strong>directly, any party or the property of the party to <strong>in</strong>fluence improperly the actions of a party;(v)"obstructive practice" is(aa)(bb)deliberately destroy<strong>in</strong>g, falsify<strong>in</strong>g, alter<strong>in</strong>g or conceal<strong>in</strong>g of evidence material to the<strong>in</strong>vestigation or mak<strong>in</strong>g false statements to <strong>in</strong>vestigators <strong>in</strong> order to materially impede aBank <strong>in</strong>vestigation <strong>in</strong>to allegations of a corrupt, fraudulent, coercive or collusive practice;and/or threaten<strong>in</strong>g, harass<strong>in</strong>g or <strong>in</strong>timidat<strong>in</strong>g any party to prevent it from disclos<strong>in</strong>g itsknowledge of matters relevant to the <strong>in</strong>vestigation or from pursu<strong>in</strong>g the <strong>in</strong>vestigation; oracts <strong>in</strong>tended to materially impede the exercise of the Bank’s <strong>in</strong>spection and audit rightsprovided <strong>for</strong> under sub-clause 3.1 (e) below.(b)(c)(d)(e)will reject a proposal <strong>for</strong> award if it determ<strong>in</strong>es that the bidder recommended <strong>for</strong> award has, directly orthrough an agent, engaged <strong>in</strong> corrupt, fraudulent, collusive, coercive or obstructive practices <strong>in</strong>compet<strong>in</strong>g <strong>for</strong> the contract <strong>in</strong> question;will cancel the portion of the loan allocated to a contract if it determ<strong>in</strong>es at any time that representativesof the Borrower or of a beneficiary of the loan engaged <strong>in</strong> corrupt, fraudulent, collusive, or coercivepractices dur<strong>in</strong>g the procurement or the execution of that contract, without the Borrower hav<strong>in</strong>g takentimely and appropriate action satisfactory to the Bank to address such practices when they occur;will sanction a firm or <strong>in</strong>dividual, <strong>in</strong>clud<strong>in</strong>g declar<strong>in</strong>g <strong>in</strong>eligible, either <strong>in</strong>def<strong>in</strong>itely or <strong>for</strong> a stated periodof time, to be awarded a Bank-f<strong>in</strong>anced contract if it at any time determ<strong>in</strong>es that the firm has, directly orthrough an agent, engaged <strong>in</strong> corrupt, fraudulent, collusive, coercive or obstructive practices <strong>in</strong>compet<strong>in</strong>g <strong>for</strong>, or <strong>in</strong> execut<strong>in</strong>g, a Bank-f<strong>in</strong>anced contract; andwill have the right to require that a provision be <strong>in</strong>cluded <strong>in</strong> bidd<strong>in</strong>g documents and <strong>in</strong> contractsf<strong>in</strong>anced by a Bank loan, requir<strong>in</strong>g bidders, suppliers, and contractors and their sub-contractors topermit the Bank to <strong>in</strong>spect their accounts and records and other documents relat<strong>in</strong>g to the bidsubmission and contract per<strong>for</strong>mance and to have them audited by auditors appo<strong>in</strong>ted by the Bank.1In this context, any action taken by a bidder, supplier, contractor, or a sub-contractor to <strong>in</strong>fluence theprocurement process or contract execution <strong>for</strong> undue advantage is improper.2“another party” refers to a public official act<strong>in</strong>g <strong>in</strong> relation to the procurement process or contractexecution]. In this context, “public official” <strong>in</strong>cludes World Bank staff and employees of other organizations tak<strong>in</strong>gor review<strong>in</strong>g procurement decisions.3a “party” refers to a public official; the terms “benefit” and “obligation” relate to the procurement processor contract execution; and the “act or omission” is <strong>in</strong>tended to <strong>in</strong>fluence the procurement process or contractexecution.4“parties” refers to participants <strong>in</strong> the procurement process (<strong>in</strong>clud<strong>in</strong>g public officials) attempt<strong>in</strong>g to establishbid prices at artificial, non competitive levels.5a “party” refers to a participant <strong>in</strong> the procurement process or contract execution.19
