To implement best corporate governance practices
and appropriately consolidate shares held by its controlling
companies in corporations, controlling shareholders
constituted two holding companies in 2003:
Gemini Holding – company that centralizes shares
representing shareholder control in BICBANCO;
Primus Holding – holds shares representing shareholder
control in BIC Corretora de Câmbio e Valores
S.A., which in turn is a BICBANCO shareholder. Created
in 1985, BIC Corretora does not exercise operational
activities; its function is merely to make participation
in the BICBANCO Conglomerate feasible.
At the close of the fiscal year on December 31, 2011,
the Gemini Holding and Primus Holding companies
(through the BIC Corretora intermediary) accounted
for 41.66% of the social capital in BICBANCO; Grupo
Bezerra de Menezes held 30.31% of capital directly,
with 25.31% being free float shares and the remaining
2.72% treasury shares.

BIC LEASING
BIC Arrendamento Mercantil S.A. (BIC Leasing) is a
publically traded corporation that has operated in the
market for 19 years. Its activities are concentrated in
the area of commercial leasing for corporations and in
businesses with fixed and movable assets, especially
vehicles, machinery and equipment.
BIC CARTÕES
Created on September 30, 2007, BIC Administradora
de Cartões de Crédito S/C Ltda. (BIC Cartões) works
with the issuance and administration of credit cards
and pre-paid cards. The company also rents its Visa
brand Bank Identification Number (BIN) to Conglomerate
companies and other private companies.
BIC INFORMÁTICA
An integral subsidiary of BICBANCO, BIC Informática
was created in March 1994 with the purpose of providing
data processing services for the group and offering
technical support to the Bank’s activities.
