REMUNERATION OF SHAREHOLDERS Remuneration earmarked for shareholders complies with the Law of Publicly Traded Corporations (Lei das Sociedades por Ações) and the BICBANCO Articles of Incorporation. Since 2008, the Bank has distributed quarterly gains, although it does not have a formal policy establishing this frequency. In 2011, based on fiscal year results, BRL109.0 million were earmarked for shareholder remuneration. Of this amount, BRL104.0 million were distributed as interest on shareholder equity – distributed in four payments of BRL26.0 million, which corresponds to a gain of BRL0.105680734 per share – and BRL5.0 million as an intermediary dividend. Corporate Governance The Bank’s Board of Directors is responsible for the definition and approval of payment of dividends and/or interest on shareholders’ equity; in order to make this decision, it assesses quarterly financial statements and analyzes factors such as operating result, financial situation, need for resources, outlooks and other points that it considers to be relevant to the Bank and shareholders. On June 6, 2011, the Board of Directors met to decide on execution over a 12-month period of the 4th Bank issued Stock Buyback Program (the last program took place in 2010) to keep shares in treasury and later cancel them, without reducing capital, up to a limit of 10% of registered preferential shares (BICB4) in free float. The buyback up to the established limit was carried out in the period of July 6, 2011 to August 9, 2011, and involved BRL58.6 million. With the operation, 23.5% of total shares were kept in circulation (free float). On December 31, 2011, the market value of BICBANCO stock was BRL7.70 per share, 43.4% higher than the BRL5.37 quoted at the close of 2010. 21
