54 TDM Berhad (6265-P)Additional Compliance StatementThe following information is in compliance with Appendix 9C of the Main Market of Listing Requirements of Bursa Malaysia Securities Berhad:1. Imposition of Sanction / PenaltiesThere were no public sanction and / or penalties imposed on the Company and its subsidiaries, Directors or management by the relevantregulatory bodies during the fi nancial year.2. Material ContractDuring the fi nancial year under review, save as disclosed in the sections under signifi cant related party transactions set out in Note 34 to thefi nancial statement, there were no other material contracts entered into by the Company and/or its subsidiaries which involved Directors’and major shareholders’ interests, either still subsisting at the end of the fi nancial year 2009 or which were entered into since the end of theprevious fi nancial year.3. Share BuybacksThere was no share buybacks during the fi nancial year.4 . American Depository Receipt (ADR) Or Global Depository Receipt (GDR) ProgrammeThe Company did not sponsor any ADR or GDR programme during the fi nancial year.5. Profit GuaranteeThe Company did not give any profi ts guarantees during the fi nancial year.6. List Of PropertiesThe list of properties is stated on page 129 to 131 of the Annual Report.7. Non-Audit FeesThe amount of non-audit fees incurred for services rendered to the Company or its subsidiaries for the fi nancial year by the Company’sauditors amounted to RM5,875.8. Revaluation PolicyThe Group’s policy on revaluation is disclosed in Note 2.2 (c) to the fi nancial statements.9. Options, Warrants or Convertible SecuritiesDuring the fi nancial year, there were no warrants or convertible securities issued by the Company other than shares or options issued pursuantto the Employees Share Options Scheme (“ESOS”) as disclosed in Note 28 (b) to the fi nancial statements.The Company has been granted exemption by the Companies Commission of Malaysia from having to disclose the names of option holders,other than directors, whom options have been granted during the year and details of their holdings.10. Variation in ResultsThe Company did not make any release on the profi t estimate, forecast or projection for the fi nancial year.There is no signifi cant variance between results for the fi nancial year and the unaudited results previously released by the Company.
