22 International <strong>Franchise</strong> Exhibition & Conference<br />

FIM<strong>2015</strong> is the largest annual franchising exhibition and conference<br />

in Southeast <strong>Asia</strong> and the only franchise event officially sanctioned<br />

by the by the Ministry of Domestic Trade, Co-Operatives and<br />

Consumerisms (MDTCC) and Malaysian <strong>Franchise</strong> Association<br />

(MFA).<br />

This year is the 22nd <strong>Franchise</strong> International Malaysia that will be<br />

Get the Best Out of FIM<strong>2015</strong><br />

If you are thinking of starting your own franchise, that is a great decision. Where is the best<br />

place to start looking for that franchise? Where else but at FIM<strong>2015</strong>.<br />

A franchise expo is a great way to learn about different franchises and speak to the different<br />

franchisors in person. Since they are all in one place it is easier to compare the different<br />

franchises available to you. However you must be on guard when you attend a franchise expo.<br />

You see, often franchise expos and business opportunity shows are filled with fast talking<br />

sales people. It’s nice to go in to see what’s available, but you need to take it all with a<br />

grain of salt. As with any other business, be wary of frauds going on with many of the verbal<br />

promises the salesman on franchise expos make (although we’re sure MFA would have<br />

screen the exhibitors). An alert person can fairly easily weed out the smooth talkers, and the<br />

commission based salesman, from the legitimate franchisors which are really looking for high<br />

quality future franchise owners.<br />

However, even with all the ‘dangers’, it’s still worth taking a trip to a franchise expo, spending<br />

the day, collecting business cards, brochures, and doing a little research on some of the<br />

companies because it’s hard to know what is, and what isn’t a good investment merely by<br />

walking about an expo listening to sales pitch.<br />

Having warned you, we also want to reiterate that there are many legitimate franchisors of<br />

reputable companies who are interested to have you in their stable of successful franchisees.<br />

And the FIM<strong>2015</strong> could be the big break that you’ve been looking for.<br />

Too Pedantic with the “P”?<br />

Brands play a key role in franchising your business - it is the face of the entire franchise. Choosing a<br />

unique brand is therefore essential. The more the brands stands out as distinctive, one in a billion and<br />

exceptional, the better. The main reason for this is that the public will view it as a brand and not a<br />

generic word or phrase to describe the goods and services it represents.<br />

That they tried to prevent another party from using the unique<br />

elongated P is understandable.<br />

was the other brand and the dispute arose in Singapore.<br />

Were the marks substantially similar? Is the letter “P” the<br />

dominant part in both marks? Are they so dominant that the<br />

other elements in the mark are negligible? Are the marks<br />

visually, aurally and conceptually similar? These were some<br />

of the questions the Intellectual Property Office of Singapore<br />

(“IPOS”) had to contend with when faced with an opposition<br />

by Pirelli & C.S.P.A (“Opponent”) against Tao, Hsiu-Chih<br />

(“Applicant”).<br />

The Applicant owns CSL Sunmaster Enterprises Co., Ltd<br />

(“Sunmaster”), a Taiwanese company that designs and supplies<br />

curtains, blinds, sunshades and parts thereof. The Applicant<br />

claimed that she coined her trademark from her English name,<br />

“Tao, Sheena”. The Applicant has registered her mark in Class<br />

20 (Bamboo curtains; indoor blinds of reed, rattan or bamboo<br />

(sudare); curtain hooks and related products) and Class 24<br />

(Woven fabrics and knitted fabrics; non-woven textile fabrics;<br />

curtains of textile or plastic; shower curtains; curtains and such)<br />

in the European Union and Australia.<br />

The Opponents, founded in 1872, initially started out with a<br />

factory producing rubber articles and eventually diversified<br />

into many industries (which are not related to the Applicant’s<br />

industry). The Opponents have 19 tyre industrial plants in four<br />

continents, are the fifth largest operator in the world in the<br />

premium tyre sector, and were the exclusive tyre supplier for<br />

Formula 1 from 2011 to 2013. In addition to the “PIRELLI”<br />

trademark above, the Opponents relied on the following<br />

trademarks filed in Singapore to support their opposition:<br />

Although the opposition failed (sadly for the Opponents), the<br />

decision by the Hearing Officer from IPOS was interesting for<br />

many reasons.<br />

Obviously, the Opponents’ point of contention was in relation<br />

to the use of the Elongated P by the Applicant in its mark. The<br />

Opponents submitted that the Elongated P is the dominant<br />

component of the Opponents’ Marks and this brought similarity<br />

between the Opponents’ Marks and the Applicant’s mark,<br />

causing a likelihood of confusion in the public, and argued that<br />

the use of the mark by the Applicant is an act of passing off.<br />

Interestingly, the Opponents decided to initiate this opposition<br />

in Singapore although it had failed in two jurisdictions in the<br />

past. The adage “once bitten, twice shy” certainly did not apply<br />

here! In fact, that the Opponents lost the opposition in EU and<br />

Australia was advantageous to the Applicant here as excerpts<br />

from the decisions in EU and Australia were used in this case.<br />

According to the Applicant, the question to ask is whether the<br />

common element of the competing marks is so dominant as<br />

to render the different elements ineffective in eliminating the<br />

similarity between the marks.<br />

While answering in the negative, the Applicant provided that the<br />

hearing officer in Australia opined that, inter alia, “the overall<br />

impression of the trade marks is one of dissimilarity rather than<br />

resemblance” and that the Elongated P was not the portion<br />

of the trade mark “which will so overwhelm a person’s mind<br />

that they will not remember the word “Project” or “Pirelli” and<br />

confuse these two trademarks.”<br />

A similar decision was delivered in EU, where the marks were<br />

held to be visually similar to a very low degree and were not<br />

phonetically, or conceptually similar.<br />

The Hearing Officer in IPOS concurred with the Australian and<br />

EU hearing officers and found that the marks in dispute (shown<br />

below) are not visually, aurally and conceptually similar:<br />

the decision in Matratzen 2 whereby the European Court of First<br />

Instance dismissed the contention that a consideration of the<br />

dominant and distinctive components of a mark would mean a<br />

failure to consider the mark as a whole.<br />

Aurally and conceptually, the marks were found different. As for<br />

visually, the Hearing Officer held that, in verbatim, “the marks are<br />

visually similar in that they have one component, the Elongated<br />

P, in common. However, this is not sufficient to make an overall<br />

finding of visual similarity as the Application Mark contains other<br />

components that are not of negligible significance”.<br />

The Opponents’ argument for passing off failed as well as the<br />

Opponents did not have sufficient evidence to prove they had<br />

goodwill in Singapore at the relevant time.<br />

Tapering to an end here, the business nuggets a franchise owner<br />

could walk away with from this case are as follows:<br />

1. When creating a brand for your franchise business, use<br />

elements that is not common (letters are found to be<br />

common); and<br />

2. Understand that decisions and arguments used in other<br />

jurisdictions (where the decisions are comprehensive and<br />

well-thought out) will be used to the Applicant’s advantage.<br />

The known “overall assessment test” was relied upon<br />

whereby “visual, aural or conceptual similarity of the marks in<br />

question, must be based on the overall impression given by<br />

the marks, bearing in mind, in particular, their distinctive and<br />

dominant components”. 1<br />

With regard to the part of considering the “distinctive and<br />

dominant components” of the mark, the Hearing Officer relied on<br />

It’s 1948, you’re in Baldwin, CA and you’re hungry. A friend suggests going to the In-N-Out<br />

drive through burger shack for fast drive-up service. You simply drive up to the window<br />

and get your food with very little or no delay. Such things were probably looked upon as<br />

crazy ideas destined to fail at the time, but now drive-thrus are everywhere. Banks have<br />

been using them since the 1920s. You have to wonder what kind of ideas, we view as crazy<br />

or short-termed now, will be a big deal in 10, 20 or 50 years from now. Let’s look at some<br />

unique franchise opportunities that may seem a bit off the wall.<br />

A Fishy Situation<br />

Amelia Island, Florida based Captain Mac Danial offers<br />

a flounder gigging franchise. You read that right. Using<br />

aluminum boats, headlamps and a trident or multipronged<br />

spear, clients are treated to a boat ride into<br />

shallow saltwater mashes and inlets to skewer flounder<br />

lying on the bottom of the marsh or inlet. It’s probably a<br />

great experience and you get fresh fish to boot.<br />

You Will Wake Up and Be A Chicken<br />

There are few opportunities in the franchise world to<br />

take a nap on location. You can, but you will probably<br />

get evicted. Dublin, OH based Positive Change Hypnosis<br />

is the opposite. At their locations they use a six-point<br />

hypnosis method to help clients improve their life. It may<br />

be kicking a bad habit or as simple as correcting your<br />

short game at the golf course. Either way, they want you<br />

to go to sleep and help you do it.<br />

For Those About to Rock … We’re Not<br />

AC/DC<br />

Everyone, except maybe grandma, loves a music festival.<br />

Most of us have been to one at some point and it’s likely,<br />

if we can remember it, we had a great time. Putting<br />

together your own music festival is no easy task and most<br />

people would avoid the trials if they thought about it long<br />

enough. However, if you are in the UK there’s a franchise<br />

The owner of an actively growing business may be contemplating<br />

on whether to franchise it or build it up to a giant business. When<br />

making decision on whether to franchise your business or to<br />

expand your business yourself, you need to consider if it favors<br />

you or not. You need to determine if the business will thrive well<br />

in your care or go worse. There are three groups of talents when<br />

it comes to expanding a business:<br />

• The first are those who are talented in growing a business<br />

to a certain level. Beyond this level, they might be declared<br />

bankrupt. In few years, this set of people can easily develop<br />

their business up to the level that they are matured to be<br />

franchised, but they can’t go beyond that.<br />

• The second sets of talents are not creative enough to start up<br />

a business from the scratch but they can handle bigger ones.<br />

They are the “big players” in the business. I called them big<br />

players because they have the money to buy franchises.<br />

• The last are those that have all it takes to build a business<br />

from scratch to big business, and even take it public. These<br />

set of people are usually those who are in love with their<br />

products or services and have all it takes to build it to a very<br />

large business. Apart from the profit they generate from the<br />

business, they have sound knowledge about their business<br />

and are inseparable from their business due to the passion<br />

they have for it.<br />

Notwithstanding, the above are also<br />

factors to consider when deciding on<br />

whether to franchise a business or expand<br />

it yourself. Of course, there are other<br />

factors that you need to consider when<br />

it comes to franchising or expanding a<br />

business yourself.<br />

The Advantages of<br />

Franchising<br />

There are many advantages attached<br />

to franchising over a company-owned<br />

expansion. Many business owners resort<br />

to franchising for four main reasons which<br />

include:<br />

• Capital: Expanding a business<br />

requires large capital. A business that<br />

is being operated with low capital will<br />

certainly take far more years to develop<br />

than the one that is funded with huge<br />

capital. The advantage is that the<br />

franchisor watches the business as it<br />

grow without spending any part of his<br />

money.<br />

• Motivated management: It’s a<br />

common truth that a business that<br />

is managed by motivated staff will<br />

surely do well. The franchisees will do<br />

everything necessary to see that the<br />

business expands. They see to the<br />

welfare of their staff. They also train<br />

their staff to become professionals in<br />

their jobs. The staff are trained to work<br />

towards the goals of the business.<br />

While the franchisee works eminently<br />

to expand the business, you are<br />

relaxed and yet, still get compensated.<br />

• Speed of growth: The franchisee<br />

invests huge capital into the<br />

business. A business filled with<br />

motivated staff and funded with huge<br />

capital is expected to do well. This<br />

makes the business to expand rapidly<br />

if properly managed.<br />

• Reduced risk: Since the business is<br />

franchised, most of the risk goes to the<br />

franchisee. The most interesting part<br />

here is that, despite not spending any<br />

of your capital in the business, you are<br />

still compensated. You grow by using<br />

other people’s money and at the same<br />

time, you are operating without risks.<br />

Debunking the Myths<br />

There are some wide held beliefs about<br />

franchising which are far from the truth.<br />

One of them is that, franchising is a<br />

system of dealing with franchisors legally.<br />

The reason for this belief is that America<br />

is a litigious society in which someone can<br />

sue anybody just for anything.<br />

Franchising is actually less prone to<br />

litigation. The reason is that a franchise<br />

contracts is a one-sided document. You<br />

can be protected if it is being handled by a<br />

professional attorney that specializes in law.<br />

Many litigation practices such as cases<br />

involving the proper use of advertising<br />

funds and that of territorial encroachment<br />

have been bypassed. There are now much<br />

fewer lawsuits than they were in the past<br />

couple of decades.<br />

The major issues that often lead to lawsuit<br />

are actually violations of franchise law<br />

and fraud in the document of selling a<br />

franchise. In order to prevent the former<br />

from happening, it’s important that you<br />

hire a professional franchise attorney<br />

and train all your staff on franchise law.<br />

Make sure that each and every one of<br />

your staff is honest with the company.<br />

Use a written checklist or better still,<br />

video tape to interview every franchisee<br />

concerning his or her sales process and<br />

the representation made.<br />

Franchising is a great tool that helps you to<br />

avoid liabilities. However, as a franchisor,<br />

each time any contract is signed by you,<br />

you are obligated to operate according to<br />

the terms of that document.<br />

Let’s consider the company-owned<br />

operations.<br />

If you are the operating the company<br />

yourself, you will be responsible for<br />

everything. You will have the liability<br />

for every lease you execute – ranging<br />

from equipment, vehicles, buildings.<br />

The liability also extends to all wrong<br />

operations in the business as well as<br />

customers and employees liabilities such<br />

as breach of contract, sexual harassment,<br />

personal injuries and so many others.<br />

However, in franchising, these liabilities<br />

are solely that of the franchisee.<br />

Nevertheless, this doesn’t mean that<br />

you cannot be sued. But with a good<br />

written contract, the liability will be that<br />

of the franchisee. In addition, you are<br />

also insured by the franchisee against<br />

any damage, harm and wrong operations<br />

resulting from the business.<br />

The second big myth in franchising is<br />

the control and the improved unit-level<br />

performance that some argue comes with<br />

it. Another belief is that, the ability to hire<br />

and fire an employee at any given time is<br />

a big advantage, where as with company<br />

operations, it’s difficult to do this.<br />

However, franchisors have a great deal of<br />

control in unit operations.<br />

Studies have shown that similar franchiseoperated<br />

sites are better managed than<br />

their company-owned counterparts. As<br />

a result of this, the franchised-operated<br />

sites outperform the company-operated<br />

sites in almost every aspect.<br />

Reasons<br />

There are two reasons for this. First is<br />

that, franchisees are highly motivated by<br />

their money and take pride of ownership.<br />

Secondly, franchisees usually stay put<br />

in their business for generation. They<br />

pass their business to members of their<br />

families. They develop an easy-to-follow<br />

system that can be easily understood and<br />

followed by anyone. They then, make sure<br />

that the system is thoroughly followed<br />

by their staff. This easy-to-follow system<br />

prevents them from spending money<br />

unnecessarily in training their staff from<br />

time to time.<br />

However, if a franchisee is not performing<br />

up to your expectation or standard, you<br />

have the right to terminate the contract.<br />

But if the franchisee is operating to<br />

the standard of the contract, there is<br />

absolutely no reason why you should<br />

consider terminating the contract.<br />

Choosing a franchisee has always<br />

been a big problem. When choosing a<br />

franchisee, it’s important to assess the<br />

franchisee critically before making any<br />

decision. In order to prevent any lawsuit<br />

against any franchisee, it’s advisable to<br />

choose the right franchisee.<br />

Risk attached to franchising<br />

Just like company-owned operation,<br />

franchising has its own limitation. There<br />

are some benefits that you will no longer<br />

be entitled to.<br />

As a franchisor, you will no longer be<br />

entitled to all your profits. You will only<br />

receive royalty which is a percentage of<br />

gross revenue. Instead of being entitled<br />

to 100% of your revenue as the business<br />

owner, you will only be limited to only about<br />

4 to 10% and probably some product sales,<br />

rebates and advertising fees.<br />

In the same vein, if the operating units<br />

generates only about 20% profit and your<br />

royalty is just 6 percent, you will need to<br />

sell about four to five franchises or even<br />

more to achieve the same level of profit<br />

a company would have fetched you if you<br />

owned the company. This means that<br />

if you have enough capital to run your<br />

business yourself, you would be entitled<br />

to 100 percent of the profit. However, your<br />

ROI would be higher through franchising.<br />

Although franchisors are also highly<br />

compensated with growth in revenue, it<br />

is important that the franchisor possess<br />

certain leadership style which are better<br />

suited to franchising. As stated earlier,<br />

it is not all business owners that have<br />

the quality of taking a business public. If<br />

you find out that you are better off with<br />

developing business to a certain level<br />

after which you cannot handle it anymore,<br />

it’s better to put it in the hand of a right<br />

person – the franchisee.<br />

Should You Do Both?<br />

Lastly, for the company trying to choose<br />

a growth strategy, it is important to<br />

recognize that it does not have to be a<br />

tradeoff between building assets and<br />

speed of growth. Most franchisors use both<br />

company-owned strategy and franchised<br />

strategy to run their businesses.<br />

They choose to operate the best location<br />

while they franchise secondary and<br />

tertiary markets. This means that they<br />

operate their businesses in units where<br />

they make more profits while they sell<br />

off less profitable units. However, others<br />

may choose to treat company growth<br />

and franchise growth equally. This<br />

means taking advantage of any positive<br />

conditions that promotes progress of any<br />

of them.<br />

Combining the franchise and companyowned<br />

growth, is the best for most<br />

companies. Even if the best strategy is<br />

used in either of these two, it still does not<br />

contribute to the success of the business<br />

as combining the two would.<br />

A SUCCESSFUL<br />

FRANCHISE SYSTEM<br />

In my work in Franchising, I am surprised by how many<br />

businesses decide to head into a Franchising model with no<br />

plan on how to get there. I see businesses that have tried to do<br />

it themselves, engaged a lawyer as a Consultant, or just tried a<br />

shot gun approach and fired shots at where they see a problem.<br />

My advice to any future Franchisor is to think in terms of the 15<br />

steps to Franchising, from when they cannot spell Franchising,<br />

until they appoint their first <strong>Franchise</strong>e - and decide how they are<br />

going to make it all happen.<br />

Whilst I am a Certified Management Consultant, we do not<br />

undertake the work as <strong>Franchise</strong> Consultants; however there are<br />

people in this area that can act as the specialist. Think of it like<br />

an orchestra and their job is to be the Conductor, and bring in<br />

(and out) the various instruments as and when required. In our<br />

case I say we are the first violin – needed for Strategic Network<br />

Planning, Site Selection policies and Territory Planning – and<br />

then we pass our work back to the Conductor and Client to move<br />

to the next steps.<br />

The Fifteen Steps to Franchising:<br />

1Undertake a feasibility study (or just your own due diligence<br />

to prove the concept you have can work). I become very<br />

concerned when I hear from potential Franchisors that they<br />

have not opened or company run the business they are planning<br />

to <strong>Franchise</strong> – and I even have said to major international<br />

companies intending to open in Australia, why not open a couple<br />

of stores yourselves to prove that it works. Unfortunately many<br />

American Franchisors say that is up to the Master Franchisor –<br />

and do I know anyone with $5M to invest? Most of those are still<br />

kicking tyres looking for their dream investor.<br />

5Site selection policy – decide what type of stores you are<br />

seeking in terms of size, where they sit in terms of Impulse<br />

or Destination, and how you can instruct other people in<br />

what you are looking for. Issues need to be considered include<br />

size, traffic (vehicle or pedestrian), visibility, parking, access,<br />

local generators (or neighbours) and many other issues.<br />

6If you are a service franchise, you probably need to<br />

grant territories especially if you have a central ordering<br />

concept where leads come in by phone or computer.<br />

What is the policy for Territories in terms of what makes up a<br />

sufficient size territory and how many should we be looking for in<br />

each main market? You may start with a “beer and pizza map”,<br />

however this develops an inconsistent <strong>Franchise</strong> System.<br />

2Understand that the costs to develop a workable<br />

franchise system is probably $50K - $100K, and<br />

thinking you will do it cheaper is a false economy. I am<br />

often asked to postpone payment for my companies’ service,<br />

and I remind the client that we are Consultants and that Banks<br />

are Banks – and go and speak to them if you plan to make an<br />

investment into Franchising.<br />

7Sort out your marketing and make the necessary<br />

decisions on who is your potential customer and how<br />

are we going to find them? If it is a walk up customer,<br />

then image and signs. If it is a phone in customer or web based<br />

customer, how do we attract them, inform them and entice<br />

them to make the call to purchase form us? Do we advertise<br />

in magazines, websites, bus shelters or many many other<br />

opportunities that will be thrown at you?<br />

3Arrange the writing<br />

of your Operations<br />

Manuals. Your choice if<br />

you do it yourself or work with<br />

a Professional company who<br />

will have templates and ways<br />

to construct these manuals.<br />

Ideally they may start as paper<br />

manual, however the modern<br />

companies are setting this up<br />

in a digital environment – thru<br />

the web.<br />

4Strategic Network Planning is thinking in terms of what<br />

the network may look like in 5 or 10 years. It is about what<br />

type of areas you should be physically looking for sites<br />

in. This investment may save you huge amounts in mistakes, as<br />

there is no cheap reversal in leaving or closing a store – and less<br />

if you lose a legal case if the store you approved turns out to be a<br />

disaster – and you have no process you can demonstrate in how<br />

you made the decision.<br />

8Find your first few stores. This can be undertaken<br />

internally, or you may want to appoint a professional<br />

site finding company who are expert in negotiating with<br />

Leasing agents and Real Estate agents.<br />

some Local Area Marketing.<br />

9Appoint a Law firm to write your disclosure Agreements<br />

and <strong>Franchise</strong> Agreements. This may involve some major<br />

decisions as the Agreements need to line up with what<br />

you are offering a <strong>Franchise</strong>e. Decisions have to be made such<br />

as <strong>Franchise</strong> periods and options to renew, territories or not,<br />

exclusive or non-exclusive territories, exclusion zones and many<br />

other issues that will govern how you operate in the future.<br />

options and decide how much involvement you want<br />

in the process of acquiring leads and selecting franchise buyers.<br />

You can manage everything yourself, engage help along the<br />

franchisees. How will franchise buyers be profiled and interviewed?<br />

our new <strong>Franchise</strong>, and support the <strong>Franchise</strong>e<br />

who is probably taking the biggest business decision<br />

in their lives. They may need their hand held and that<br />

is what our Field staff and operations people need to do – even<br />

if that is one person also holding the title of Franchisor, MD,<br />

Development Manager and Chief Operations officer.<br />

I can only say to a future Franchisor look at these steps and<br />

see if you have them covered. If you are looking at going into a<br />

newly formed <strong>Franchise</strong> System, maybe this list can form part<br />

of the questions you need to discuss with the Franchisor to feel<br />

comfortable that all these items are covered – before you part<br />

with your initial <strong>Franchise</strong>e Fee.<br />

The Foundations of Franchising<br />

A shopkeeper serving customers provided the catalyst for the<br />

historical roots of franchising. The realization that the only way<br />

to serve more customers was by expanding, coupled with limited<br />

capital to sustain rapid growth, led the pioneers of the franchise<br />

model to lay a solid foundation. Much of the early development<br />

of the franchise model was in the foodservice sector, with such<br />

iconic brands as A & W, Kentucky Fried Chicken and Dairy Queen<br />

leading the way. There was significant growth in the hospitality<br />

sector with Howard Johnson, Holiday Inn and Marriott using<br />

franchising to efficiently penetrate global markets and extend<br />

their brands. In all these examples the common element was the<br />

requirement for a physical premises to operate from, and many<br />

times with particular and distinguishing appearances such as the<br />

golden arches.<br />

The focus of the franchise was building an attraction for customer<br />

to visit through unique architectural themes, convenient and<br />

prominent locations and compelling signage. And, of course a set<br />

of operating procedures that would support a quality customer<br />

experience once the customer arrived at the franchise location.<br />

While the foundations of franchising revolved around the<br />

location, the landscape has changed dramatically over the past<br />

two decades, opening the door to many more business concepts<br />

and potential franchisees.<br />

The Complexities of Fixed-Location<br />

<strong>Franchise</strong>s<br />

Most individuals looking at a franchise to be operated from a<br />

dedicated location do not have experience in site selection,<br />

therefore they must rely on the franchisor for significant support.<br />

However, the level and intensity of support can vary widely from<br />

one franchisor to the next. Some franchisors take a “hands off”<br />

approach and only offer candidates a modicum of information<br />

from which to determine a location for the franchised business.<br />

The information may be based on the physical parameters of<br />

the concept, such as square footage, ceiling height and signage<br />

requirements. Yet, the factors that will ultimately determine the<br />

success of the location will have more to do with the density of<br />

likely customers.<br />

this information it will be difficult to determine a sale projection.<br />

The other key complexity of a fixed-location franchise is obtaining<br />

the space, whether through a lease or purchase. Again, many<br />

potential franchisees have little or no experience with such<br />

transactions, which can be very complicated. If the franchisor has<br />

a reasonable number of existing locations then they should have<br />

some level of support to assist new franchisees in negotiating<br />

the key tenants of a lease or purchase. Certainly, the use of<br />

independent outside legal and financial advisors is essential to<br />

ensure all the risks are clearly understood. Finally, even if you<br />

get the location and the lease right, it is often hard to predict<br />

demographic shifts which could impact the business concept<br />

over time. All of these important considerations have fueled<br />

continued expansion of franchising into the service sector.<br />

The Explosion of Service-Based<br />

<strong>Franchise</strong>s<br />

Reflecting the dramatic shifts in technology and consumer<br />

desires for more leisure time, franchises based on providing<br />

essential services has grown at unparalleled pace and<br />

encompasses hundreds of concepts. As consumers focus their<br />

time on entertainment, they instinctively increase their interest<br />

in reducing their commitments to “chores” such as landscaping<br />

and yard maintenance, home services such as carpet and tile<br />

cleaning, and technical trades such as air conditioning and<br />

plumbing repairs and maintenance.<br />

The franchisor should know from their experience their customer<br />

profile(s) and should support franchisees in identifying locations<br />

with an adequate base of qualified customer targets. Without<br />

to their needs wherever they may be…in their home, in their<br />

driveway and in some cases at their place of work. This pattern<br />

of demand has spawned innovative and exciting development<br />

of franchises in the service sector, and for many would-be<br />

small business owners, a more attractive model. The thought<br />

of working from a fixed-base of operation does not appeal to a<br />

broad cross-section of society, so the emergence of franchises<br />

featuring flexibility and independence operationally has been<br />

a welcomed addition of opportunity. Another key driver is<br />

affordability given the start-up costs are dramatically lower as<br />

are the ongoing expenses in many cases. Yet, there are distinct<br />

challenges with a service-based franchise model to consider.<br />

Attracting and Keeping Customers<br />

The name of the game in service-based franchises is customer<br />

acquisition. Since you don’t have a location the customer is<br />

driving by or otherwise focused on visiting the strategy for<br />

attracting customers is significantly different. This is further<br />

complicated by the increasingly segmented marketplace<br />

for advertising and media as consumers are overwhelmed<br />

with choices. The “Consumer Decision Journey” developed<br />

by McKinsey, a leading global consulting firm, highlights this<br />

fundamental shift whereby consumers are actively researching<br />

and seeking information rather than waiting for companies to<br />

feed it to them through advertising.<br />

Although on the surface it may seem a service sector franchise<br />

is less complicated given you don’t have to commit to a specific<br />

location, negotiate and sign a long-term lease, and you are<br />

susceptible to shifting demographics, the ability to acquire<br />

customers is critically important and increasingly complicated. If<br />

your passion is to operate a fixed-location franchise then focus<br />

on a franchise that provides significant support for site selection<br />

“A Game”<br />

want and need, just dreaming about success isn’t going to just<br />

happen unless you suit up and get ready to play your “A Game”.<br />

In his book “GO FOR THE GOLD” Eric Harvey writes “If you don’t<br />

fully show up, neither will success” He elaborates that showing<br />

up means:<br />

1. Being Physically present<br />

2. Being Mentally focused<br />

3. Being Emotionally committed<br />

most of the time disguised as activities. Most businesses and<br />

people are constantly in reactive mode, so wound up with the<br />

day’s fire fighting and completely oblivious to the priorities of<br />

the business that drive success. Not being able to ‘see the<br />

forest for the trees’.<br />

is happening around them. If we were to use a tradeshow<br />

analogy, it isn’t sufficient to just show up in an embroidered<br />

logo shirt at the booth and expect that the tradeshow will<br />

be successful. Yes, that is the first requirement, showing<br />

up. However, being physically present requires being aware<br />

of ‘things’ happening around you: are the brochures lined<br />

up properly, is the light falling in the right place, will the<br />

plant come in the way of people wanting to come inside the<br />

booth and the many other things happening both inside<br />

and outside the booth that can affect how the game is<br />

being played.<br />

others. You must be suited up and ready to give it your all. Are<br />

you prepared to be world-class?<br />

2. Mentally focused. Together with physical presence is<br />

required focus on the outcome. Continuing the tradeshow<br />

analogy, being prepared to answer objections from tradeshow<br />

participants, being prepared to answer questions, being<br />

prepared to present your offering with passion and conviction<br />

and having multiple scenarios outlined in your head based on<br />

the direction of the conversation with a prospect. The mental<br />

focus is such that you are able to concentrate on achieving<br />

the desired outcome.<br />

3. Emotionally committed. A vast majority of people desire,<br />

dream or hope to succeed but are not willing to do what is<br />

required to achieve that dream. To do what is required to<br />

succeed is much harder than wishing to succeed. Renowned<br />

Master of Vedanta, HH Swami Chinmayananda so aptly says<br />

“Some act till they meet obstacles, others act inspite of<br />

obstacles, and conquer them; but some act not, fearing the<br />

possibility of obstacles, that might arise enroute.”<br />

In our tradeshow analogy, the fear of rejection stops many from<br />

following up with prospects they have chatted with at the tradeshow.<br />

Of course their actions are nicely packaged with intellectually sound<br />

rationalizations. At the end, it is a demonstration of the lack of an<br />

emotional commitment to success.<br />

While Ronnie Cheng first came across<br />

liquid nitrogen ice cream in England,<br />

he quickly realised that this special<br />

product was notably smoother than<br />

traditional gelato. There was also a fun<br />

element to watching it being made,<br />

with the suffused smoke creating a<br />

captivating and alluring atmosphere.<br />

Ever since this initial encounter, one<br />

tantalising question was uppermost<br />

in Cheng’s mind – could he build a<br />

business based around this product?<br />

As a pharmacist with biochemical<br />

knowledge, Cheng understood that<br />

liquid nitrogen could be utilised to<br />

instantly freeze different natural<br />

ingredients into ice cream. The use<br />

of fresh and natural ingredients to<br />

create the ice cream ensured there<br />

was no need for artificial colouring or<br />

preservatives, common ingredients in<br />

traditional ice cream. This made-toorder<br />

ice cream also does not need to<br />

be prepared in large batches, making<br />

each serving fresh and quite unique.<br />

All of these characteristics combine<br />

to make liquid nitrogen ice cream an<br />

appealing product, especially for those<br />

middle class Hong Kong consumers<br />

who are renowned as being very open<br />

to trying new things.<br />

After careful consideration, Cheng<br />

decided to quit his job in England and<br />

return to Hong Kong and fully commit<br />

himself to this new business venture.<br />

Cheng spent a year preparing before<br />

■ Kumon is the ‘world’s largest after-school math<br />

and reading programme’. Can you briefly explain<br />

the uniqueness of this method?<br />

Kumon is an academic programme like no other and we have<br />

around 40,000 Kumon students in Malaysia to prove it. At Kumon,<br />

we believe in the potential of each and every child and that they can<br />

advance irrespective of their age or school grade level. As we believe<br />

each student is an individual with different styles of learning and<br />

abilities, even the sets of Kumon materials given to the same age<br />

group are not always similar. Every student’s study plan is different,<br />

and the difficulty of the levels will be similar to school level. Instead<br />

of passively receiving instruction from teachers or tutors, Kumon<br />

students actively develop self-learning skills.<br />

Under the Kumon Method, every student will be required to take<br />

an achievement test before progressing from one level to another.<br />

The test by the way is a self-test for the Instructors to evaluate<br />

themselves too.<br />

At times if necessary, we even start students at an early age at<br />

the basic levels where they’re taught to draw lines to develop their<br />

motor skills to improve on their alignments; from simple lines to<br />

more difficult ones. We know that alignments are important when<br />

it comes to vertical sums, which may affect a student’s answer<br />

when not corrected early on.<br />

At Kumon each student progresses at his or her own pace through<br />

an individualised programme of worksheets carefully planned<br />

by the Instructor. The Kumon worksheets are the keys to the<br />

Kumon Method, and to a child’s success. Kumon worksheets<br />

are structured to allow progression in small steps, enabling each<br />

student to advance smoothly from easy to difficult problems and<br />

ultimately toward studying advanced high school level materials on<br />

their own. The worksheets provide examples of how to solve each<br />

problem, enabling students to self-learn new concepts on their<br />

own. Information such as students’ reactions to the worksheets<br />

and feedback from Instructors are continually taken into account<br />

Programme are manifold. Kumon’s assignments progress in small<br />

steps to build all of the critical skills needed to study high schoollevel<br />

calculus. Each worksheet not only covers specific concepts,<br />

but also helps students develop mental calculation and reasoning<br />

skills and improve their problem-solving techniques.<br />

The Kumon Math Programme simply gives students a solid<br />

foundation and a head start, helps improve performance in<br />

math class, increases your child’s overall math comprehension<br />

and prepares your child for the rigours of high school and<br />

reading and writing skills at all grade levels. It increases your<br />

child’s vocabulary and reading comprehension, and develops a<br />

love of reading and appreciation of great literature.<br />

■ Kumon helps ‘children learn how to learn<br />

on their own, and develops strong academic<br />

skills’. Is Kumon similar to after-school tutoring<br />

(tuition) sessions?<br />

At Kumon, our math and reading programmes help children of all<br />

ages and levels become eager, independent self-learners. Unlike<br />

tutoring sessions, Kumon helps children learn how to learn on<br />

their own, and develops strong academic skills. Our students gain<br />

a sense of confidence that will help them in the classroom and<br />

beyond. Kumon gives opportunity to students to study beyond<br />

school or grade level and as to date we have more than 45 percent<br />

of Kumon students studying advanced materials in Malaysia.<br />

■ The Kumon Method emphasises on ‘individualised<br />

learning method’. Can you briefly explain how this<br />

method works, and the benefits of it?<br />

The starting point for each Kumon student is determined<br />

individually. That’s the reason before a student enrols with Kumon,<br />

the student is given a diagnostic test. Students start with the level<br />

where they can attain a perfect score by studying on their own. The<br />

worksheets have been designed in a way that allows students to<br />

figure out how to solve problems on their own.<br />

If students continue to study at their own pace, they will catch up<br />

with their school grade level and eventually advance far beyond<br />

it. And the Kumon Instructor supports each student in developing<br />

self-learning ability. The role of a Kumon Instructor is to bring out<br />

the potential in each individual.<br />

Even though Kumon worksheets are designed to allow students<br />

to advance through self-learning, nonetheless, there are times<br />

when students encounter problems that they don’t understand<br />

or are unable to solve on their own. At times like these, Kumon<br />

Instructors do not spoon-feed students with problem-solving<br />

Angie Chee: Eye Level is a supplemental education program that<br />

Angie Chee: Let’s start with Eye Level math program where we<br />

have Critical Thinking Math (CTM) and Basic Thinking Math.<br />

Basic Thinking Math is simply the one taught in school. CTM on<br />

the other hand is not taught in school. The CTM program helps<br />

to develop student’s spatial sense, problem solving, patterns and<br />

relationships, measurements and reasoning skills. The degree of<br />

difficulties in our program is gradual hence ensures success as<br />

our students learn at their own pace. Through survey conducted<br />

we found that our students are able to understand their lessons<br />

better through our program.<br />

To keep our programs updated according to the learning styles of<br />

the education trend, we improvise our program from time to time.<br />

And to help us do this is our research institute in Korea that looks<br />

into developing all Eye Level programs’ curriculum.<br />

Carolina Keong: Not surprising, CTM is a program that both<br />

parents and children look forward to when attending Eye Level<br />

classes. In our program we‘ve various teaching tools to aid<br />

children with better learning experience; tools that the instructors<br />

use which go hand in hand with the math work sheets that are<br />

handed out to them.<br />

Angie Chee: Blended learning is something new that we started in<br />

Malaysia with the aim to provide new learning experience and to<br />

boost students’ learning effectiveness. As the name implies, it’s a<br />

combination of online learning and offline (face to face) learning.<br />

In online learning, we allow the students to do their homework at<br />

home via online so that they can repeat as many times as they<br />

want. They can repeat four times per book, which is a lot compared<br />

to just using physical papers. Online learning is fast and easy. Once<br />

they finish their work, they can just press their answers, and the<br />

results will be prompt and will be automatically calculated. This<br />

way, children will know where they stand and this gives parents<br />

to check results instantly and monitor them as well. On top of<br />

that, besides learning, children also have games where they can<br />

compete healthily with other Eye Level students worldwide with<br />

a scoreboard showing their names and results. This new hybrid<br />

teaching and learning methodology benefits students as we instill<br />

excitement in students to focus for longer period of time and<br />

curiosity in learning.<br />

■ Eye Level is based on an educational principle<br />

of Self-Directed Learning (SDL) where students<br />

learn at their own paces. Why is this important?<br />

Angie Chee: SDL has two separate “Learning” and “Thinking &<br />

Practicing by myself” areas. Learning space is where the instructor<br />

coaches a student after which the student will go into an individual<br />

Thinking space to practice the lessons taught. This practice<br />

inculcates independence which will be invaluable when the students<br />

attend university or later in life as they will be more self-reliant.<br />

This method is opposite to the ‘spoon-fed’ culture rampant in<br />

today’s school children. At Eye Level, after learning a new concept,<br />

students are encouraged to do their assignments first through<br />

Eye Level materials that are designed in small incremental steps.<br />

Only when they don’t understand, they ask their coach. This is<br />

the value we want to instill in our students. What SDL does is<br />

that it helps the child to learn, then review, examine and solve<br />

problems by themselves, initiating their own actions guided by<br />

instructors as coaches. The benefits are many folds, including:<br />

Carolina Keong: For new franchisees we’ll assign an Area<br />

Management System comprising Area Managers and Area<br />

Trainers. For the first 12 months initial support, new franchisees<br />

will be guided in overall center operations, management and<br />

marketing by the Area Manager. Other guidance includes program<br />

knowledge, consultation skills, student progress management,<br />

and other areas related to our programs. The Area Trainer on the<br />

other hand, will concentrate on training the franchisees, monitor<br />

the centers, students’ progress and other matters related with<br />

the program. Area Manager and Area Trainer often visit in pairs<br />

so that a cohesive and constructive advice can be given to new<br />

franchisees to take their business to the next level.<br />

We also offer a reward scheme for new franchisees to enjoy<br />

incentives when they achieve a certain target in the 3 rd , 6 th and<br />

10 th month. This applies to new franchisees in the first 12 months<br />

of operations. Incentives include marketing subsidies and royalty<br />

Area Management System where Area Managers will assist outlets<br />

Orientation workshop. What is this about?<br />

Carolina Keong: In this session we share on the Eye Level franchise<br />

opportunity with those who are interested to find out more about<br />

our franchise business. At the end of the session, there will be a<br />

Math and English test for us to gauge the candidate’s knowledge<br />

in both subjects, as well as to determine if the candidate passes<br />

on to the next stage, which is the Business Proposal Presentation<br />

and Interview with Country Manager. Our next Business Orientation<br />

workshop is on 3 rd July, 7 th and 8 th August and 4 th and 5 th September<br />

We always see challenges as opportunities. One of the initial<br />

considerations was our intellectual property and how we go<br />

about protecting this in 37 countries. Time, energy, effort and<br />

substantial investment went into securing the correct intellectual<br />

property protection.<br />

Another consideration was how to document all the processes and<br />

systems that we have been using successfully for so many years.<br />

Manuals, videos and training processes had to be created in a<br />

professional manner.<br />

■ If you had to start over, would you do anything<br />

differently?<br />

I think there is always a danger initially that you try and do<br />

everything yourself. One moment you are inspiring children and<br />

parents, the next you put on the hat of an accountant, then a<br />

marketing manager, then an IT specialist… and so on. This is<br />

natural as small companies try to keep costs down. However on<br />

reflection I feel it would be more efficient in the long run to have<br />

key functions of the business staffed from the outset. Invest in the<br />

best staff you possibly can find. Do not compromise.<br />

■ Why should anyone consider a SoulKids<br />

license?<br />

of Rise of ASEAN Conference and the 8th Global<br />

Entrepreneurs Roundtable <strong>2015</strong><br />

MOC Capital Berhad in collaboration with Wealth Mastery Academy<br />

and MICE Preferred hosted the highly anticipated first ever joint<br />

execution of The Rise Of ASEAN Conference and the 8th Global<br />

the cross-investment especially in biomass power generation market.<br />

The signing ceremony was witnessed by Datuk Ir. Dr. Wee Ka Siong,<br />

Dr. Wong Jeh Shyan (Chairman of MOC Capital Berhad), Dato’ Terry<br />

Ong (Managing Director of MOC Capital Berhad), Mr. Andrew Neal<br />

Bride (Finance Director of Torftech Energy Limited) and Mr Chong<br />

The three day event was filled with panel discussion and key notes<br />

from delegates that graced the event with regards to the benefits<br />

and opportunities that ASEAN has to offer. The nights were also full<br />

The second night also showcased the other aspect of ASEAN besides<br />
