GOVERNANCE<br />

The Board will continue to foster strong<br />

relationships with the <strong>RASV</strong>’s joint venture<br />

partner and ensure that the Redevelopment<br />

Project Objectives are achieved.<br />

Board of Directors<br />

The Board’s overarching objectives are to represent<br />

and serve the interests of members, guide and monitor<br />

the business and affairs of <strong>RASV</strong>, and implement good<br />

corporate governance structures consistent with relevant<br />

ASX governance principles, specifically to:<br />

• Provide strategic guidance and approve the<br />

organisation’s strategic/business plans, budgets and<br />

performance targets;<br />

• Lay solid foundations for management and oversight;<br />

• Structure the Board to add value;<br />

• Promote ethical and responsible decision making;<br />

• Safeguard integrity in financial reporting;<br />

• Recognise and manage risk;<br />

• Encourage enhanced performance – from economic,<br />

social and environmental standpoints;<br />

• Remunerate fairly and responsibly;<br />

• Recognise the legitimate interests of <strong>RASV</strong>’s<br />

stakeholders.<br />

The Board will continue to foster strong relationships<br />

with the <strong>RASV</strong>’s joint venture partner and ensure that the<br />

Redevelopment Project Objectives are achieved.<br />

Board Composition<br />

The Board comprises of a maximum of ten Directors and<br />

is chaired by the person so elected by the Directors.<br />

The Board requires its Directors to have a broad<br />

range of expertise and experience, in a field which is<br />

complementary to <strong>RASV</strong>’s activities and strategy, or<br />

with appropriate professional qualifications and proven<br />

ability to make meaningful contributions to the Board’s<br />

deliberations.<br />

Membership Committee<br />

The Membership Committee is appointed by the Board<br />

of Directors. The Committee consists of a minimum of<br />

three members and is chaired by a person nominated by<br />

the chairman and assisted by <strong>RASV</strong>’s General Manager<br />

Marketing & Business Development.<br />

The Committee provides an efficient and effective<br />

mechanism for developing, assessing and recommending<br />

where necessary to the Board strategies and initiatives<br />

in relation to membership growth, member value and<br />

benefits, member utilisation, member satisfaction and<br />

member service and experiences.<br />
