3. Board of Directors<br />

3.1/ The members of the Board as of December 31, <strong>2010</strong> are set forth below. All ages included are as of<br />

3.2 February 15, 2011.<br />

Note that Robert L. Long <strong>and</strong> John L. Whitmire resigned from the Board effective February 28, <strong>2010</strong> <strong>and</strong><br />

July 1, <strong>2010</strong>, respectively.<br />

Note further that Richard L. George resigned from the Board effective February 11, 2011, <strong>and</strong> Robert E.<br />

Rose <strong>and</strong> Victor E. Grijalva will not st<strong>and</strong> for re-election at the 2011 annual general meeting to be held on May 13,<br />

2011.<br />

Class III—Terms Expiring 2011<br />

ROBERT E. ROSE, age 71, U.S. citizen, has served as Chairman of the Board of Directors of the Company since<br />

November 2007. Since February 2009, Mr. Rose has served on the Industry Executive Board of Avista Capital<br />

Partners II, LP, a private equity company. Mr. Rose served as President of Taylor Energy Company LLC, a private<br />

oil <strong>and</strong> gas production company based in New Orleans, Louisiana, from March 2008 until July 2009 when he<br />

resigned as President, but continues to serve on the Board of Directors of Taylor Energy Company LLC. Mr. Rose<br />

was the non-executive Chairman of the Board of Directors of GlobalSantaFe Corporation from March 2004, when<br />

he retired as an employee of GlobalSantaFe, until November 2007. Mr. Rose served as GlobalSantaFe's Executive<br />

Chairman from 2001 until 2004, prior to which he served as the President <strong>and</strong> Chief Executive Officer of Global<br />

Marine after re-joining Global Marine in 1998 <strong>and</strong> as Global Marine's Chairman from 1999 through 2001. He began<br />

his professional career with Global Marine in 1964 <strong>and</strong> left Global Marine in 1976. Mr. Rose then held executive<br />

positions with other offshore drilling companies, including more than a decade as President <strong>and</strong> Chief Executive<br />

Officer of Diamond Offshore Drilling, Inc. <strong>and</strong> its predecessor, Diamond M Company. He resigned from Diamond<br />

Offshore in 1998 <strong>and</strong> served as President <strong>and</strong> Chief Executive Officer of Cardinal Services, Inc., an oil services<br />

company, before re-joining Global Marine. Mr. Rose holds a Master of Business Administration (MBA) degree<br />

from Southern Methodist University, Dallas Texas (1980).<br />

MARTIN B. MCNAMARA, age 63, U.S. citizen, has served as a director of the Company since November 1994.<br />

Mr. McNamara is a retired Partner of the law firm of Gibson, Dunn & Crutcher LLP <strong>and</strong> has served as a member of<br />

the firm's executive, finance, planning <strong>and</strong> compensation committees, as well as a Partner-in-Charge of the firm's<br />

Texas practice. During the past ten years <strong>and</strong> prior to his retirement in <strong>2010</strong>, Mr. McNamara was in the private<br />

practice of law. Mr. McNamara received his Bachelor of Arts degree in 1969 from Providence College <strong>and</strong> his law<br />

degree in 1972 from Yale Law School. Mr. McNamara has served as the chair of the Corporate Counsel Section of<br />

the State Bar of Texas <strong>and</strong> is a lifetime fellow of the Texas Bar Foundation.<br />

IAN C. STRACHAN, age 67, U.K. <strong>and</strong> U.S. citizen, has served as a director of the Company since December<br />

1999. Mr. Strachan is a director of Caithness Petroleum Ltd. (since 2008), Xstrata plc (since 2003), <strong>and</strong> Rolls Royce<br />

Group plc (since 2003). He served as a director of Johnson Matthey plc from 2002 to March 2009 <strong>and</strong> as Chairman<br />

of the Board of Instinet Group Incorporated from January 2003 to December 2005. Mr. Strachan served as Chief<br />

Executive Officer of BTR plc from 1996 until 1999. From 1987 to 1995, Mr. Strachan was with Rio Tinto plc,<br />

serving as Chief Financial Officer from 1987 to 1991 <strong>and</strong> as Deputy Chief Executive Officer from 1991 to 1995. He<br />

was employed by Exxon Corporation from 1970 to 1986. Mr. Strachan received his Master of Arts in History in<br />

1965 from Christ's College, Cambridge University, <strong>and</strong> his Master of Public Affairs in 1967 from the Woodrow<br />

Wilson School, Princeton University <strong>and</strong> was a teaching fellow <strong>and</strong> Ph.D. c<strong>and</strong>idate at Harvard University from<br />

1969 to 1970.<br />

VICTOR E. GRIJALVA, age 72, U.S. citizen, has served as a director of the Company since December 1999 <strong>and</strong><br />

served as Chairman of our Board of Directors until October 2002. He is the retired Vice Chairman of Schlumberger<br />

Limited. Before serving as Vice Chairman, Mr. Grijalva served as Executive Vice President of Schlumberger's<br />

Oilfield Services division from 1994 to January 1999 <strong>and</strong> as Executive Vice President of Schlumberger's Wireline,<br />

Testing & Anadrill division from 1992 to 1994. He is currently a director of Dynegy Inc. (since 2006) <strong>and</strong> Global<br />

Oilfield Services (since 2009). Within the past five years, Mr. Grijalva was also an advisory director of Tenaris S.A.<br />

from 2004 to 2006 <strong>and</strong> a director of Hanover Compressor Company from 2002 to 2006. Mr. Grijalva graduated in<br />

1963 from Carnegie Mellon University with a bachelors degree in electrical engineering <strong>and</strong> in 1964 from the<br />

University of Pennsylvania with a masters degree in electrical engineering.<br />
