In accordance with Article 98 of the Company’s Articles of Association, Y. Bhg. Tan Sri William H.J. Cheng and Y. Bhg.<br />
Datuk Emam Mohd Haniff bin Emam Mohd Hussain retire by rotation at the forthcoming Annual General Meeting and<br />
being eligible, offer themselves for re-election.<br />
Pursuant to Section 129(6) of the Companies Act, 1965, Mr Folk Fong Shing @ Kok Fong Hing and Mr M. Chareon Sae<br />
Tang @ Tan Whye Aun retire and offer themselves for re-appointment as Directors of the Company to hold office until<br />
the next Annual General Meeting.<br />
DIRECTORS’ BENEFITS<br />
Since the end of the previous financial year, no Director of the Company has received or become entitled to receive any<br />
benefit (other than those disclosed in the financial statements) by reason of a contract made by the Company or a related<br />
corporation with any Director or with a firm of which a Director is a member, or with a company in which a Director<br />
has a substantial financial interest save and except for any benefit which may be deemed to have arisen by virtue of<br />
transactions between the Company and its related corporations and certain companies in which certain Directors of<br />
the Company and/or its subsidiaries are substantial shareholders as disclosed in Note 39 to the financial statements.<br />
Except for the following, neither during nor at the end of the financial year, was the Company a party to any arrangement<br />
whose object is to enable Directors to acquire benefits by means of the acquisition of shares in or debentures of the<br />
Company or any other body corporate:<br />
(i) the share options granted pursuant to the Executive Share Option Scheme of the Company;<br />
(ii) the conversion of warrants; and<br />
(iii) the conversion of redeemable convertible secured loan stocks.<br />
