Resolution 2 To approve the payment of Directors’ Fees of RM 80,000. Resolution 3 To re-elect Tan Eng Piow as Director who retires pursuant to Article 84 of the Company’s Articles of Association. Resolution 4 To re-elect General Dato’ Ismail Bin Hassan (R) as Director who retires pursuant to Article 84 of the Company’s Articles of Association. Resolution 5 To re-appoint Auditors and to authorise the Board of Directors to fix their remuneration. Resolution 6 Ordinary Resolution No. 1 Authority to allot shares pursuant to Section 132D of the Companies Act, 1965. Resolution 7 Ordinary Resolution No. 2 Proposed renewal of authority for the Company to purchase its own shares of up to 10% of the issued and paid-up share capital. Resolution 8 Special Resolution No. 1 Proposed Amendment to the Articles of Association (Please indicate with “X” how you wish your vote to be cast. A member entitled to attend and vote at the Annual General Meeting is entitled to appoint a proxy/proxies who may but need not be a member/members of the Company to attend and vote in his/her stead. The provision of Section 149(1) (b) of the Act shall not apply to the Company. 2. When a member appoints more than one proxy (subject always to a maximum of two proxies at each meeting), the appointment shall be invalid unless he/she specifies the proportions of his/her holdings to be represented by each proxy. 3. The instrument appointing a proxy shall be in writing under the hand of the appointor or his attorney duly authorised in writing, or if such appointor is a corporation, either under its common seal or under the hand of an officer or attorney duly authorised. 4. The instrument appointing a proxy must be deposited at the Registered Office at No. 9, Blok D, Pusat Perdagangan Puchong Prima, Persiaran Prima Utama, Taman Puchong Prima, 47150 Puchong, Selangor Darul Ehsan, Malaysia not less than forty-eight (48) hours before the time for holding the Meeting or any adjournment thereof. 5. Depositors who appear in the Record of Depositors as at 1 June 2012 shall be regarded as Member of the Company entitled to attend the Nineteenth Annual General Meeting or appoint a proxy to attend and vote on his behalf.
