Corporate Governance Statement<br />

as at 27 March 2009<br />

Currently, all five Executive Direc<strong>to</strong>rs receive only a nominal salary from <strong>the</strong> Company. The Executive Direc<strong>to</strong>rs have<br />

separate employment contracts with a substantial shareholder or its related company.<br />

The Remuneration Committee is of <strong>the</strong> view that <strong>the</strong> non-executive direc<strong>to</strong>rs are not over-compensated <strong>to</strong> <strong>the</strong> extent<br />

that <strong>the</strong>ir independence may be compromised.<br />

The Company does not have any long-term incentive schemes or employee share option scheme.<br />

PRINCIPLE 9<br />

Each company should provide clear disclosure of its remuneration policy, level and mix of remuneration, and <strong>the</strong><br />

procedure for setting remuneration in <strong>the</strong> company’s annual report. It should provide disclosure in relation <strong>to</strong> its<br />

remuneration policies <strong>to</strong> enable inves<strong>to</strong>rs <strong>to</strong> understand <strong>the</strong> link between remuneration paid <strong>to</strong> direc<strong>to</strong>rs and key<br />

executives, and performance.<br />

The annual remuneration report below sets out <strong>the</strong> names of <strong>the</strong> Direc<strong>to</strong>rs and <strong>to</strong>p five executives for <strong>the</strong> last <strong>financial</strong><br />

year earning annual remuneration, which falls within bands of $250,000. Within each band, <strong>the</strong>re is a breakdown (in<br />

percentage terms) of each Direc<strong>to</strong>r’s remuneration earned through fees, fixed salary, variable or performance-related<br />

income or bonuses, and benefits in kind. There are no employees in <strong>the</strong> Company who are <strong>the</strong> immediate family<br />

members of any of <strong>the</strong> direc<strong>to</strong>rs and whose remuneration exceeds S$150,000 during <strong>the</strong> last <strong>financial</strong> year.<br />

The breakdown (in percentage terms) of each direc<strong>to</strong>r’s remuneration earned through fees, fixed salary, variable<br />

bonuses and benefits in kind are as follows:<br />
