DIRECTORS’ REPORT For the financial year ended 31 December 2008 Directors’ contractual benefits Since the end of the previous financial year, no director has received or become entitled to receive a benefit by reason of a contract made by the Company or a related corporation with the director or with a firm of which he is a member or with a company in which he has a substantial financial interest, except as disclosed in the accompanying financial statements and in this report, and except that certain directors have employment relationships with related corporations of the ultimate holding company and have received remuneration in those capacities. Share options No options were granted during the financial year to subscribe for unissued shares of the Company or its subsidiaries. No shares were issued during the financial year by virtue of the exercise of options to take up unissued shares of the Company or its subsidiaries. There were no unissued shares of the Company or its subsidiaries under option at the end of the financial year. Audit Committee The Audit Committee performs the functions specified by Section 201B(5) of the Singapore Companies Act, the Listing Manual and the Singapore Code of Corporate Governance. The Audit Committee, which is a sub-committee of the Board of Directors, comprises four members, all of whom are independent non-executive directors. The members of the Audit Committee are: Mr Cheng Hong Kok (Chairman) Mr Hin Hoo Sing Mr Heng Chiang Meng Mr Lucas Chow Wing Keung (appointed on 1 July 2008) The Audit Committee meets periodically with management, the internal auditors and the external auditors of the Company to discuss the scope and results of the internal and statutory audits, financial and operating results, internal controls, accounting policies and other significant matters, including the financial statements that accompany this report. The Audit Committee has recommended to the Board of Directors the nomination of PricewaterhouseCoopers LLP for re-appointment as independent auditor of the Company at the forthcoming Annual General Meeting. The Audit Committee has conducted an annual review of non-audit services provided by the independent auditor to satisfy itself that the nature and extent of such services will not prejudice their independence and objectivity before confirming their re-nomination. 20 ANNUAL REPORT 2008 ORCHARD PARADE HOLDINGS LIMITED
