1 PRELIMINARY<br />

1 TENDER BASIS<br />
1.1 Interpretation <strong>of</strong> Terms<br />
CONDITIONS OF TENDER<br />
1.1.1 Unless a contrary intention is indicated, this RFT is to be interpreted in the same manner, <strong>and</strong><br />
its terms shall have the same meaning, as in the draft Conditions <strong>of</strong> Contract at Part Three.<br />
1.2 Inconsistency<br />
1.2.1 If there is an inconsistency between any part <strong>of</strong> the RFT, a descending order <strong>of</strong> precedence<br />
shall be accorded to:<br />
(a) the Conditions <strong>of</strong> <strong>Tender</strong>;<br />
(b) the draft Conditions <strong>of</strong> Contract;<br />
(c) the Statement <strong>of</strong> Requirement; <strong>and</strong><br />
(d) the Introduction<br />
so that the provision in the higher ranked document shall, to the extent <strong>of</strong> the inconsistency,<br />
prevail.<br />
1.3 Variation <strong>of</strong> RFT<br />
1.3.1 The [...INSERT AGENCY NAME...] reserves the right to amend the RFT upon giving<br />
tenderers timely written notice <strong>of</strong> such amendment.<br />
1.3.2 The [...INSERT AGENCY NAME...] reserves the right, in its absolute discretion, to terminate<br />
the tender process by notice in writing to tenderers.<br />
2 MATTERS CONCERNING TENDER LODGEMENT<br />
2.1 Part <strong>Tender</strong>s<br />
2.1.1 The [...INSERT AGENCY NAME...] [will/will not] consider a tender <strong>for</strong> part <strong>of</strong> the Services.<br />
2.2 Joint <strong>Tender</strong>s<br />
2.2.1 The [...INSERT AGENCY NAME...] [will/will not] consider a joint tender <strong>for</strong> the Services.<br />
[Where the Agency will accept joint tenders it is recommended that the following statement be inserted:<br />
“[...INSERT AGENCY NAME...] has a preference to contract with a single legal entity. <strong>Tender</strong>s by a joint<br />
venture must be submitted on the basis that one party will act as prime contractor <strong>and</strong> the other party will<br />
provide services as a subcontractor to the prime contractor. If this option is <strong>of</strong>fered, the activities to be<br />
per<strong>for</strong>med, <strong>and</strong> responsibility assumed, by each party, must be clearly specified in the tender response.”<br />
2.3 Alternative <strong>Tender</strong>s<br />
2.3.1 Provided that the tenderer also submits a tender that complies with the Statement <strong>of</strong><br />
Requirement (SOR) the [...INSERT AGENCY NAME...] may consider an alternative tender not<br />
meeting the SOR on the condition that the alternative tender:<br />
(a) includes a completed Statement <strong>of</strong> Compliance relating to the alternative tender;<br />
(b)<br />
is fully described <strong>and</strong> its advantages, disadvantages, limitations <strong>and</strong> capabilities are<br />
fully stated;<br />

(c)<br />
(d)<br />
is fully costed; <strong>and</strong><br />
includes sufficient in<strong>for</strong>mation to allow comparison <strong>of</strong> the alternative tender with tenders<br />
that meet the SOR.<br />
2.3.2 Failure to provide the in<strong>for</strong>mation requested in clause 2.3.1 may result in the […INSERT<br />
NAME OF AGENCY…] not considering the alternative tender.<br />
2.4 Alterations, Erasures or Illegibility<br />
2.4.1 <strong>Tender</strong>s containing alterations or erasures, <strong>and</strong> tenders in which prices or other in<strong>for</strong>mation<br />
necessary <strong>for</strong> evaluation <strong>of</strong> the tender are not clearly <strong>and</strong> legibly stated, may be excluded<br />
from consideration at the discretion <strong>of</strong> the [...INSERT AGENCY NAME...]. Any alteration<br />
made to a tender must be initialled by the tenderer.<br />
2.5 Copies <strong>of</strong> <strong>Tender</strong><br />
2.5.1 The original <strong>and</strong> [....INSERT NUMBER OF COPIES REQUIRED....] copies <strong>of</strong> the tender <strong>and</strong><br />
any supporting material shall be submitted. The original is to be marked "Original" <strong>and</strong> each<br />
copy sequentially marked with a copy number. In the event <strong>of</strong> any discrepancy between the<br />
copies <strong>and</strong> the original, the original is to take precedence.<br />
2.5.2 The tenderer shall, in addition to lodging the copies required by clause 2.5.1 submit<br />
electronically stored copies, with read only access, which are machine readable in Micros<strong>of</strong>t<br />
Word/6.0 (Rich Text Format) RTF <strong>for</strong>mat on 3.5” floppy disc or CD-ROM. In the event <strong>of</strong> any<br />
discrepancy between the electronically stored copy <strong>and</strong> the original, the original is to take<br />
precedence.<br />
Note: The Agency may wish to adapt this provision as required <strong>for</strong> their own IT systems.<br />
2.6 Lodgement <strong>of</strong> <strong>Tender</strong>s<br />
2.6.1 <strong>Tender</strong>s must be lodged in the <strong>Tender</strong> Box at [...INSERT DETAILS...] on or be<strong>for</strong>e close <strong>of</strong><br />
business (4:30 p.m.) on [....INSERT DATE....] (the <strong>Tender</strong> Closing Time).<br />
2.6.2 <strong>Tender</strong>s must be enclosed in a sealed envelope or other sealed container <strong>and</strong> clearly marked<br />
on the outside with the RFT reference number <strong>and</strong> closing date in order to minimise<br />
mish<strong>and</strong>ling.<br />
2.6.3 <strong>Tender</strong>s lodged after the <strong>Tender</strong> Closing Time will be taken to be “Late <strong>Tender</strong>s”. Late<br />
<strong>Tender</strong>s will be opened <strong>and</strong> registered separately <strong>and</strong> may be excluded from the evaluation<br />
process at the sole <strong>and</strong> absolute discretion <strong>of</strong> the [...INSERT AGENCY NAME...]. Matters the<br />
[...INSERT AGENCY NAME...] may take into consideration in exercising its discretion include<br />
the circumstances surrounding the submission <strong>and</strong> receipt <strong>of</strong> the Late <strong>Tender</strong>, including:<br />
(a)<br />
(b)<br />
(c)<br />
how late the tender is, <strong>and</strong> the reasons provided <strong>for</strong> the late submission, supported by<br />
appropriate explanatory evidence;<br />
the length <strong>of</strong> time permitted <strong>for</strong> the preparation <strong>of</strong> tenders, including any extension<br />
permitted under clause 2.7; <strong>and</strong><br />
whether the [...INSERT AGENCY NAME...] is satisfied that the tenderer lodging the<br />
Late <strong>Tender</strong> is unlikely to obtain an unfair advantage through the lodgement <strong>of</strong> a Late<br />
<strong>Tender</strong>.<br />
2.6.4 Any decision by the [...INSERT AGENCY NAME...] on whether or not to admit a Late <strong>Tender</strong><br />
to the evaluation process shall be final.<br />

2.6.5 Should the tenderer become aware <strong>of</strong> any discrepancy, error or omission in the tender<br />
document submitted, <strong>and</strong> the tenderer wishes to lodge a correction or provide additional<br />
in<strong>for</strong>mation, that material must be in writing <strong>and</strong> lodged prior to the <strong>Tender</strong> Closing Time.<br />
2.7 Extension <strong>of</strong> <strong>Tender</strong> Closing Time<br />
2.7.1 The <strong>Tender</strong> Closing Time may be extended, at the sole <strong>and</strong> absolute discretion <strong>of</strong> the<br />
[...INSERT AGENCY NAME...], by written notice from the [...INSERT AGENCY NAME...]. Any<br />
extension notice will be given the same distribution as the original <strong>Request</strong> For <strong>Tender</strong>.<br />
2.8 <strong>Tender</strong> Delivery<br />
2.8.1 <strong>Tender</strong>s may be delivered to the address specified in clause 2.6.1, by h<strong>and</strong> (by the tenderer<br />
or the tenderer’s private agent) or sent via registered post. Facsimile transmissions <strong>and</strong> e-<br />
mail will not be accepted.<br />
2.8.2 Where tenders are mailed, [...INSERT AGENCY NAME...] staff will, subject to this clause 2.8,<br />
place the tenders in the <strong>Tender</strong> Box. While reasonable ef<strong>for</strong>ts will be made to place mailed<br />
tenders in the <strong>Tender</strong> Box in a timely fashion, the [...INSERT AGENCY NAME...] gives no<br />
undertaking or warranty that tenders mailed to <strong>and</strong> received at the <strong>of</strong>fices <strong>of</strong> the [...INSERT<br />
AGENCY NAME...] be<strong>for</strong>e the deadline will be lodged in the <strong>Tender</strong> Box be<strong>for</strong>e the <strong>Tender</strong><br />
Closing Time. <strong>Tender</strong>ers submitting tenders by mail do so at their own risk. <strong>Tender</strong>ers are<br />
encouraged to lodge tenders by h<strong>and</strong>.<br />
2.8.3 In the event that it is unclear whether a tender was lodged prior to the <strong>Tender</strong> Closing Time,<br />
the onus is on the tenderer to establish that the tender was lodged prior to the <strong>Tender</strong> Closing<br />
Time. The [...INSERT AGENCY NAME...] may require the tenderer to provide pro<strong>of</strong> <strong>of</strong><br />
delivery. For this reason tenderers should ensure that they have documentary pro<strong>of</strong> <strong>of</strong> the<br />
delivery <strong>of</strong> tenders.<br />
3 MATTERS CONCERNING TENDER RESPONSE<br />
3.1 Period <strong>of</strong> <strong>Tender</strong><br />
3.1.1 The [...INSERT AGENCY NAME...] requires that tenders submitted in response to this RFT<br />
remain open <strong>for</strong> acceptance <strong>for</strong> a period <strong>of</strong> not less than six (6) months after the <strong>Tender</strong><br />
Closing Time. <strong>Tender</strong>ers shall state any longer period <strong>for</strong> which its <strong>of</strong>fer comprised in this<br />
tender remains valid <strong>for</strong> acceptance.<br />
3.2 Language <strong>of</strong> <strong>Tender</strong>s<br />
3.2.1 The tender, including all attachments <strong>and</strong> supporting material, is to be written in English with<br />
definitions provided <strong>for</strong> any industry terms used. Unless otherwise specified, measurement is<br />
to be expressed in Australian legal units <strong>of</strong> measurement.<br />
3.3 <strong>Tender</strong> Preparation<br />
3.3.1 <strong>Tender</strong>ers are to complete <strong>and</strong> provide the in<strong>for</strong>mation requested in this RFT, including:<br />
(a) the Declaration by <strong>Tender</strong>er at Annex A;<br />
(b) the Schedule <strong>of</strong> In<strong>for</strong>mation to be supplied by <strong>Tender</strong>ers at Annex B;<br />
(c) the Statement <strong>of</strong> Compliance at Annex D; <strong>and</strong><br />
(d) the <strong>Tender</strong>er’s Privacy Statement at Annex E.<br />
3.3.2 Where clauses in this RFT (including the draft Conditions <strong>of</strong> Contract) require in<strong>for</strong>mation to<br />
be provided by the tenderer, this in<strong>for</strong>mation is to be included in the relevant section <strong>of</strong> Annex<br />
B, or incorporated in the Statement <strong>of</strong> Compliance at Annex D.<br />

3.3.3 Supporting documentation may be provided to enhance the proposal contained in the tender.<br />
Supporting documentation must be provided be<strong>for</strong>e the <strong>Tender</strong> Closing Time. Any supporting<br />
documentation which, in the opinion <strong>of</strong> [...INSERT AGENCY NAME...], materially alters the<br />
tender will not be admitted to the evaluation.<br />
3.3.4 <strong>Tender</strong>ers must ensure that the tender is complete, includes the correct number <strong>of</strong> copies,<br />
<strong>and</strong> contains clear <strong>and</strong> concise responses to all matters identified in this RFT. Failure to<br />
completely respond to the requirements <strong>of</strong> this RFT may lead to the tender being set aside <strong>for</strong><br />
incompleteness.<br />
3.4 Improper Assistance<br />
3.4.1 <strong>Tender</strong>ers shall not use the improper assistance <strong>of</strong> employees or <strong>for</strong>mer employees <strong>of</strong> the<br />
Commonwealth, or in<strong>for</strong>mation unlawfully obtained from the Commonwealth, in compiling their<br />
tenders. The [...INSERT AGENCY NAME...] may set aside a tender which has been compiled<br />
with such improper assistance or unlawfully obtained in<strong>for</strong>mation.<br />
3.5 Statement <strong>of</strong> Compliance<br />
3.5.1 <strong>Tender</strong>ers are to state at Annex D their compliance or otherwise with each clause <strong>of</strong> the RFT<br />
including the Conditions <strong>of</strong> <strong>Tender</strong>, the Draft Conditions <strong>of</strong> Contract <strong>and</strong> the Statement <strong>of</strong><br />
Requirement. Responses are to be in the order in which the clauses appear <strong>and</strong> refer to the<br />
relevant clause number, Schedule or Attachment. Non-committal terms such as “noted”<br />
should not be used. Responses are to be limited, wherever possible, to the following<br />
expressions:<br />
(a) “complies” means:<br />
(i) in the case <strong>of</strong> a clause which imposes a contractual condition, that the condition<br />
is agreed to;<br />
(ii) in the case <strong>of</strong> a clause which specifies a characteristic or per<strong>for</strong>mance to be met<br />
by the Services provided, that the tender is to provide the requirement as<br />
specified;<br />
(iii) in the case <strong>of</strong> a clause which is <strong>of</strong> an in<strong>for</strong>mative nature only, that the clause has<br />
been read, understood <strong>and</strong> is agreed; or<br />
(iv) in the case <strong>of</strong> a clause where in<strong>for</strong>mation has been requested, that the<br />
in<strong>for</strong>mation has been provided in the required level <strong>of</strong> detail <strong>and</strong> in the required<br />
<strong>for</strong>mat.<br />
(b) “does not comply” – means that the contractual condition, characteristic or per<strong>for</strong>mance<br />
requirement <strong>of</strong> the clause cannot or will not be met by the tenderer.<br />
3.5.2 Where a tender does not comply with a particular clause, the manner <strong>and</strong> extent <strong>of</strong> noncompliance,<br />
including implications <strong>for</strong> any proposed contract, is to be stated at Annex D. The<br />
tenderer is to provide separately a summary list <strong>of</strong> clauses in respect <strong>of</strong> which there is noncompliance,<br />
including, where practicable, details <strong>of</strong> any amendments proposed, or alternative<br />
clauses considered suitable <strong>for</strong> the requirement.<br />
3.6 <strong>Tender</strong>ers to In<strong>for</strong>m Themselves<br />
3.6.1 <strong>Tender</strong>ers shall be deemed to have:<br />
(a) examined the RFT, any documents referenced herein, <strong>and</strong> any other in<strong>for</strong>mation made<br />
available in writing by the [...INSERT AGENCY NAME...] to tenderers <strong>for</strong> the purpose <strong>of</strong><br />
tendering;<br />
(b) examined all further in<strong>for</strong>mation which is obtainable by making reasonable enquiries<br />
relevant to the risks, contingencies, <strong>and</strong> other circumstances having an effect on their<br />
tender; <strong>and</strong><br />

satisfied themselves as to the correctness <strong>and</strong> sufficiency <strong>of</strong> their tenders, including<br />
tendered prices.<br />
3.6.2 <strong>Tender</strong>s are submitted on the basis that tenderers acknowledge that:<br />
(a) they do not rely on any representation, letter, document or arrangement, whether oral or<br />
in writing, or other conduct as adding to or amending these conditions, other than<br />
amendments in accordance with clause 1.3 <strong>of</strong> these Conditions <strong>of</strong> <strong>Tender</strong>;<br />
(b) they do not rely upon any warranty or representation made by or on behalf <strong>of</strong> the<br />
[..INSERT AGENCY NAME...], except as are expressly provided <strong>for</strong> herein, <strong>and</strong> they<br />
have relied entirely upon their own enquiries <strong>and</strong> inspection in respect <strong>of</strong> the subject <strong>of</strong><br />
their tender;<br />
(c) the [...INSERT AGENCY NAME...]shall not be responsible <strong>for</strong> any costs or expenses<br />
incurred by tenderers in complying with the requirements <strong>of</strong> this RFT; <strong>and</strong><br />
(d) neither these conditions nor the tender give rise to contractual obligations between the<br />
tenderer <strong>and</strong> the [...INSERT AGENCY NAME...].<br />
3.7 Ownership <strong>of</strong> <strong>Tender</strong> Documents<br />
3.7.1 <strong>Tender</strong>ers acknowledge that the [...INSERT AGENCY NAME...] must retain all documents<br />
submitted in response to this RFT to enable evaluation <strong>of</strong> tenders <strong>and</strong> to comply with<br />
obligations relating to accountability <strong>and</strong> record keeping. Accordingly, tenderers submit<br />
documents in response to this RFT on the basis that they will become the property <strong>of</strong> the<br />
[...INSERT AGENCY NAME...] <strong>and</strong> that the [...INSERT AGENCY NAME...] may use the<br />
in<strong>for</strong>mation contained in those documents <strong>for</strong> tender evaluation purposes, negotiations <strong>and</strong><br />
the preparation, administration or management <strong>of</strong> any subsequent contract, <strong>and</strong> may copy the<br />
documents <strong>for</strong> these purposes.<br />
3.7.2 <strong>Tender</strong>ers should note that the [...INSERT AGENCY NAME...] may provide the tender<br />
documentation, or any part there<strong>of</strong>, to a third party <strong>for</strong> the purposes <strong>of</strong> assisting the<br />

subsequent contract.<br />
3.7.3 Notwithst<strong>and</strong>ing clause 3.7.1, <strong>and</strong> without prejudice to anything agreed in any subsequent<br />
contract, ownership <strong>of</strong> the Intellectual Property in the in<strong>for</strong>mation contained in the tender<br />
documents shall remain vested in the person with the original ownership <strong>of</strong> that Intellectual<br />
Property.<br />
3.7.4 <strong>Tender</strong>ers should also note the provisions <strong>of</strong> the Freedom <strong>of</strong> In<strong>for</strong>mation Act 1982 <strong>and</strong> the<br />
commercial confidentiality aspects <strong>of</strong> this RFT. Matters or items which are commercial in<br />
confidence should be clearly identified as such.<br />
4 ASSESSMENT OF TENDERS<br />
4.1 <strong>Tender</strong> Assessment<br />
4.1.1 <strong>Tender</strong>s will be assessed to determine the tender representing the overall best value <strong>for</strong><br />
money consistent with Australian Government procurement policies (including the Agency’s<br />
Chief Executive Instructions, etc).<br />
4.1.2 Subject to clause 4.1.1, the criteria to be applied <strong>for</strong> the purposes <strong>of</strong> evaluation may include<br />

4.1.3 <strong>Tender</strong>ers should note that the list <strong>of</strong> criteria is not exhaustive <strong>and</strong> the category (b) evaluation<br />
criteria are not in any order <strong>of</strong> importance. The [...INSERT AGENCY NAME...] reserves the<br />
right, in its absolute discretion, to evaluate tenders as [...INSERT AGENCY NAME...] deems<br />
appropriate in the context <strong>of</strong> its requirement <strong>for</strong> the Services, including the determination <strong>of</strong><br />
the evaluation criteria <strong>and</strong> the significance to be applied to particular evaluation criteria.<br />
4.1.4 The [...INSERT AGENCY NAME...] may, in its sole <strong>and</strong> absolute discretion, use any relevant<br />
in<strong>for</strong>mation obtained in relation to a tender, either through the tender process or by<br />
independent inquiry, in the evaluation <strong>of</strong> tenders.<br />
4.1.5 <strong>Tender</strong> responses which, in the opinion <strong>of</strong> [….INSERT AGENCY NAME…...], are incomplete,<br />
non-compliant with essential Agency requirements, or clearly not competitive, may, at any<br />

clarification in accordance with clause 4.1.9. .<br />
4.1.6 Neither the lowest priced tender nor any tender will necessarily be accepted by the [...INSERT<br />

any tender regardless <strong>of</strong> its compliance or non-compliance with the RFT.<br />
4.1.7 The [...INSERT AGENCY NAME...] reserves the right to accept separate tenders <strong>for</strong> discrete<br />
elements <strong>of</strong> the requirement, or any item or items, or part or parts there<strong>of</strong>, as provided in the<br />
tender or tenders.<br />

4.1.8 These Conditions <strong>of</strong> <strong>Tender</strong> are expressly not a contract between the [...INSERT AGENCY<br />
NAME...] <strong>and</strong> the tenderer. Nothing in this <strong>Request</strong> <strong>for</strong> <strong>Tender</strong>, nor in any tender received,<br />
shall be construed as to give rise to contractual obligations, express or implied. No contract<br />
shall be created in relation to a tender until a <strong>for</strong>mal contract is executed between the<br />

Part Three.<br />
4.1.9 The [...INSERT AGENCY NAME...] reserves the right to seek clarification in relation to any<br />
ambiguity or uncertainty from any or all <strong>of</strong> the tenderers in relation to their tender, including<br />
matters concerning the tenderer’s proposed contractors. The [...INSERT AGENCY NAME...]<br />
may also request to visit the facilities <strong>of</strong> tenderers <strong>and</strong> their proposed contractors to clarify<br />
parts <strong>of</strong> the tenders.<br />
4.2 Negotiations<br />
4.2.1 The [...INSERT AGENCY NAME...] reserves the right to enter into negotiations with any one<br />
or more tenderers, including tenderers who have lodged non-compliant tenders.<br />
4.2.2 These conditions are not intended to limit the scope <strong>of</strong> negotiations. The tender shall not be<br />
deemed to have been accepted unless <strong>and</strong> until a <strong>for</strong>mal written contract has been executed<br />
by the tenderer <strong>and</strong> the [...INSERT AGENCY NAME...]. Notification from the [...INSERT<br />
AGENCY NAME...] to any tenderer that it is a preferred, selected or successful tenderer shall<br />
not constitute an acceptance or rejection <strong>of</strong> any tender.<br />
4.2.3 The [...INSERT AGENCY NAME...] reserves the right to terminate negotiations with any<br />
tenderer <strong>and</strong> commence negotiations with any other tenderer, at any time. In particular, the<br />
[...INSERT AGENCY NAME...] may reject a tender <strong>and</strong> consider other tenders in<br />
circumstances where, during the contract negotiations, the tenderer seeks to vary the terms <strong>of</strong><br />
its tender, including, without limitation, price or its stated compliance with the draft Contract<br />

Conditions at Part Three.<br />
4.3 Debriefing<br />
4.3.1 After a contract is arranged with the successful tenderer, all unsuccessful tenderers will be<br />
invited to attend a private debriefing with the Agency to discuss the reasons <strong>for</strong> their nonselection.<br />
<strong>Tender</strong>ers will be debriefed against the evaluation criteria contained in clause 4.1.2.<br />
In accordance with Australian Government policy, unsuccessful tenderers may only be<br />
provided with the name <strong>of</strong> the successful tenderer <strong>and</strong> the total price <strong>of</strong> the tender. No<br />
comparisons with other tenders will be made.<br />
5 MATTERS AFFECTING THE TERMS AND CONDITIONS OF CONTRACT<br />
5.1 The draft Contract at Part Three <strong>of</strong> this RFT represents the preferred terms <strong>and</strong> conditions on<br />
which the [...INSERT AGENCY NAME...] wishes to contract with the successful tenderer.<br />
5.2 However, it is acknowledged [...INSERT AGENCY NAME...] that there may be additional or<br />
alternative terms <strong>and</strong> conditions in relation to the provision <strong>of</strong> Services in accordance with<br />
specific Product Modules (‘Product-specific terms <strong>and</strong> conditions’). <strong>Tender</strong>ers are to provide<br />
complete details <strong>of</strong> any Product-specific terms <strong>and</strong> conditions, <strong>and</strong> their effect on the provision<br />
<strong>of</strong> the Services.<br />
5.3 <strong>Tender</strong>ers are to provide details in Annex D <strong>of</strong> any perceived inconsistency between the<br />
proposed Product-specific terms <strong>and</strong> conditions <strong>and</strong> the draft Contract in Part Three.<br />
5.4 <strong>Tender</strong>ers who are listed on the pre-qualification panel are advised that they will be evaluated<br />
on the basis that, with the exception <strong>of</strong> Product-specific terms <strong>and</strong> conditions, they are<br />
compliant with the draft Contract at Part Three. Any stated non-compliance with the draft<br />
Contract, other than in relation to Product-specific terms <strong>and</strong> conditions, may result in the<br />
tenderer being less preferred than those tenders which confirm their compliance with the draft<br />
Conditions <strong>of</strong> Contract.<br />
6 MATTERS AFFECTING TENDERED FEES AND PRICE BASIS<br />
6.1 Fees are to be tendered, <strong>and</strong> the [...INSERT AGENCY NAME...] will make contractual<br />
payments, in Australian dollars.<br />
6.2 The tenderer must provide details <strong>of</strong> those fees <strong>and</strong> charges which can, where possible, be<br />
firm <strong>for</strong> the Term <strong>of</strong> the Contract, <strong>and</strong> those fees <strong>and</strong> charges which will be variable<br />
throughout the Term <strong>of</strong> the Contract. The tenderer shall submit fees <strong>for</strong> the Services in<br />
accordance with paragraph 3 <strong>of</strong> Annex B <strong>of</strong> these Conditions <strong>of</strong> <strong>Tender</strong>. Where fees <strong>for</strong><br />
specific transaction volumes are sought in accordance with paragraph 3 <strong>of</strong> Annex B, these<br />
fees shall be firm <strong>for</strong> the specified transaction volumes <strong>and</strong> the transaction volume to which<br />
each price applies should be shown.<br />
6.3 <strong>Tender</strong>ed fees are to be inclusive <strong>of</strong> all costs <strong>of</strong> complying with the Conditions <strong>of</strong> <strong>Tender</strong> <strong>and</strong><br />
associated with providing the Services <strong>and</strong> carrying out all matters <strong>and</strong> doing all things<br />
necessary <strong>for</strong> the due <strong>and</strong> proper per<strong>for</strong>mance <strong>and</strong> completion <strong>of</strong> the proposed Contract.<br />
Fees <strong>and</strong> charges <strong>of</strong>fered in the tender may not be modified during tender evaluation.<br />
6.4 The conditions <strong>of</strong> Contract in Part Three provide <strong>for</strong> the Parties to be responsible <strong>for</strong> taxes,<br />
duties <strong>and</strong> charges levied or imposed upon them. The Banker will be responsible <strong>for</strong> all<br />
overseas taxes, duties <strong>and</strong> charges <strong>and</strong> all Australian (Federal, State <strong>and</strong> Local Government)<br />
taxes, duties <strong>and</strong> charges levied or imposed on the Banker. The conditions <strong>of</strong> Contract also<br />
incorporate a mechanism <strong>for</strong> passing on taxes, duties <strong>and</strong> charges payable by the [...INSERT<br />
AGENCY NAME...] to the [...INSERT AGENCY NAME...].<br />

6.5 Goods <strong>and</strong> Services Tax (GST) is applicable to all services which are ‘taxable supplies’ within<br />
the meaning <strong>of</strong> A New Tax System (Goods <strong>and</strong> Services Tax) Act 1999 (the GST Act). The<br />
tenderer must provide details <strong>of</strong> any Services which are ‘taxable supplies’ within the meaning<br />
<strong>of</strong> the GST Act, <strong>and</strong> their approach to pricing <strong>for</strong> these Services. <strong>Tender</strong>ers are required to<br />
separately identify the GST component <strong>of</strong> any fees on ‘taxable supplies’.<br />
7 AUSTRALIAN GOVERNMENT REQUIREMENTS<br />
7.1 Australian <strong>and</strong> New Zeal<strong>and</strong> Supplies Policy<br />
7.1.1 The Australian Government is committed to maximising opportunities, consistent with the<br />
principles <strong>of</strong> value <strong>for</strong> money, <strong>for</strong> Australian <strong>and</strong> New Zeal<strong>and</strong> (ANZ) industry development.<br />
The Government has directed all agencies not to draw up purchasing specifications (including<br />
technical, per<strong>for</strong>mance <strong>and</strong> functional), <strong>and</strong> conditions <strong>of</strong> contract, so as to exclude ANZ<br />
goods or services which are suitable <strong>for</strong>, or reasonably adaptable to the Agency’s needs, nor<br />
to evaluate tenders in a manner that is biased against ANZ suppliers. <strong>Tender</strong>ers who consider<br />
the above directions are not being followed should contact the organisation that issued the<br />
RFT.<br />
7.2 Freedom <strong>of</strong> In<strong>for</strong>mation<br />
7.2.1 The Freedom <strong>of</strong> In<strong>for</strong>mation Act 1982, gives to members <strong>of</strong> the public rights <strong>of</strong> access to<br />
<strong>of</strong>ficial documents <strong>of</strong> the Australian Government <strong>and</strong> its agencies. The Act extends, as far as<br />
possible, the right <strong>of</strong> the Australian community to access in<strong>for</strong>mation (generally documents) in<br />
the possession <strong>of</strong> the Australian Government, limited only by considerations <strong>of</strong> the protection<br />
<strong>of</strong> essential public interest <strong>and</strong> <strong>of</strong> the private <strong>and</strong> business affairs <strong>of</strong> persons in respect <strong>of</strong><br />
whom in<strong>for</strong>mation is collected <strong>and</strong> held by departments <strong>and</strong> public authorities.<br />
7.2.2 <strong>Tender</strong>ers should also be aware that Commonwealth regulations require the person who<br />
enters into a contract on behalf <strong>of</strong> the Australian Government <strong>for</strong> procurement <strong>of</strong> services<br />
exceeding a specific monetary amount to publish certain identifying details <strong>of</strong> the contract in<br />

7.3 Affirmative Action<br />

ANNEX B – SCHEDULE OF INFORMATION TO BE SUPPLIED BY<br />
TENDERERS<br />
Note: The clauses in this Annex seek what might be considered st<strong>and</strong>ard in<strong>for</strong>mation consistent with general<br />
Banking Services requirements <strong>of</strong> the Agency <strong>and</strong> the structure <strong>of</strong> the RFT <strong>and</strong> Contract. The Agency must<br />
carefully consider, <strong>and</strong> request, the type <strong>of</strong> in<strong>for</strong>mation it considers may be relevant to the overall quality <strong>and</strong><br />
delivery <strong>of</strong> Banking Services <strong>for</strong> the Agency over the term <strong>of</strong> the Contract, <strong>and</strong> <strong>for</strong> evaluation purposes. In<br />
particular, the Agency must ensure that the in<strong>for</strong>mation supplied by tenderers can be related to the<br />
evaluation criteria, <strong>and</strong> is sufficient to enable the Agency to effectively evaluate the tender in accordance<br />
with the published evaluation criteria.<br />
1 FORMAT FOR RESPONSES<br />
1.1 <strong>Tender</strong>ers are requested to submit their responses in a <strong>for</strong>mat that presents in<strong>for</strong>mation in the<br />

identified in this RFT <strong>and</strong> any Schedules, Annexes or Attachments hereto. The tender<br />
response is to be structured in the order in which the clauses appear with identical section<br />
clause numbering etc. The tender must be clear <strong>and</strong> precise <strong>and</strong> must refer, where<br />

pricing must be complete. Any fees or charges not stated as being additional will not be<br />
allowed as a charge against any <strong>of</strong> the specified services under any contract entered into as a<br />
result <strong>of</strong> this RFT. To assist evaluation <strong>of</strong> the <strong>of</strong>fer the tenderer should state the basis upon<br />
which the proposed fees are charged (e.g. per transaction, by dollar value, per facility, etc).<br />
6.2 Where requested in the Statement <strong>of</strong> Requirement, pricing in<strong>for</strong>mation must be related to<br />
specific transaction volumes set out in Annex D.<br />
6.3 <strong>Tender</strong>ers must indicate against the relevant service items in the Statement <strong>of</strong> Requirement,<br />
any pricing that is, or may be, subject to variation during the proposed Term <strong>of</strong> any contract<br />
entered into as a result <strong>of</strong> this RFT, <strong>and</strong> state the basis upon which prices would, or would be<br />
expected to vary. <strong>Tender</strong>ers must also provide a summary <strong>of</strong> all pricing under the proposed<br />
contract, including transition costs <strong>and</strong> licensing <strong>and</strong> interface fees (if any), as a separate<br />
attachment to this Annex B.<br />
6.4 <strong>Tender</strong>ers are required to provide details <strong>of</strong> any Services which are ‘taxable supplies’ within the<br />
meaning <strong>of</strong> the A New Tax System (Goods <strong>and</strong> Service Tax) Act 1999 (the GST Act), <strong>and</strong> their<br />
approach to the treatment <strong>of</strong> GST in relation to the Fees payable <strong>for</strong> such Services. <strong>Tender</strong>ers<br />
are required to separately identify the GST component <strong>of</strong> any fees on ‘taxable supplies’ (refer<br />
Part Two, clause 6).<br />
Note: Drafters must ensure that the RFT is consistent with their Agency’s specific policy <strong>and</strong> procedures in<br />
relation to the development <strong>and</strong> evaluation <strong>of</strong> tenders, in particular, pricing. This RFT is drafted on the<br />
basis that pricing in<strong>for</strong>mation will be embedded in the tender in association with Product Modules. Where<br />
Agency policy in relation to the evaluation <strong>of</strong> tenders requires pricing to be provided as a separate<br />
schedule, the Agency must ensure that the RFT is amended to reflect this requirement.<br />
7 SERVICE LEVELS<br />
7.1 The Statement <strong>of</strong> Requirement at Part Four may set out specific Service Level requirements<br />
against a number <strong>of</strong> service items. <strong>Tender</strong>ers are requested to indicate whether they would be<br />
prepared to comply with these requirements or <strong>of</strong>fer other Service Levels (including any<br />
additional costs in relation to the application <strong>of</strong> Service Levels) <strong>and</strong> incorporate those in any<br />
contract entered into as a result <strong>of</strong> this RFT. The Agency may have a particular interest in the<br />
possibility <strong>of</strong> Service Levels being agreed in respect <strong>of</strong>:<br />
(a) response times to desktop banking problem resolution;<br />
(b) response times in tracing cheque presentation; <strong>and</strong><br />
(c) purchase card issue <strong>and</strong> replacement.<br />
7.2 <strong>Tender</strong>ers should state how they propose to measure, establish, maintain <strong>and</strong> report to the<br />
Agency on agreed Service Levels that would ensure the Agency receives satisfactory service<br />
across the range <strong>of</strong> its Banking Services.<br />
8 QUERY RESOLUTION<br />
8.1 <strong>Tender</strong>ers should detail their approach to resolving requests or queries from the Agency,<br />
including in respect <strong>of</strong>:<br />
(a) details <strong>of</strong> a deposit <strong>and</strong>/or cheque in a deposit;<br />
(b) opening an account or change to an authority <strong>for</strong> an account;<br />
(c) queries on bank statement items; <strong>and</strong><br />
(d) queries on fees.<br />

(a) any enquiries relating to the preparation <strong>of</strong> the response to this RFT; <strong>and</strong><br />
(b) negotiations in relation to any contract as a result <strong>of</strong> this RFT.<br />
18 INTERNET BANKING<br />
18.1 <strong>Tender</strong>ers should describe any Internet banking solutions that would be made available to the<br />
Agency <strong>and</strong> describe how they might assist the [...INSERT AGENCY NAME...] conduct its<br />
banking business.<br />
18.2 The Australian Government has made a policy commitment 2 to:<br />
(a) deliver all appropriate Australian Government services electronically - complementing not<br />
replacing existing written, telephone, fax <strong>and</strong> counter services;<br />
(b) pay all suppliers to Australian Government electronically; <strong>and</strong><br />
(c) be able to trade electronically with all ‘simple’ procurement suppliers who wish to do so,<br />

19 PRIVACY<br />
19.1 If the tenderer does not consider that it will be able to comply in every respect with the<br />
In<strong>for</strong>mation Privacy Principles (IPPs) in section 14 <strong>of</strong> the Privacy Act, it must provide a<br />
<strong>Tender</strong>er’s Privacy Statement at Annex E, stating:<br />
(a) which IPPs it is not currently able to comply with; <strong>and</strong><br />
(b) the arrangements <strong>and</strong> procedures the tenderer has in place to protect any Personal<br />
In<strong>for</strong>mation that may be held or controlled by the tenderer.<br />
19.2 In this RFT, “Personal In<strong>for</strong>mation” has the same meaning as it has in the Privacy Act 1988.<br />

2 TRANSACTION VOLUMES<br />
Provide details <strong>of</strong> measured volumes <strong>of</strong> transactions by each transaction type (e.g. deposits, direct credits,<br />
cheques, RTGS transfers) <strong>for</strong> a representative period; either actuals or estimates.<br />
Where the Agency expects some significant changes in these volumes in relation to specific transactions, or<br />
overall, it should indicate the nature <strong>of</strong> these changes <strong>and</strong> estimate their impact. <strong>Tender</strong>ers can be<br />
requested to price according to current <strong>and</strong> estimated transaction volumes.<br />
3 MAJOR CASH FLOWS<br />
Provide an outline <strong>of</strong> the movements by value over a weekly, monthly or yearly cycle <strong>for</strong> the Agency’s cash<br />
flows. This should describe movements between accounts <strong>and</strong> <strong>for</strong> inflows (receipts) <strong>and</strong> outflows<br />
(payments) through payment system <strong>and</strong> settlement streams (Real Time Gross Settlement <strong>and</strong><br />

PART FOUR:<br />
STATEMENT OF REQUIREMENT<br />
The Product Modules defining the nature <strong>and</strong> scope <strong>of</strong> the Banking Services to be provided under the<br />
Contract will be developed in accordance with this Statement <strong>of</strong> Requirement <strong>and</strong> the successful tenderer’s<br />
response. It is vital that the elements <strong>of</strong> this Statement <strong>of</strong> Requirement be drafted in a manner that will<br />
enable easy integration into the Product Module components <strong>of</strong> the final Contract.<br />
Drafters must insert full details <strong>of</strong> the Agency’s banking services requirements, including Service Levels <strong>and</strong><br />
statements in relation to the Agency’s expectations in respect <strong>of</strong> the per<strong>for</strong>mance <strong>of</strong> the services. These<br />
should be structured along the lines <strong>of</strong> the Product Modules which appear as Schedules to the Contract.<br />
Part A <strong>of</strong> the ‘Banking Services Checklist’ in the Toolkit provides a pro<strong>for</strong>ma Statement <strong>of</strong> Requirement<br />
which has been specifically developed <strong>for</strong> ease <strong>of</strong> integration in the contract. Where possible, the use <strong>of</strong> this<br />
pro<strong>for</strong>ma is recommended.<br />
