Agency Banking: Market Testing Toolkit - Model Request for Tender
1 TENDER BASIS
1.1 Interpretation of Terms
CONDITIONS OF TENDER
1.1.1 Unless a contrary intention is indicated, this RFT is to be interpreted in the same manner, and
its terms shall have the same meaning, as in the draft Conditions of Contract at Part Three.
1.2 Inconsistency
1.2.1 If there is an inconsistency between any part of the RFT, a descending order of precedence
shall be accorded to:
(a) the Conditions of Tender;
(b) the draft Conditions of Contract;
(c) the Statement of Requirement; and
(d) the Introduction
so that the provision in the higher ranked document shall, to the extent of the inconsistency,
prevail.
1.3 Variation of RFT
1.3.1 The [...INSERT AGENCY NAME...] reserves the right to amend the RFT upon giving
tenderers timely written notice of such amendment.
1.3.2 The [...INSERT AGENCY NAME...] reserves the right, in its absolute discretion, to terminate
the tender process by notice in writing to tenderers.
2 MATTERS CONCERNING TENDER LODGEMENT
2.1 Part Tenders
2.1.1 The [...INSERT AGENCY NAME...] [will/will not] consider a tender for part of the Services.
2.2 Joint Tenders
2.2.1 The [...INSERT AGENCY NAME...] [will/will not] consider a joint tender for the Services.
[Where the Agency will accept joint tenders it is recommended that the following statement be inserted:
“[...INSERT AGENCY NAME...] has a preference to contract with a single legal entity. Tenders by a joint
venture must be submitted on the basis that one party will act as prime contractor and the other party will
provide services as a subcontractor to the prime contractor. If this option is offered, the activities to be
performed, and responsibility assumed, by each party, must be clearly specified in the tender response.”
2.3 Alternative Tenders
2.3.1 Provided that the tenderer also submits a tender that complies with the Statement of
Requirement (SOR) the [...INSERT AGENCY NAME...] may consider an alternative tender not
meeting the SOR on the condition that the alternative tender:
(a) includes a completed Statement of Compliance relating to the alternative tender;
(b)
is fully described and its advantages, disadvantages, limitations and capabilities are
fully stated;
Financial Framework Division October 2003 7

Agency Banking: Market Testing Toolkit - Model Request for Tender
(c)
(d)
is fully costed; and
includes sufficient information to allow comparison of the alternative tender with tenders
that meet the SOR.
2.3.2 Failure to provide the information requested in clause 2.3.1 may result in the […INSERT
NAME OF AGENCY…] not considering the alternative tender.
2.4 Alterations, Erasures or Illegibility
2.4.1 Tenders containing alterations or erasures, and tenders in which prices or other information
necessary for evaluation of the tender are not clearly and legibly stated, may be excluded
from consideration at the discretion of the [...INSERT AGENCY NAME...]. Any alteration
made to a tender must be initialled by the tenderer.
2.5 Copies of Tender
2.5.1 The original and [....INSERT NUMBER OF COPIES REQUIRED....] copies of the tender and
any supporting material shall be submitted. The original is to be marked "Original" and each
copy sequentially marked with a copy number. In the event of any discrepancy between the
copies and the original, the original is to take precedence.
2.5.2 The tenderer shall, in addition to lodging the copies required by clause 2.5.1 submit
electronically stored copies, with read only access, which are machine readable in Microsoft
Word/6.0 (Rich Text Format) RTF format on 3.5” floppy disc or CD-ROM. In the event of any
discrepancy between the electronically stored copy and the original, the original is to take
precedence.
Note: The Agency may wish to adapt this provision as required for their own IT systems.
2.6 Lodgement of Tenders
2.6.1 Tenders must be lodged in the Tender Box at [...INSERT DETAILS...] on or before close of
2.6.2 Tenders must be enclosed in a sealed envelope or other sealed container and clearly marked
on the outside with the RFT reference number and closing date in order to minimise
mishandling.
2.6.3 Tenders lodged after the Tender Closing Time will be taken to be “Late Tenders”. Late
Tenders will be opened and registered separately and may be excluded from the evaluation
process at the sole and absolute discretion of the [...INSERT AGENCY NAME...]. Matters the
[...INSERT AGENCY NAME...] may take into consideration in exercising its discretion include
the circumstances surrounding the submission and receipt of the Late Tender, including:
(a)
(b)
(c)
how late the tender is, and the reasons provided for the late submission, supported by
appropriate explanatory evidence;
the length of time permitted for the preparation of tenders, including any extension
permitted under clause 2.7; and
whether the [...INSERT AGENCY NAME...] is satisfied that the tenderer lodging the
Late Tender is unlikely to obtain an unfair advantage through the lodgement of a Late
Tender.
2.6.4 Any decision by the [...INSERT AGENCY NAME...] on whether or not to admit a Late Tender
to the evaluation process shall be final.
Financial Framework Division October 2003 8

Agency Banking: Market Testing Toolkit - Model Request for Tender
2.6.5 Should the tenderer become aware of any discrepancy, error or omission in the tender
document submitted, and the tenderer wishes to lodge a correction or provide additional
information, that material must be in writing and lodged prior to the Tender Closing Time.
2.7 Extension of Tender Closing Time
2.7.1 The Tender Closing Time may be extended, at the sole and absolute discretion of the
Agency Banking: Market Testing Toolkit - Model Request for Tender
• Integration costs, if any, to be borne by the Agency.
4.1.3 Tenderers should note that the list of criteria is not exhaustive and the category (b) evaluation
criteria are not in any order of importance. The [...INSERT AGENCY NAME...] reserves the
right, in its absolute discretion, to evaluate tenders as [...INSERT AGENCY NAME...] deems
appropriate in the context of its requirement for the Services, including the determination of
the evaluation criteria and the significance to be applied to particular evaluation criteria.
4.1.4 The [...INSERT AGENCY NAME...] may, in its sole and absolute discretion, use any relevant
information obtained in relation to a tender, either through the tender process or by
independent inquiry, in the evaluation of tenders.
4.1.5 Tender responses which, in the opinion of [….INSERT AGENCY NAME…...], are incomplete,
non-compliant with essential Agency requirements, or clearly not competitive, may, at any
time, be excluded from consideration at the [….INSERT AGENCY NAME…..] discretion, but
[…INSERT AGENCY NAME…] reserves the right to consider such tenders and to seek
clarification in accordance with clause 4.1.9. .
4.1.6 Neither the lowest priced tender nor any tender will necessarily be accepted by the [...INSERT
AGENCY NAME...]. The [...INSERT AGENCY NAME...] reserves the right to accept or reject
any tender regardless of its compliance or non-compliance with the RFT.
4.1.7 The [...INSERT AGENCY NAME...] reserves the right to accept separate tenders for discrete
elements of the requirement, or any item or items, or part or parts thereof, as provided in the
tender or tenders.
Note: Drafter to ensure that this provision is consistent with clause 2.2 and 2.3 of the Conditions of
Tender.
4.1.8 These Conditions of Tender are expressly not a contract between the [...INSERT AGENCY
NAME...] and the tenderer. Nothing in this Request for Tender, nor in any tender received,
shall be construed as to give rise to contractual obligations, express or implied. No contract
shall be created in relation to a tender until a formal contract is executed between the
[...INSERT AGENCY NAME...] and the tenderer, based on the draft Conditions of Contract in
Part Three.
4.1.9 The [...INSERT AGENCY NAME...] reserves the right to seek clarification in relation to any
ambiguity or uncertainty from any or all of the tenderers in relation to their tender, including
matters concerning the tenderer’s proposed contractors. The [...INSERT AGENCY NAME...]
may also request to visit the facilities of tenderers and their proposed contractors to clarify
parts of the tenders.
4.2 Negotiations
4.2.1 The [...INSERT AGENCY NAME...] reserves the right to enter into negotiations with any one
or more tenderers, including tenderers who have lodged non-compliant tenders.
4.2.2 These conditions are not intended to limit the scope of negotiations. The tender shall not be
deemed to have been accepted unless and until a formal written contract has been executed
by the tenderer and the [...INSERT AGENCY NAME...]. Notification from the [...INSERT
AGENCY NAME...] to any tenderer that it is a preferred, selected or successful tenderer shall
not constitute an acceptance or rejection of any tender.
4.2.3 The [...INSERT AGENCY NAME...] reserves the right to terminate negotiations with any
tenderer and commence negotiations with any other tenderer, at any time. In particular, the
[...INSERT AGENCY NAME...] may reject a tender and consider other tenders in
circumstances where, during the contract negotiations, the tenderer seeks to vary the terms of
its tender, including, without limitation, price or its stated compliance with the draft Contract
Agency Banking: Market Testing Toolkit - Model Request for Tender
Conditions at Part Three.
4.3 Debriefing
4.3.1 After a contract is arranged with the successful tenderer, all unsuccessful tenderers will be
invited to attend a private debriefing with the Agency to discuss the reasons for their nonselection.
Tenderers will be debriefed against the evaluation criteria contained in clause 4.1.2.
In accordance with Australian Government policy, unsuccessful tenderers may only be
provided with the name of the successful tenderer and the total price of the tender. No
comparisons with other tenders will be made.
5 MATTERS AFFECTING THE TERMS AND CONDITIONS OF CONTRACT
5.1 The draft Contract at Part Three of this RFT represents the preferred terms and conditions on
which the [...INSERT AGENCY NAME...] wishes to contract with the successful tenderer.
5.2 However, it is acknowledged [...INSERT AGENCY NAME...] that there may be additional or
alternative terms and conditions in relation to the provision of Services in accordance with
specific Product Modules (‘Product-specific terms and conditions’). Tenderers are to provide
complete details of any Product-specific terms and conditions, and their effect on the provision
of the Services.
5.3 Tenderers are to provide details in Annex D of any perceived inconsistency between the
proposed Product-specific terms and conditions and the draft Contract in Part Three.
5.4 Tenderers who are listed on the pre-qualification panel are advised that they will be evaluated
on the basis that, with the exception of Product-specific terms and conditions, they are
compliant with the draft Contract at Part Three. Any stated non-compliance with the draft
Contract, other than in relation to Product-specific terms and conditions, may result in the
tenderer being less preferred than those tenders which confirm their compliance with the draft
Conditions of Contract.
6 MATTERS AFFECTING TENDERED FEES AND PRICE BASIS
6.1 Fees are to be tendered, and the [...INSERT AGENCY NAME...] will make contractual
payments, in Australian dollars.
6.2 The tenderer must provide details of those fees and charges which can, where possible, be
firm for the Term of the Contract, and those fees and charges which will be variable
throughout the Term of the Contract. The tenderer shall submit fees for the Services in
accordance with paragraph 3 of Annex B of these Conditions of Tender. Where fees for
specific transaction volumes are sought in accordance with paragraph 3 of Annex B, these
fees shall be firm for the specified transaction volumes and the transaction volume to which
each price applies should be shown.
6.3 Tendered fees are to be inclusive of all costs of complying with the Conditions of Tender and
associated with providing the Services and carrying out all matters and doing all things
necessary for the due and proper performance and completion of the proposed Contract.
Fees and charges offered in the tender may not be modified during tender evaluation.
6.4 The conditions of Contract in Part Three provide for the Parties to be responsible for taxes,
duties and charges levied or imposed upon them. The Banker will be responsible for all
overseas taxes, duties and charges and all Australian (Federal, State and Local Government)
taxes, duties and charges levied or imposed on the Banker. The conditions of Contract also
incorporate a mechanism for passing on taxes, duties and charges payable by the [...INSERT
AGENCY NAME...] to the [...INSERT AGENCY NAME...].
6.5 Goods and Services Tax (GST) is applicable to all services which are ‘taxable supplies’ within
the meaning of A New Tax System (Goods and Services Tax) Act 1999 (the GST Act). The
tenderer must provide details of any Services which are ‘taxable supplies’ within the meaning
of the GST Act, and their approach to pricing for these Services. Tenderers are required to
separately identify the GST component of any fees on ‘taxable supplies’.
7 AUSTRALIAN GOVERNMENT REQUIREMENTS
7.1 Australian and New Zealand Supplies Policy
7.1.1 The Australian Government is committed to maximising opportunities, consistent with the
principles of value for money, for Australian and New Zealand (ANZ) industry development.
The Government has directed all agencies not to draw up purchasing specifications (including
technical, performance and functional), and conditions of contract, so as to exclude ANZ
goods or services which are suitable for, or reasonably adaptable to the Agency’s needs, nor
to evaluate tenders in a manner that is biased against ANZ suppliers. Tenderers who consider
the above directions are not being followed should contact the organisation that issued the
RFT.
7.2 Freedom of Information
7.2.1 The Freedom of Information Act 1982, gives to members of the public rights of access to
official documents of the Australian Government and its agencies. The Act extends, as far as
possible, the right of the Australian community to access information (generally documents) in
the possession of the Australian Government, limited only by considerations of the protection
of essential public interest and of the private and business affairs of persons in respect of
whom information is collected and held by departments and public authorities.
7.2.2 Tenderers should also be aware that Commonwealth regulations require the person who
enters into a contract on behalf of the Australian Government for procurement of services
exceeding a specific monetary amount to publish certain identifying details of the contract in
the Commonwealth of Australia Gazette in the Gazette Publishing System (GaPS).
7.3 Affirmative Action
7.3.1 Tenderers’ attention is drawn to the obligation of certain employers under the Equal
Opportunity for Women in the Workplace Act 1999 ("the Act").
7.3.2 The Australian Government has directed its employees not to purchase goods or services
from suppliers who do not comply with their obligations, if any, under the Act. It will be a term
of the Contract with the successful tenderer that it complies with its obligations, if any, under
the Act. A further term of the Contract will be that the Banker does not enter into a contract,
under that Contract, with a non-complying supplier.
7.4 Australian National Audit Office
7.4.1 Tenderers’ attention is drawn to the Auditor-General Act 1997 which provides the Auditor-
General or an authorised person with statutory powers to have, at all reasonable times,
access to information, documents and records. The successful tenderer will be required to
provide the Auditor-General, or his delegate, with reasonable access to information,
documents and records, which are directly related to any contract entered into as a result of
this RFT, for the purpose of carrying out the Auditor-General’s functions. The access will be
required at reasonable times, on giving reasonable notice, for the purpose of carrying out the
Auditor-General's functions and will be restricted to information and assets which are in the
7.5 Privacy
custody or control of the tenderer, its employees, agents or contractors, and which is directly
related to the contract entered into as a result of this RFT.
7.5.1 Tenderers’ attention is drawn to the provisions of the Privacy Act 1988, and in particular, the
Information Privacy Principles (IPPs) set out in section 14 of that Act. The successful tenderer
will be expected to comply with the IPPs in relation to Personal Information held or controlled
by it in connection with any contract as a result of this RFT.
7.5.2 In this RFT, “Personal Information” has the same meaning as it has in the Privacy Act 1988.
7.5.3 The tenderer’s attention is also drawn to Annex B, paragraph 18 and Annex E (Tenderer’s
