3.3 Tenderers must clearly identify any amendments to the draft Contract necessary for the
operation of Product-specific terms and conditions, in accordance with clause 3 of the draft
Contract.
3.4 Tenderers may also submit details of Services, Fees and Product-specific terms and conditions
for Services not specifically requested by […INSERT AGENCY NAME…] in the Statement of
Requirement, but which, in the tenderer’s opinion, will be of value to […INSERT AGENCY
NAME…]. Any information provided in respect of this clause must be provided in a separate
sealed envelope or container, and will only be considered at the completion of the evaluation

4 CORPORATE STRUCTURE
4.1 Tenderers are to provide sufficient information to enable the […INSERT NAME OF
AGENCY….] to clearly identify the entity with whom it will contract. Provide details of your
corporate structure with an emphasis on those elements of the structure which would be
accepting corporate responsibility for the conduct of the Contract. Tenderers must provide
details of:

for a foreign company, details of its registration, incorporation and place of business in
Australia and its ARBN and ABN;
for an Australian company, its ACN and ABN;
evidence of Australian Prudential Regulation Authority (APRA) authority to carry on a
banking business in Australia in accordance with section 9 of the Banking Act, 1959;
individual shareholders holding 20 percent or more of any issued capital, and particulars
of any foreign national or foreign bodies or organisations in a position to exercise or
influence control over the tenderer; and
any matter relating to the commercial, technical or financial capacity of the tenderer
which can materially affect the tenderer’s ability to perform its obligations under any
resultant contract; and
a profile of the tendering company or contracting entity, any parent company and any
relevant subsidiary company or major contractor, which will be providing the Services set
out in the Statement of Requirement directly to […INSERT AGENCY NAME…].
5 RELATIONSHIP MANAGEMENT
5.1 Tenderers are requested to provide an outline of their approach to management of the
client/banker relationship with a particular focus on the ongoing functions and activities
undertaken to establish a good understanding of [....INSERT AGENCY NAME ....]’s needs and
ensure that Banking Services and products are made available and, as appropriate, tailored to
the [ ....INSERT AGENCY NAME....]’s needs.
5.2 Tenderers are to provide details of the key personnel (including location) who will be assigned
to manage the relationship with the [...INSERT AGENCY NAME...] and specify the person
primarily responsible for day-to-day contact with the [...INSERT AGENCY NAME...]. Please
include a brief resume for each of these people.
