REVISED LISTING PARTICULARS
1. INTRODUCTION
As the Rights Offering, the issue of shares in terms of the Transaction Agreements and the possible issue of shares for cash may result in an issue of new
Sappi Shares which will increase Sappi’s issued share capital by more than 25%, Sappi is required to provide that information which must be disclosed in
terms of a pre-listing statement.
These revised listing particulars have been prepared on the assumption that the special and ordinary resolutions proposed in the notice of general meeting
forming part of the Circular, dated 10 October 2008, to which these revised listing particulars are attached, will be approved at the general meeting of
Shareholders to be held on 3 November 2008 and, where applicable, registered by the Registrar and that the proposed transactions will have been
implemented.
2. BACKGROUND INFORMATION ON SAPPI
2.1 Incorporation
Sappi was founded and incorporated in 1936 in South Africa. Sappi currently has its primary listing on the JSE Limited (formerly the Johannesburg Stock
Exchange) and has secondary listings on the New York and London Stock Exchanges.
