INTRODUCTION TO THE HISTORIC FINANCIAL INFORMATION RELATING TO THE ACQUIRED BUSINESS
The report of historical financial information has been provided by M-real and is the responsibility of the M-real board of directors.
The financial information has been prepared in accordance to IFRS as issued by the IASB. Set out below is the report of historical financial information on the
Acquired Business. The combined financial statements have been prepared on a “carve-out” basis from M-real’s consolidated financial statements using the
historical results’ of operations, assets and liabilities attributable to the Acquired Business. The report of the independent reporting accountants on the
historical financial information of the Acquired Business is presented in Annexure 2.
There have been no material changes relating to the nature of business and financial position of the Acquired Business. In addition, there have not been any
material fact or circumstance, which have not been dealt with in the interim report of this financial information.
There have been no material changes in the Acquired Business between the financial year end and the date of the PricewaterhouseCoopers auditor’s report as
contained in Annexure 2.
The financial year end of the Acquired Business has not changed at any time during the reporting period.
