<strong>Cummins</strong> Board of Directors<br />
<strong>Cummins</strong> is governed by a nine-member Board of Directors. Among the directors,<br />
only <strong>Cummins</strong> Chief Executive Officer Theodore (Tim) M. Solso and <strong>Cummins</strong> President<br />
Joe Loughrey are current employees of the Company. Board members are:<br />
Theodore (Tim) M. Solso – Chief<br />
Executive Officer and Chairman of the Board<br />
at <strong>Cummins</strong> since 2000, after serving as<br />
Company President since 1995.<br />
Robert J. Darnall – Retired Chairman<br />
and Chief Executive Officer of Inland<br />
Steel Industries and a <strong>Cummins</strong> director<br />
since 1989.<br />
Robert K. Herdman – Managing<br />
Director of Kalorama Partners LLC, a<br />
Washington D.C.-based consulting firm,<br />
appointed in 2008.<br />
Alexis M. Herman – Chairman and<br />
Chief Executive Officer of New Ventures <strong>Inc</strong>.<br />
and a director since 2001.<br />
F. Joseph (Joe) Loughrey – Named<br />
President and Chief Operating Officer in<br />
May 2005 and to the Board in July 2005,<br />
after serving as Executive Vice President<br />
and President – Engine Business for more<br />
than five years.<br />
Georgia R. Nelson – President and<br />
CEO of PTI Resources, LLC. She joined<br />
the <strong>Cummins</strong> Board in 2004.<br />
William I. Miller – Chairman and<br />
CEO of Irwin Financial Corp. and a director<br />
since 1989.<br />
Carl Ware – President and Chief Operating<br />
Officer of Ware Investment Properties, LLC.<br />
He was named a director in 2004.<br />
J. Lawrence Wilson – Retired Chairman<br />
and Chief Executive Officer of Rohm and<br />
Haas Co. and a director since 1990.<br />

Corporate Governance<br />
Principles for the Board<br />
The primary mission of the Board of<br />
Directors is to represent and protect the<br />
interests of the Company’s stakeholders.<br />
In so doing, the Board has the legal<br />
responsibility for overseeing the affairs of the<br />
Company, and has certain specified powers<br />
and authorities with respect to corporate<br />
action provided by Indiana statutes.<br />
The Board’s oversight function is<br />
exercised through the election and<br />
appointment of competent officers. The<br />
Board relies on the integrity, expertise and<br />
competency of these officers in carrying<br />
out its oversight function.<br />
The Board’s responsibilities include<br />
the following:<br />
• Adopt corporate governance principles<br />
consistent with the Company’s Vision,<br />
Mission and Values.<br />
• Exercise sound and independent<br />
business judgment with respect to<br />
significant strategic and operational<br />
issues, including major capital<br />
expenditures, diversifications, acquisitions,<br />
divestitures and new ventures.<br />
• Advise senior management.<br />
