10 This belief is predicated on the following facts and circumstances:<br />

12 A. B,ackground<br />

13 ACORN stands for Association of Community Organizations for Reform Now.<br />

ACORN is, according to its website (www.acorn.org), a "nation-wide community<br />

14 organization of low- and moderate-income families, working together for<br />

social justice and stronger communities." ACORN advocates, among other<br />

15 things, voter participation. One of its stated goals is "to create and<br />

sustain increased levels of voter participation by low-income, minority and<br />

16 other disenfranchised communities."<br />

17 Project Vote, according to its website (www.projectvote.org), is a non-profit<br />

voter registration and voting rights organization that focuses on low income<br />

18 and minority citizens nationwide.<br />

19 In 2004, ACORN and Project Vote entered into a joint operating agreement. In<br />

that agreement, ACORN agreed to carry out outreach voter registration<br />

20 services for Project Vote as part of a joint effort to register low- and<br />

moderate-income and minority voters and to encourage those voters to<br />

21 participate in the democratic process.<br />

22 ACORN is an Arkansas corporation based in Louisiana. Project Vote is a nonprofit<br />

organization with an office in Louisiana. ACORN and Project Vote-<br />

23 share the same mailing address in Louisiana.<br />
