SECTION 1. Place and Time. The annual meeting <strong>of</strong> the <strong>Society</strong> <strong>of</strong> <strong>Actuaries</strong> and all other meetings<br />

may be held either within the State <strong>of</strong> Illinois or elsewhere. The place and time <strong>of</strong> any meeting shall be<br />

designated by the Board <strong>of</strong> Governors except that such designation for a meeting called upon the request<br />

<strong>of</strong> not less than five percent <strong>of</strong> the Fellows shall be made by the President. The Board <strong>of</strong> Governors shall<br />

give consideration, among other factors, to the distribution <strong>of</strong> membership by residence in determining<br />

the locations <strong>of</strong> meetings.<br />

SECTION 2. Notice. Notice shall be given to each member not less than twenty days before each<br />

meeting, specifying the place, date, and hour <strong>of</strong> the meeting.<br />

SECTION 3. Voting. Votes to be cast at any regular or special meeting shall be limited to Fellows who<br />

are personally present when a vote is taken. Voting by proxy shall not be permitted.<br />

SECTION 4. Quorum. One hundred Fellows shall constitute a quorum at any annual meeting, and fifty<br />

Fellows at any other meeting <strong>of</strong> the <strong>Society</strong> <strong>of</strong> <strong>Actuaries</strong>.<br />

SECTION 5. Meeting Agenda and Order <strong>of</strong> Business.<br />

a) The Board <strong>of</strong> Governors shall authorize the procedure for determining the agenda and<br />

order <strong>of</strong> business at all meetings except as provided in subsection (b).<br />

b) At a meeting called at the request <strong>of</strong> not less than five percent <strong>of</strong> the Fellows, only<br />

matters specifically set out in the notice <strong>of</strong> the meeting may be considered and acted upon,<br />

and the President shall determine the order <strong>of</strong> business.<br />

ARTICLE V<br />

ELECTIONS<br />

SECTION 1. Voting. Voting may be conducted in writing by mail, by facsimile or by any other means <strong>of</strong><br />

electronic communication, or in person at any regular or special meeting, as determined by the Board <strong>of</strong><br />

Governors. Each Fellow shall have only one vote and may not vote in place <strong>of</strong> another Fellow.<br />

SECTION 2. Committee on Elections. There shall be a Committee on Elections which shall be<br />

responsible for conducting elections. The Committee shall be composed <strong>of</strong> the two immediate Past-<br />

Presidents plus at least seven additional Fellows. The membership <strong>of</strong> the Committee shall be reasonably<br />

representative <strong>of</strong> the geographical distribution and occupational interests <strong>of</strong> the membership.<br />

SECTION 3. Balloting. The Committee on Elections shall, if the election is to be conducted entirely by<br />

mail, or it may, if the election is to be conducted other than entirely by mail, cause a first ballot to be<br />

prepared for the election <strong>of</strong> President-Elect, Vice-President, and Elected Board Members. The ballot will
