Treasurer shall strike the name <strong>of</strong> such member from the rolls, and such member shall cease to be a<br />

Fellow or Associate <strong>of</strong> the <strong>Society</strong> <strong>of</strong> <strong>Actuaries</strong>; provided that the member's name shall not be so<br />

stricken until all pending disciplinary action has been finally resolved. It is inappropriate to use these<br />

designations if membership status in the SOA is not current, no matter what year earned. Membership<br />

designations connote continuing adherence to the Code <strong>of</strong> Pr<strong>of</strong>essional Conduct and the Standards <strong>of</strong><br />

Practice with any deviations being subject to the discipline process. Such person may, however, be<br />

reinstated by vote <strong>of</strong> the Board <strong>of</strong> Governors and upon payment <strong>of</strong> such arrears <strong>of</strong> dues as the Board<br />

shall direct.<br />

SECTION 2. Meeting Expenses. The Board <strong>of</strong> Governors may fix a registration fee for members<br />

attending each meeting, or may use any other appropriate method <strong>of</strong> making a charge to such members,<br />

such fee or charge to cover all or a portion <strong>of</strong> any meeting expense incurred by the <strong>Society</strong>.<br />

SECTION 3. Contracts. The Board <strong>of</strong> Governors may authorize any Officer or Officers, agent or agents,<br />

to enter into any contract or execute and deliver any instrument in the name and on behalf <strong>of</strong> the <strong>Society</strong><br />

<strong>of</strong> <strong>Actuaries</strong>, and such authority may be general or confined to specific instances.<br />

SECTION 4. Checks. All checks, drafts, or other orders for the payment <strong>of</strong> money, notes, or other<br />

evidences <strong>of</strong> indebtedness issued in the name <strong>of</strong> the <strong>Society</strong> <strong>of</strong> <strong>Actuaries</strong> shall be signed by such Officer<br />

or Officers, agent or agents, <strong>of</strong> the <strong>Society</strong> <strong>of</strong> <strong>Actuaries</strong> and in such manner as shall from time to time be<br />

determined by resolution <strong>of</strong> the Board <strong>of</strong> Governors.<br />

SECTION 5. Deposits. All funds <strong>of</strong> the <strong>Society</strong> <strong>of</strong> <strong>Actuaries</strong> not otherwise employed or invested shall<br />

be deposited from time to time to the credit <strong>of</strong> the <strong>Society</strong> <strong>of</strong> <strong>Actuaries</strong> in such banks, trust companies,<br />

and other depositories as the Board <strong>of</strong> Governors may select.<br />

ARTICLE XI<br />

LIBRARY<br />

A library shall be maintained by the <strong>Society</strong> <strong>of</strong> <strong>Actuaries</strong>, and the Board <strong>of</strong> Governors shall prescribe<br />

regulations under which books may be borrowed by members and others.<br />

ARTICLE XII<br />

INDEMNIFICATION OF EMPLOYEES<br />

Each person who is an employee, or who was an employee, <strong>of</strong> the <strong>Society</strong> (and such person's heirs,<br />

executors, administrators and personal representatives) shall be indemnified by the <strong>Society</strong> against all<br />

costs and expenses (including but not limited to legal fees, amounts <strong>of</strong> judgments paid, and amounts
