actors. By promoting investment, good<br />
judicial institutions can also contribute<br />
to economic growth and development.<br />
Indeed, an effective judiciary, by providing<br />
a structured, timely and orderly<br />
framework for resolving disputes, fosters<br />
economic stability and growth.<br />
Moreover, efficient contract enforcement<br />
is essential to allow true freedom<br />
of contract. Even where the law allows<br />
extensive freedom of contract, the benefits<br />
of this can be greatly undermined<br />
if not matched by efficient contract enforcement.<br />
Without that, the predictability<br />
of the legal framework—which is<br />
highly valued by firms operating in the<br />
market—would be compromised. 22<br />

a standardized commercial dispute<br />
through the courts—from the filing<br />
of the case to the enforcement of the<br />
contract—takes 150 days as measured<br />
by Doing Business (figure 11.3), a global<br />
best practice. In Sri Lanka there are<br />
equally few limitations to freedom of<br />
contract, but resolving the standardized<br />
dispute through the courts takes<br />
1,318 days—almost 4 years. Parties<br />
might be able to include a wide array<br />
of covenants in their agreements, but<br />
long enforcement times can nullify<br />
the utility of those covenants. A slow<br />
contract resolution process frustrates<br />
freedom of contract.<br />
The Democratic Republic of Congo is<br />
another economy where long enforcement<br />
times frustrate freedom of<br />
contract. It limits freedom of contract<br />
only in the areas of future determination<br />
of contract price, exclusion of liability<br />
for gross negligence, and public<br />
policy and legal capacity. But resolving<br />
the standardized dispute takes<br />
610 days—almost 2 years. Pakistan<br />
provides a similar example: there are<br />
only 4 limitations to freedom of contract,<br />
but resolving the standardized<br />
dispute takes 976 days in Karachi.<br />
Freedom of contract and efficient<br />
contract enforcement are often mutually<br />
dependent because one can lose<br />
meaning without the other, as shown<br />
in the examples above. Among the 34<br />
economies in the sample, however,<br />
there are cases where neither is prized.<br />
Greece is a clear example. Not only does<br />
Greece have one of the highest numbers<br />
of limitations (7), it also has among the<br />
longest resolution times in the sample.<br />
Resolving the standardized dispute in<br />
Athens takes 1,580 days—more than 4<br />
years. Similarly, in Tunisia, the economy<br />
with the highest number of limitations<br />
in the sample (8), enforcing a contract<br />
takes 565 days.<br />
CONCLUSION<br />
Freedom of contract and efficient contract<br />
enforcement matter to businesses.<br />
The exercise of freedom of contract<br />
by parties with similar negotiating<br />
power and good knowledge of market<br />
conditions promotes efficiency in the<br />
allocation of resources, maximizing individual<br />
welfare and spurring efficiency<br />
in the marketplace. 21 Efficient contract<br />
enforcement promotes investment by<br />
