BRIGADE COUNCIL<br />

<strong>The</strong> provisions of the Company’s Act extend<br />

the right to appoint a proxy to all categories<br />

of membership. Accordingly the calling notice<br />

below for the Annual General Meeting of <strong>The</strong><br />

Boys’ <strong>Brigade</strong> utilises such provision whereby all<br />

voting members of <strong>Brigade</strong> Council will have a<br />

right to vote by proxy.<br />

All members may vote in person if present at the<br />

meeting or if cannot be present may alternatively<br />

either appoint a general proxy or vote by post.<br />

THE BOYS’ BRIGADE<br />

NOTICE IS HEREBY GIVEN that the ANNUAL<br />

GENERAL MEETING of THE BOYS’ BRIGADE<br />

will be held at the Armagh City Hotel, Friary<br />

Road, Armagh, BT60 4FR on Saturday 4<br />

September <strong>2010</strong> at 9.30am to consider and, if<br />

deemed fit, to approve the following resolutions,<br />

all of which are being proposed as ordinary<br />

resolutions. (See previous Gazettes, Company<br />

mailings and website for further details of the<br />

<strong>Brigade</strong> Council weekend event)<br />

AGENDA<br />

1. To receive and adopt the Accounts for the<br />

year ended 31March <strong>2010</strong> together with<br />

the Reports of the <strong>Brigade</strong> Executive and<br />

Auditors thereon<br />

2. To fix the annual capitation fees for the<br />

<strong>2010</strong>/11 session as proposed in Appendix A<br />

3. To reappoint Whiting and Partners as auditors<br />

of <strong>The</strong> Boys’ <strong>Brigade</strong> and authorise the<br />

<strong>Brigade</strong> Executive to fix their remuneration<br />

4. To consider the following constitutional<br />

motions (ordinary resolutions) in the name<br />

of the <strong>Brigade</strong> Executive as proposed in<br />

Appendix B<br />

5. To appoint <strong>Brigade</strong> Office Bearers for <strong>2010</strong>/11<br />

session as proposed in Appendix C<br />

6. To transact any other lawful business<br />

All Members of <strong>Brigade</strong> Council as defined by<br />

the Articles of Association are entitled to be<br />

present and vote at this meeting or, in their<br />

absence, they may appoint a proxy to attend<br />

and vote on their behalf. A form of proxy will be<br />

sent to all members with the July Gazette and,<br />

if used, should be returned to the Company’s<br />

Registered Office not later than 9.30am on<br />

Thursday 2 September <strong>2010</strong>.<br />

<strong>The</strong> Members of <strong>Brigade</strong> Council are:<br />

Companies, Area Groups (Battalions &<br />

Districts), Members of the <strong>Brigade</strong> Executive<br />

and Members of Regional Committees.<br />

<strong>The</strong> Annual General Meeting is the statutory<br />

part of the <strong>Brigade</strong> Council weekend. After<br />

the conclusion of the legal business, the<br />

meeting will move on to discuss particular<br />

aspects of <strong>Brigade</strong> Development.<br />

APPENDIX A – PROPOSED ANNUAL CAPITATION FEES<br />

Capitation Fees for <strong>2010</strong>/11<br />

1 <strong>The</strong> Capitation Fee structure with effect from 1 September <strong>2010</strong> is:<br />

APPENDIX B – ORDINARY RESOLUTIONS IN THE NAME OF<br />

THE BRIGADE EXECUTIVE<br />

Amendments to Regulations<br />

<strong>The</strong> following amendments to <strong>Brigade</strong> regulations in the name of the <strong>Brigade</strong><br />

Executive are proposed to be brought to Council in Armagh:<br />

1. In <strong>Brigade</strong> Regulations, section 3 – <strong>The</strong> Organisation – Regulations<br />

and Procedures, Schedule C, the following amendments shall be<br />

made by Ordinary Resolution:<br />

(a) in clauses C1 and C12, delete “31st May” and replace with “31st<br />

March”, and<br />

(b) in clauses C4 and C15, delete “15th June” and “30th June” and<br />

replace with “15th May” and “31st May” respectively.<br />

<strong>The</strong> purpose of the above amendment is to allow for elections to take place<br />

prior to the summer break which falls earlier in Scotland and Northern Ireland.<br />

2. In <strong>Brigade</strong> Regulations, section 3 – <strong>The</strong> Organisation – Regulations<br />

and Procedures, Schedule A, the following amendment shall be<br />

made by Ordinary Resolution:<br />

In the Regional Electoral Areas delete the table referring to the Wales<br />

Regional Committee and replace with the table below.<br />
