BRIGADE COUNCIL
The provisions of the Company’s Act extend
the right to appoint a proxy to all categories
of membership. Accordingly the calling notice
below for the Annual General Meeting of The
Boys’ Brigade utilises such provision whereby all
voting members of Brigade Council will have a
right to vote by proxy.
All members may vote in person if present at the
meeting or if cannot be present may alternatively
either appoint a general proxy or vote by post.
THE BOYS’ BRIGADE
NOTICE IS HEREBY GIVEN that the ANNUAL
GENERAL MEETING of THE BOYS’ BRIGADE
will be held at the Armagh City Hotel, Friary
Road, Armagh, BT60 4FR on Saturday 4
September 2010 at 9.30am to consider and, if
deemed fit, to approve the following resolutions,
all of which are being proposed as ordinary
resolutions. (See previous Gazettes, Company
mailings and website for further details of the
Brigade Council weekend event)
AGENDA
1. To receive and adopt the Accounts for the
year ended 31March 2010 together with
the Reports of the Brigade Executive and
Auditors thereon
2. To fix the annual capitation fees for the
2010/11 session as proposed in Appendix A
3. To reappoint Whiting and Partners as auditors
of The Boys’ Brigade and authorise the
Brigade Executive to fix their remuneration
4. To consider the following constitutional
motions (ordinary resolutions) in the name
of the Brigade Executive as proposed in
Appendix B
5. To appoint Brigade Office Bearers for 2010/11
session as proposed in Appendix C
6. To transact any other lawful business

All Members of Brigade Council as defined by
the Articles of Association are entitled to be
present and vote at this meeting or, in their
absence, they may appoint a proxy to attend
and vote on their behalf. A form of proxy will be
sent to all members with the July Gazette and,
if used, should be returned to the Company’s
Registered Office not later than 9.30am on
Thursday 2 September 2010.
The Members of Brigade Council are:
Companies, Area Groups (Battalions &
Districts), Members of the Brigade Executive
and Members of Regional Committees.
The Annual General Meeting is the statutory
part of the Brigade Council weekend. After
the conclusion of the legal business, the
meeting will move on to discuss particular
aspects of Brigade Development.
APPENDIX A – PROPOSED ANNUAL CAPITATION FEES

APPENDIX B – ORDINARY RESOLUTIONS IN THE NAME OF
THE BRIGADE EXECUTIVE
Amendments to Regulations
The following amendments to Brigade regulations in the name of the Brigade
Executive are proposed to be brought to Council in Armagh:
1. In Brigade Regulations, section 3 – The Organisation – Regulations
and Procedures, Schedule C, the following amendments shall be
made by Ordinary Resolution:
(a) in clauses C1 and C12, delete “31st May” and replace with “31st
March”, and
(b) in clauses C4 and C15, delete “15th June” and “30th June” and
replace with “15th May” and “31st May” respectively.
The purpose of the above amendment is to allow for elections to take place
prior to the summer break which falls earlier in Scotland and Northern Ireland.
2. In Brigade Regulations, section 3 – The Organisation – Regulations
and Procedures, Schedule A, the following amendment shall be
made by Ordinary Resolution:
In the Regional Electoral Areas delete the table referring to the Wales
Regional Committee and replace with the table below.
