7. TERMS AND CONDITIONS OF
THE OFFER
Offer Period
The Notes will be offered to the public in the Public Offer
Jurisdiction during a subscription period commencing on,
and including, 10 a.m. Milan time on 20 October 2010 and
ending on, and including, 4 p.m. Milan time on 23
November 2010.
Applications for the Notes can be made in the Public Offer
Jurisdiction at participating branches of a Distributor.
Applications will be in accordance with the relevant
Distributor's usual procedures, communicated to investors
by the relevant Distributor.
Notes placed through distant marketing techniques (such as
online sales) pursuant to Article 32 of the Financial Services
Act will be offered from and including 10 a.m. Milan time
on 20 October 2010 to and including 10 p.m. Milan time on
8 November 2010. Pursuant to article 67-duodecies of the
Italian Codice del Consumo (the "Consumer Code"), the
validity and enforceability of the contracts entered into
through online sales is suspended for a period of 14 days
after the investors' acceptance of the same. Within such
period, investors may communicate their withdrawal to the
relevant Distributor without any charge or commission.
Each Distributor shall provide the relevant information in
this respect to the investor in accordance with the applicable
law and regulations.
Prospective investors will not be required to enter into any
contractual arrangements directly with the Issuer relating to
the subscription for the Notes.
Offer Price:
Issue Price (of which 4.00 per cent. (4.00%) is represented
by a commission payable to the Distributors).
