Ad<strong>di</strong>tional Terms and Con<strong>di</strong>tions for Fund Linked Notes<br />

relation to such Fund Share, and (B) the Calculation Agent shall determine the relevant<br />

price for that Averaging Date in accordance with sub-paragraph (b)(ii) of the definition<br />

of “Valuation Date” below;<br />

where the Fund Linked Notes relate to a Basket of Funds and the applicable Final<br />

Terms provides that “Common Scheduled Tra<strong>di</strong>ng Days” and “In<strong>di</strong>vidual Disrupted<br />

Days” shall be applicable, the Averaging Date for each Fund Share not affected by the<br />

occurrence of a Disrupted Day shall be the originally designated Averaging Date<br />

(following adjustment of such date owing to the original date not being a Common<br />

Scheduled Tra<strong>di</strong>ng Day, if applicable) (the “Scheduled Averaging Date”) and the<br />

Averaging Date for a Fund Share affected by the occurrence of a Disrupted Day shall<br />

be the first succee<strong>di</strong>ng Valid Date in relation to such Fund Share. If the first<br />

succee<strong>di</strong>ng Valid Date in relation to such Fund Share has not occurred as of the<br />

Valuation Time on the Averaging Cut-Off Date or if such Averaging Date falls on the<br />

Averaging Cut-Off Date owing to the original date on which it was scheduled to fall<br />

not being a Common Scheduled Tra<strong>di</strong>ng Day, then (A) the Averaging Cut-Off Date<br />

shall be deemed to be the Averaging Date (irrespective of whether the Averaging Cut-<br />

Off Date is already an Averaging Date) in relation to such Fund Share, and (B) the<br />

Calculation Agent shall determine the relevant price for that Averaging Date in<br />

accordance with sub-paragraph (c)(ii) of the definition of “Valuation Date” below; or<br />

where the Fund Linked Notes relate to a Basket of Funds and the applicable Final<br />

Terms provides that “Common Scheduled Tra<strong>di</strong>ng Days” and “Common Disrupted<br />

Days” shall be applicable, the Averaging Date for each Fund Share shall be the first<br />

succee<strong>di</strong>ng Common Valid Date in relation to such Fund Share. If the first succee<strong>di</strong>ng<br />

Common Valid Date has not occurred as of the Valuation Time on the Averaging Cut-<br />

Off Date or if such Averaging Date falls on the Averaging Cut-Off Date owing to the<br />

original date on which it was scheduled to fall not being a Common Scheduled<br />

Tra<strong>di</strong>ng Day, then (A) the Averaging Cut-Off Date shall be deemed to be the<br />

Averaging Date (irrespective of whether the Averaging Cut-Off Date is already an<br />

Averaging Date), and (B) the Calculation Agent shall determine the relevant level or<br />

price for that Averaging Date in accordance with sub-paragraph (d)(ii) of the definition<br />

of “Valuation Date” below,<br />

and, for the purposes of these Fund Linked Con<strong>di</strong>tions “Valid Date” means a Scheduled Tra<strong>di</strong>ng<br />

Day that is not a Disrupted Day and on which another Averaging Date does not or is deemed not to occur,<br />

and “Common Valid Date” means a Common Scheduled Tra<strong>di</strong>ng Day that is not a Disrupted Day for any<br />

Fund Share and on which another Averaging Date does not or is deemed not to occur.<br />

“Barrier Event Determination Day” means, in respect of each Fund Share and each Observation<br />

Period:<br />

(a)<br />

if the applicable Final Terms provides that “Barrier Event (intraday)” is applicable, each day<br />

on which the price of such Fund Share is quoted on the relevant Exchange during such<br />

Observation Period, regardless of whether or not such day is a Scheduled Tra<strong>di</strong>ng Day for<br />

such Fund Share (and, for the avoidance of doubt, if the Calculation Agent in its sole and<br />

absolute <strong>di</strong>scretion determines that a Market Disruption Event is occurring at any time on any<br />

Barrier Event Determination Day, it shall <strong>di</strong>sregard the period during which it determines in<br />

its sole and absolute <strong>di</strong>scretion that such Market Disruption Event has occurred and is<br />

continuing for the purposes of determining whether or not a Barrier Event (intraday) has<br />

occurred); or<br />
