Bank of America Corporation is a Delaware corporation, a bank hol<strong>di</strong>ng company, and a financial<br />

hol<strong>di</strong>ng company. The Issuer was incorporated in 1998 (for an unlimited duration) as a part of the merger<br />

of BankAmerica Corporation with NationsBank Corporation. The Issuer’s Delaware registration number is<br />

2927442. The Issuer operates under the General Corporation Law of the State of Delaware, Title 8 of the<br />

Delaware Code 1953, sections 101 through 398, known as the “Delaware General Corporation Law”. The<br />

Issuer’s headquarters and principal place of business are located at 100 North Tryon Street, Charlotte,<br />

North Carolina 28255, United States of America, telephone number (704) 386-5681. The Issuer’s objects<br />

and purposes are to engage in any lawful act or activity for which corporations may be organized and<br />

incorporated in the General Corporation Law of the State of Delaware, as specified in paragraph 2 of the<br />

Issuer’s amended and restated certificate of incorporation.<br />

Business Segment Operations<br />

The Issuer, together with its subsi<strong>di</strong>aries, provides a <strong>di</strong>versified range of banking and non-banking<br />

financial services and products in all 50 states, the District of Columbia, and more than 40 foreign<br />

countries. The Issuer provides these services and products through six business segments: (1) Deposits, (2)<br />

Global Card Services, (3) Home Loans & Insurance, (4) Global Commercial Banking, (5) Global Banking<br />

& Markets, and (6) Global Wealth & Investment Management.<br />

Acquisition and Disposition Activity<br />

As part of its operations, the Issuer regularly evaluates the potential acquisition of, and holds<br />

<strong>di</strong>scussions with, various financial institutions and other businesses of a type eligible for financial hol<strong>di</strong>ng<br />

company ownership or control. In ad<strong>di</strong>tion, the Issuer regularly analyzes the values of, and submits bids<br />

for, the acquisition of customer-based funds and other liabilities and assets of such financial institutions<br />

and other businesses. The Issuer also regularly considers the potential <strong>di</strong>sposition of certain of its assets,<br />

branches, subsi<strong>di</strong>aries, or lines of businesses. As a general rule, the Issuer publicly announces any material<br />

acquisitions or <strong>di</strong>spositions when a definitive agreement has been reached.<br />
