Business Day, or (b) the submission deadline for orders to be entered into on the relevant<br />

Exchange or Related Exchange system for execution at the relevant Valuation Time on such<br />

Exchange Business Day.<br />

“Exchange” means:<br />

Ad<strong>di</strong>tional Terms and Con<strong>di</strong>tions for Index Linked Notes<br />

(a)<br />

(b)<br />

in relation to an Index which is specified in the applicable Final Terms as being a Unitary<br />

Index, each exchange or quotation system specified as such for such Index in the applicable<br />

Final Terms, any successor to such exchange or quotation system or any substitute exchange<br />

or quotation system to which tra<strong>di</strong>ng in the securities comprising such Index has temporarily<br />

relocated (provided that the Calculation Agent has determined that there is comparable<br />

liqui<strong>di</strong>ty relative to the securities comprising such Index on such temporary substitute<br />

exchange or quotation system as on the original Exchange); and<br />

in relation to an Index which is specified in the applicable Final Terms as being a Multi-<br />

Exchange Index, in respect of each Component Security, the principal stock exchange on<br />

which such Component Security is principally traded, as determined by the Calculation<br />

Agent.<br />

“Exchange Business Day” means (a) where the relevant Index is specified in the applicable Final<br />

Terms to be a Unitary Index, any Scheduled Tra<strong>di</strong>ng Day on which each Exchange and each Related<br />

Exchange are open for tra<strong>di</strong>ng during their respective regular tra<strong>di</strong>ng sessions, notwithstan<strong>di</strong>ng any such<br />

Exchange or Related Exchange closing prior to its Scheduled Closing Time or (b) where the relevant Index<br />

is specified in the applicable Final Terms to be a Multi-Exchange Index, any Scheduled Tra<strong>di</strong>ng Day on<br />

which (i) the Index Sponsor publishes the level of the Index; and (ii) the Related Exchange is open for<br />

tra<strong>di</strong>ng during its regular tra<strong>di</strong>ng session, notwithstan<strong>di</strong>ng the Related Exchange closing prior to its<br />

Scheduled Closing Time.<br />

“Exchange Disruption” means:<br />

(a)<br />

(b)<br />

in relation to an Index which is specified in the applicable Final Terms as being a Unitary<br />

Index, any event (other than an Early Closure) that <strong>di</strong>srupts or impairs (as determined by the<br />

Calculation Agent) the ability of market participants in general (i) to effect transactions in, or<br />

obtain market values for, on any relevant Exchange(s) in securities that comprise 20 per cent.<br />

or more of the level of the relevant Index, or (ii) to effect transactions in, or obtain market<br />

values for, futures or options contracts relating to the relevant Index on any relevant Related<br />

Exchange; or<br />

in relation to an Index which is specified in the applicable Final Terms as being a Multi-<br />

Exchange Index, any event (other than an Early Closure) that <strong>di</strong>srupts or impairs (as<br />

determined by the Calculation Agent) the ability of market participants in general to effect<br />

transactions in, or obtain market values for: (i) any Component Security on the Exchange in<br />

respect of such Component Security; or (ii) futures or options contracts relating to the Index<br />

on the relevant Related Exchange.<br />

“Index” and “In<strong>di</strong>ces” mean, subject to adjustment in accordance with these Index Linked<br />

Con<strong>di</strong>tions, the in<strong>di</strong>ces or index specified in the applicable Final Terms and related expressions shall be<br />

construed accor<strong>di</strong>ngly.<br />

“Index Closing Level” means, in respect of an Index and any relevant date, subject to these Index<br />

Linked Con<strong>di</strong>tions, an amount equal to the official closing level (which shall be deemed to be an amount<br />

in the Index Currency) of such Index as determined by the Calculation Agent on such date.<br />
