Ad<strong>di</strong>tional Terms and Con<strong>di</strong>tions for Index Linked Notes<br />

Tra<strong>di</strong>ng Day, then (A) the Averaging Cut-Off Date shall be deemed to be the<br />

Averaging Date (irrespective of whether the Averaging Cut-Off Date is already an<br />

Averaging Date), and (B) the Calculation Agent shall determine the relevant level or<br />

price for that Averaging Date in accordance with sub-paragraph (d)(ii) of the definition<br />

of “Valuation Date” below,<br />

and, for the purposes of these Index Linked Con<strong>di</strong>tions “Valid Date” means a Scheduled Tra<strong>di</strong>ng<br />

Day that is not a Disrupted Day and on which another Averaging Date does not or is deemed not to<br />

occur, and “Common Valid Date” means a Common Scheduled Tra<strong>di</strong>ng Day that is not a<br />

Disrupted Day for any Index, and on which another Averaging Date does not or is deemed not to<br />

occur.<br />

“Barrier Event Determination Day” means, in respect of each Index and each Observation Period:<br />

(a)<br />

(b)<br />

(c)<br />

if the applicable Final Terms provides that “Barrier Event (intraday)” is applicable, each day<br />

on which the level of such Index is published and/or <strong>di</strong>sseminated by the Index Sponsor<br />

during such Observation Period, regardless of whether or not such day is a Scheduled<br />

Tra<strong>di</strong>ng Day for such Index (and if the Calculation Agent in its sole and absolute <strong>di</strong>scretion<br />

determines that a Market Disruption Event is occurring for such Index at any time on any<br />

Barrier Event Determination Day, it shall <strong>di</strong>sregard the period during which it determines in<br />

its sole and absolute <strong>di</strong>scretion that such Market Disruption Event has occurred and is<br />

continuing for the purposes of determining whether or not a Barrier Event (intraday) has<br />

occurred);<br />

if the applicable Final Terms provides that “Barrier Event (closing)” is applicable, each<br />

Scheduled Tra<strong>di</strong>ng Day for such Index during such Observation Period that is not a Disrupted<br />

Day for such Index; or<br />

where the Index Linked Notes relate to a Basket of In<strong>di</strong>ces and the applicable Final Terms<br />

provides that “Common Scheduled Tra<strong>di</strong>ng Days” shall be applicable, each Common<br />

Scheduled Tra<strong>di</strong>ng Day that is not a Disrupted Day for any Index in the Basket of In<strong>di</strong>ces.<br />

“Barrier Event Valuation Time (closing)” means:<br />

(e)<br />

(f)<br />

in relation to an Index which is specified in the applicable Final Terms as being a Unitary<br />

Index, the Scheduled Closing Time on the relevant Exchange on the relevant Barrier Event<br />

Determination Day, as the case may be, in relation to each Index to be valued. If the relevant<br />

Exchange closes prior to its Scheduled Closing Time and the specified Barrier Event<br />

Valuation Time (closing) is after the actual closing time for its regular tra<strong>di</strong>ng session, then<br />

the Barrier Event Valuation Time (closing) shall be such actual closing time; and<br />

in relation to an Index which is specified in the applicable Final Terms as being a Multi-<br />

Exchange Index, (i) for the purposes of determining whether a Market Disruption Event has<br />

occurred: (x) in respect of any Component Security, the Scheduled Closing Time on the<br />

relevant Exchange and (y) in respect of any options contracts or futures contracts on the<br />

Index, the close of tra<strong>di</strong>ng on the relevant Related Exchange, and (ii) in all other<br />

circumstances, the time at which the official closing level of the Index is calculated and<br />

published by the Index Sponsor; and<br />

in relation to an Index which is specified in the applicable Final Terms as being a Proprietary<br />

Index, the time at which the Index Sponsor calculates and publishes the official closing level<br />

of the Index.<br />
