27. RELATED PARTY TRANSACTIONS<br />
Key Management Personnel Compensation<br />
Key management personnel are those individuals having authority and responsibility for planning,<br />
directing and controlling the activities <strong>of</strong> the Company, including members <strong>of</strong> the Company’s Board <strong>of</strong><br />
Directors. The Company considers key management to be the members <strong>of</strong> the Board <strong>of</strong> Directors and the<br />
Chief Executive Officer.<br />
Key management personnel may also participate in the Company’s stock-based compensation plans and<br />
the Company’s LTIP and RSU Plan. See Note 15 to the Company’s 2010 annual financial statements<br />
reported under Canadian GAAP and Note 11 above.<br />

Key management personnel may purchase goods for personal and family use from the Company on the<br />
same terms as those available to all other employees <strong>of</strong> the Company.<br />
Principal Subsidiaries<br />
All <strong>of</strong> the Company’s subsidiaries are wholly-owned. Intra-company balances and transactions and any<br />
unrealized earnings and expenses arising from intra-company transactions are eliminated in preparing the<br />
consolidated financial statements. Principal subsidiary companies as at January 1, 2011 were as follows:<br />
