<strong>The</strong> <strong>Law</strong> Office of Yamina Kebir was established in 1982. <strong>The</strong> firm provides its clients with<br />
<strong>the</strong> full range of legal services in connection with <strong>the</strong>ir businesses in Algeria. <strong>The</strong> areas of<br />
practice include commercial and corporate, investments, acquisitions, banking, labour law,<br />
telecommunications, pharmaceuticals, intellectual property, and litigation. Clients include<br />
state-owned companies, multinational corporations, banks, airline companies. Foreign clients<br />
account for eighty per cent of <strong>the</strong> firm’s client base. Work is handled in English, French and<br />
Arabic.<br />
<strong>The</strong> firm has recently acted on <strong>the</strong> following matters:<br />
Acting as borrower’s counsel to Orascom Telecom Holdings in connection with <strong>the</strong><br />
financing of <strong>the</strong>ir investment in Algeria worth Euros 400 million. <strong>The</strong> firm assisted its client<br />
throughout <strong>the</strong> whole process of <strong>the</strong> negotiations with lenders, providing legal advice on<br />
Algerian law issues, reviewing all financing documentation and proposing amendments, in<br />
particular negotiating security contracts with lenders, co-ordinating <strong>the</strong> work with lenders’<br />
counsel and <strong>the</strong> notary, preparing all relevant documentation for signing <strong>the</strong> same;<br />
preparing <strong>the</strong> documentation for meeting <strong>the</strong> conditions precedent and checking <strong>the</strong><br />
conditions precedent have been satisfied;<br />
Advising and assisting a client on a major infrastructure project (East - West Motorway)<br />
involving <strong>the</strong> negotiation with <strong>the</strong> Government entity acting as Employer; drafting of <strong>the</strong><br />
relevant documentation and assistance on a day to day basis.<br />
Advising and assisting a leading food corporation in an acquisition in Algeria; carrying out<br />
<strong>the</strong> due diligence, and assisting in <strong>the</strong> negotiations, drafting of <strong>the</strong> various agreements<br />
and <strong>the</strong> articles of association;<br />
Advising and assisting multinational corporations on <strong>the</strong>ir investment in Algeria and on<br />
setting up Algerian subsidiaries, ei<strong>the</strong>r wholly-owned or in partnership with Algerian<br />
companies; drafting of joint venture agreements, license agreements, articles of<br />
association; providing clients with continuing advice on day-to-day operations and on <strong>the</strong><br />
performance of contracts;<br />
Advising and assisting engineering companies on <strong>the</strong>ir joint ventures with<br />
Sonatrach and Sonelgaz involving drafting and negotiating joint venture<br />
agreements, shareholders agreements, articles of association;<br />
Advising and assisting a leading pharmaceutical corporation on <strong>the</strong> setting up of its<br />
two joint ventures with State owned companies involving negotiating and drafting<br />
joint venture agreements, shareholders agreements, articles of association;<br />
Advising and assisting a foreign corporation in <strong>the</strong>ir negotiations with <strong>the</strong> Algerian<br />
authorities and on <strong>the</strong> setting up of a joint venture for port management; carrying<br />
out <strong>the</strong> due diligence, drafting and negotiating joint venture agreements;<br />
advising an English based bank in connection with loans to Algerian companies;<br />

Yamina is a member of <strong>the</strong> Algerian Bar authorized to appear before<br />
<strong>the</strong> supreme court and <strong>the</strong> Conseil d’Etat of Algeria. She is Head of<br />
<strong>the</strong> legal department at <strong>the</strong> Société Nationale de Sidérurgie (State<br />
owned company).<br />
