MERGERS & ACQUISITIONS6.5 Merger ReviewLarge merger cases require priorreview and approval <strong>in</strong> manyjurisdictions. As part of <strong>the</strong>ir review,competition authorities may prohibitmergers or approve <strong>the</strong>m subject toconditions. These are <strong>in</strong>tendedto assist firms and <strong>the</strong>ir advisers to anticipate <strong>the</strong> procedures and criteria thatwill be applied <strong>in</strong> assess<strong>in</strong>g a merger.An example of such guidel<strong>in</strong>es is conta<strong>in</strong>ed <strong>in</strong> <strong>the</strong> Horizontal MergerGuidel<strong>in</strong>es published <strong>in</strong> 1997 by <strong>the</strong> US Department of Justice (DoJ) and <strong>the</strong>Federal Trade Commission (FTC). The Guidel<strong>in</strong>es set out a five-stage analysisof <strong>the</strong> follow<strong>in</strong>g subject areas: 59• market def<strong>in</strong>ition;• identification of firms participat<strong>in</strong>g <strong>in</strong> <strong>the</strong> relevant market and <strong>the</strong>ir marketshares;• identification of potential adverse effects of <strong>the</strong> merger;• analysis of barriers to market entry; and• evaluation of any efficiencies aris<strong>in</strong>g from <strong>the</strong> merger.Fur<strong>the</strong>r details about <strong>in</strong>vestigative techniques recommended for use dur<strong>in</strong>g<strong>the</strong> merger review process can be found at <strong>the</strong> website of <strong>the</strong> International<strong>Competition</strong> Network.6.6 Information <strong>in</strong> Merger ReviewAs part of <strong>the</strong> merger review process, <strong>the</strong>merg<strong>in</strong>g firms must normally provide<strong>in</strong>formation to <strong>the</strong> review<strong>in</strong>g authority.It is standard practice <strong>in</strong> jurisdictions,which impose merger review, to requireparties to be merger to submit advancenotice of <strong>the</strong> proposed transaction. The<strong>in</strong>formation disclosed <strong>in</strong> <strong>the</strong> pre-mergernotification will normally be used by a competition authority <strong>in</strong> <strong>the</strong> first stageof merger review (i.e. to determ<strong>in</strong>e if any anticompetitive concerns are presentand whe<strong>the</strong>r to proceed with a more detailed review of <strong>the</strong> proposedtransaction). 60Where a merger is proposed each of <strong>the</strong> undertak<strong>in</strong>gs <strong>in</strong>volved must accord<strong>in</strong>gto Section 44 (1) notify <strong>the</strong> Commission of <strong>the</strong> proposal <strong>in</strong> <strong>the</strong> prescribedmanner.
