S 0.07% max.P 0.18% max. P 0.18% max.Mn. 0.5 to 1% Mn. 0.5 to 1%C 3.7 to 4% C 3.7 to 4%2. These terms & conditions can not be changed without obtaining priorapproval of Managing Director, Industrial Development Corporation of Orissa Limited(<strong>IDCOL</strong>), Bhubaneswar.3. The tender quantity of pig iron will approximately be 2500 MT ( Gr.II-LM ) and40 MT ( Gr.III-LM).4. The bidders shall quote for the tender quantity as stipulated in Clause No.3.The bids for part quantity shall not be accepted.5. The bidders are advised to inspect the material they are quoting for beforesubmission of bids. M/s. <strong>IKIWL</strong> shall not entertain any objection to the quality orquantity of pig iron after it has been loaded to trucks and invoice has been issued.

The pig iron shall be loaded and dispatched from the Stockyard of M/s.<strong>IDCOL</strong> Kalinga Iron Works Limited (<strong>IKIWL</strong>) situated at 19, PTR Siding, SibpurChar, Howrah.7. Bids received otherwise than in response to such advertisements shall not beentertained.8. Bidders shall quote their prices per Metric Ton (MT) Ex-Kolkata Stockyard.All the other charges like, W.B. VAT and other levies & duties payable under theLaw, if any, shall be charged extra on the date of billing. This date shall be treatedas the date of transaction in question.9. The <strong>Tender</strong> document (Page 1-9), duly signed in each page as a token ofacceptance of the terms & conditions, shall be submitted in a sealed cover superscribingthe <strong>Tender</strong> Call Notice No., Name of the tenderer and due date of submission on the topof the envelope. In any case, it will be presumed that the bidders have agreed to theseterms & conditions.The bids may be submitted by post or courier or personally as consideredconvenient by the bidders. However, M/s. <strong>IDCOL</strong> shall not be responsible for anypostal delay and other delays in receipt of the bids.10. If the sales tax and other levies & duties payable under the Law are increasedwith retrospective effect, the additional burden shall be borne entirely by thepurchaser / successful bidder.11. The prices quoted in the bid other than in the manner prescribed above shallnot be valid and the bid shall be rejected. No replacement bid shall be acceptable.
( 4 )12. The bidders must mention in their bids the purchase price per MT in figuresas well as in words without erasing, cuttings and over-writings. The prices quotedshould be legible and have no ambiguity. Otherwise the bid shall be rejected. Incase of variation between the prices quoted in words and figures, those quoted inwords shall be final.13. The bidders must give their full Name, address, Excise control code number,Sales Tax Registration number, PAN and Telephone numbers in the bids submittedby them. They should also give their FAX number and e-mail address, if they haveone. They shall be intimated at either of these addresses about the acceptance oftheir bid. Notwithstanding the intimation as above, they shall keep in touch with theKolkata Office about the fate of their bids. Non receipt of intimation above in timeshall not be permitted to be the reason for non payment within the stipulated time.No intimation shall be given, where the bids are rejected.14. An Earnest Money Deposit (EMD) of Rs.25 lakhs shall be submittedalongwith the bid in the form of crossed Demand Draft/ Bankers Cheque/ Pay Orderdrawn in favour of “ M/s. <strong>IDCOL</strong> Kalinga Iron Works Ltd. ” and payable atKolkata. No interest will be paid on the EMD amount. The EMD of unsuccessfulbidder shall be refunded as early as possible.The EMD of successful bidder shall be converted into security deposit(interest free ) and shall remain at the entire disposal of <strong>IDCOL</strong> as security forsatisfactory execution and completion of the transaction in question.In the event of failure to deposit the sale value as stipulated in Clause-16 , thesecurity deposit thereof shall be forfeited and the deal shall be closed.this deal.The EMD / any amount of any previous transactions can not be adjusted in
( 5 )15. All the bids received shall be opened at Kolkata Liaison Office, Kolkata afterthe time limit fixed for receipt of bids is over.16. An advance amount of Rs.200 lakhs shall be paid at Kolkata Office by thesuccessful bidder in the form of Crossed Demand Draft / Pay Order / BankersCheque/ Cheque drawn in favour of “ M/s. <strong>IDCOL</strong> Kalinga Iron Works Ltd. ” andpayable at Kolkata within 3 (three) working days of intimation to them of theacceptance of their bid to book the material. This intimation shall be given overtelephone or FAX or otherwise.The balance payment shall be paid before lifting of the material.The entire allotted quantity of material shall be lifted within 2 weeks from thedate of deposit of advance payment.17. The weighment recorded at the weighbridge nominated by <strong>IKIWL</strong> (KolkataLiasion Office) shall be final & binding on buyer & seller for all purposes.18. No interest will be payable on EMD and on the advance payment of Rs.200lakhs referred above.19. In case of default, on the part of successful bidders, in making payment asabove, M/s. <strong>IDCOL</strong> and M/s. <strong>IKIWL</strong> reserve the right to forfeit the EMD/ SecurityDeposit and shall also be free from all the contractual obligations of the sale. M/s.<strong>IKIWL</strong> / <strong>IDCOL</strong> shall have the right to sell the pig iron in any manner considereddesirable by them. In such case, the financial loss, if any, to the Corporation shall berecovered from the advance payment made by the successful bidder.
( 6 )20. It shall be the responsibility of purchasers to make arrangements forreceiving, transporting and unloading the pig iron at the destination. However, properliaison shall be maintained with Kolkata Office of <strong>IKIWL</strong> for smooth despatch ofmaterial.21. M/s. <strong>IKIWL</strong> shall not bear any transit risk.22. Abitration : That in case of disputes between the parties, the matter shall bereferred to the arbitration of Chairman of the Industrial Development Corporation ofOrissa Limited, <strong>IDCOL</strong> House, Ashok Nagar, Bhubaneswar or to an arbitratornominated by the Chairman of the I.D.C. of Orissa Limited in case the saidChairman for any reason is not in a position to arbitrate. The award of the arbitratorshall be final, binding and conclusive.In case for any reason the arbitration is not possible in accordance with theaforesaid clause, the matter shall not be referred to arbitration at all.That, in all cases the arbitration proceedings shall be conducted atBhubaneswar or in the Factory Site at Barbil and at no other place.That, all legal proceedings in any manner arising out of or in relation to thecontract between the parties can only be initiated in a court of law situated within theterritorial jurisdiction of the State of Orissa and none of the parties shall have theliberty of initiating any legal proceedings any where beyond the territorial limits of theState of Orissa.23. Force Majeure : This order is subject to force Majeure clauses and theperformance of the contract either wholly or in part will be governed by the stand andforce majeure clauses. Any failure of the contract due to strike, cyclones etc. and allother causes beyond the control of the Company, <strong>IDCOL</strong> / <strong>IKIWL</strong> shall not beresponsible for the same in any manner whatsoever.
