On opening the web site first click on “Tender” appearing on the top righthand side of computer monitor screen. Thereafter, on opening of the new “Window”on monitor screen, click in the table on “SALE OF CLO-TENDER CALL NOTICENo.CLO-R/218/10-11.” Bid document is not available otherwise.3. The bids shall accompany, among others, with an EMD of Rs.5.00 lakhs inthe form of crossed Demand Draft drawn in favour of M/s. Industrial DevelopmentCorporation of Orissa Ltd. and payable at Bhubaneswar.4. Bids shall be submitted in the office of M/s. ( 3 )7. The bidders must mention in their bids (General Bid format) the destination,where the rake will be unloaded by them. Without this information the rake can notbe requisitioned.8. Bidders shall quote their prices for the purchase of whole rake load but in perMetric Tonne (MT) ex-factory Barbil. This price per MT shall be uniformaly applicableto purchase of the whole rake load. The rates quoted shall be valid for a period of 30(thirty) days counted from the last date of submission of bids. This shall mean thatthe successful bidder, if called upon within the 30 days, to pay at the prices quoted,can not refuse the payment. This shall also mean that the bidders can not withdraw,vary or change their bids unless these 30 days are over. All the other charges like,Central Sales Tax (CST), VAT, Entry Tax etc. as payable under the Law, shall beextra. The freight charges shall also be payable extra. All the taxes and chargesshall be payable at the rates applicable on the date of billing. This date of billing shallbe treated as the date of transaction of sale in question. The billing shall be done byM/s. IKIWL on the advice of M/s. IDCOL. The bill shall mention that entire paymentwas received in advance.9. The bidders must mention in their bids the purchase price per MT in figuresas well as in words without erasings, cuttings and over-writings. The prices quotedshould be legible and have no ambiguity; otherwise the bid shall be rejected. In caseof variation between the price quoted in words and figures, those quoted in wordsshall be final.10. The Earnest Money Deposit (EMD) of Rs. 5 lakhs (Rupees five lakhs) onlyshall be submitted along with the bid in the form of crossed Demand Draft drawn infavour of M/s. Industrial Development Corporation of Orissa Limited and payable atBhubaneswar. This shall be forfeited for failure to pay in advance (see Clause 17below) in time. Otherwise, it shall be returned / refunded as early as feasible.11. Prices quoted in the bid, otherwise than in the manner prescribed above, shallnot be valid and the bid shall be rejected. No replacement bid shall be acceptable.12. This tender document has prescribed a General Bid format and a Price Bidformat enclosed herewith at the end. The Price Bid format duly filled in and signedshall be submitted in a small sealed envelope, which shall contain nothing else. Thissealed envelope shall be written with the Tender Call Notice number, last dateprescribed for receipt of bids and the name of bidder, for easy identification in caseof any mix up. This small sealed envelope, the General Bid format duly filled in andsigned, “terms & conditions“ part of this document signed on each page and all theother documents and information called for by the terms and conditions of thistender, shall be placed in a bigger sealed envelope. This bigger sealed envelopeshould also be written with the Tender Call Notice number, the last date prescribedfor receipt of bid and the name of bidder, for its proper identification. This bigger

Industrial DevelopmentCorporation of Orissa Limited, IDCOL House, Unit-II, Ashok Nagar,Bhubaneswar-751009, Dist Khurda, Orissa, so as to reach there before 4.00 PMon the last date prescribed for receipt of bids and mentioned in the Tender CallNotice advertised. Bidders may, at their discretion, not submit the “terms andconditions “ part of this document as it is available on the websitewww.idcorissa.com for all to see. But they must follow its provisions and submitall the documents and information required by the “terms and conditions” part. Inany case, if a bid has been submitted, it shall be presumed that the “terms andconditions” part has been accepted by the bidder.13. Tenders (or bids) may be submitted in the office of IDCOL by post, courier,personally or otherwise. Receipt Section of the office of M/s. IDCOL shall issuereceipts voluntarily under proper seal and signature in case of submission of bids inperson. All the bids received, in manner whatsoever, shall be promptly forwarded byReceipt Section to Commerce Department for further necessary action.14. M/s. IDCOL shall not be responsible for the postal or other delays in reachingthe bids in its office.15. The bidders must give their (business entity) full name, address, FAXnumber, telephone number and e-mail address in the General Bid format to besubmitted by them. They must submit and/or fill in it faithfully and accurately all theother information / documents required by this format. Otherwise, the bids may berejected. The bids will be rejected if the FAX number is not given.16. All the bids received shall be opened as early as possible after the time limitand date fixed for receipt of bids is over.17. The successful bidder shall be asked to pay in advance within seven days thefull tentative amount, which shall include CST, railway freight etc. by CrossedDemand Draft drawn in favour of M/s. IDCOL Kalinga Iron Works Ltd., Matkambeda,Barbil, District Keonjhar, ORISSA and payable at Barbil./ The IndustrialDevelopment Corporation of Orissa Ltd., payable at Bhubaneswar. The tentativeamount above could be slightly on the higher side and the balance will be refundedimmediately after the billing. The intimation to pay in advance will be given by fax /phone or otherwise at the address given in the General Bid format. Notwithstandingthe intimation as above, the bidders shall keep in touch with the Head (Commerce),IDCOL Corporate Office (Tel. No.0674 -2530036 / 2533459 and Fax No.0674-2533286 / 2530518) about the fate of their bids. Non-receipt of intimation above atthe given address in time shall not be permitted to be the reason for non-paymentwithin the stipulated time.

( 5 )18. On receipt of advance payment of full tentative amount, the requisition forrake shall be placed by M/s. IKIWL with the Railway authorities. M/s. IKIWL or M/s.IDCOL shall not be responsible for the time taken by Railway authorities in placingthe rake. The iron ore shall be loaded by M/s. IKIWL immediately on placing of rakeand consignment advice shall be obtained in favour of the successful bidder makingthe payment.19. Exact quantity of iron ore loaded in rake can only be ascertained afterrecording of weight by the Railways. The billing shall be done, accordingly. Thetaxes and charges shall be payable as applicable on the date of billing. Successfulbidder will become the purchaser after this stage.20. No interest will be payable either on EMD or on advance payment or on anyretained amount.21. In case of default on the part of successful bidder in making advancepayment of full tentative amount within the stipulated period, M/s. IDCOL (and M/s.IKIWL) reserve the right to forfeit the EMD and shall also be free from all thecontractual obligations pertaining to the sale in question. M/s. IDCOL shall have theright to sell the rake load of iron ore in any manner considered desirable by them.22. The consignment advice and railway receipt shall be sent by post or courier tothe purchaser. It can also be handed over to their authorized representative inBarbil.23. After sending or handing over the consignment advice, it shall be theresponsibility of purchaser to make arrangement for receiving and unloading therake load of iron ore at the receiving destination by maintaining liaison with theRailway authorities. All the charges for unloading and demurrage (if any) payable tothe Railway authorities etc. at the receiving end shall be the responsibility of thepurchasers.24. M/s. IDCOL (or M/s. IKIWL) shall not bear the transit risk. It shall be theresponsibility of the purchaser to claim the compensation from the Railways for theloss of iron ore, if any, during the transit. They shall also pay the penalty imposed byrailways if any, after the Consignment Advice / R.R. has been issued by them.25. The quality and specifications of the iron ore mentioned in the Tender CallNotice are only indicative to facilitate the submission of bids. Their accuracy is notguaranteed. M/s. IDCOL (or M/s. IKIWL) shall not entertain any objection to thequality or specifications of the iron ore. It shall be the responsibility of the intendingbidders to collect their own information and check at their cost the quality andspecification of the iron ore in question before bidding, if they so desire. They shallbe allowed to take the samples for their tests for this purpose.

( 6 )26. All the Demand Drafts submitted for payment shall be endorsed on the backwith the Tender Call Notice number and the name of the payer to avoid any mix-up.27. All the refunds shall be made by Demand Drafts drawn in favour of thebeneficiaries after deducting the bank commission paid for obtaining the D.D. andthe postal/courier charges.28. It shall be the responsibility of bidders to satisfy themselves that they have thenecessary licenses and permissions required under the Law, Rules & Regulationsapplicable for purchasing, transportation and for end-using of iron ore in question.The management of M/s. IDCOL (or IKIWL) shall not be responsible, if they sufferany loss, damage or face arrest / prosecution for any violation in the process ofpurchasing, transporting and end-using the iron ore.29. Authorized representative of the purchaser will be allowed to be present atthe time of loading of iron ore in rake.30. No verbal agreement or inference from conversation with any officer oremployee of M/s. IKIWL or M/s. IDCOL or of the Roida ‘C’ mines either before,during or after the advertisement for sale shall in any way alter or modify the termsand conditions prescribed herein.31. Arbitration : That in case of disputes between the parties, the matter shall bereferred to the arbitration of Chairman-cum-Managing Director of the IndustrialDevelopment Corporation of Orissa Limited, IDCOL House, Ashok Nagar,Bhubaneswar or to an arbitrator nominated by the Chairman-cum-ManagingDirector of the I.D.C. of Orissa Limited in case the said Chairman-cum-ManagingDirector for any reason is not in a position to arbitrate. The award of the arbitratorshall be final, binding and conclusive.That, in all cases the arbitration proceedings shall be conducted atBhubaneswar or in the Factory Site at Barbil and at no other place.That, all legal proceedings in any manner arising out of or in relation to thecontract between the parties can only be initiated in a court of law situated withinthe territorial jurisdiction of the State of Orissa and none of the parties shall havethe liberty of initiating any legal proceedings any where beyond the territorial limitsof the State of Orissa.

32. Force Majeure : This order is subject to force Majeure clauses and theperformance of the contract either wholly or in part will be governed by the stand andforce majeure clauses. Any failure of the contract due to strike, cyclones etc. and allother causes beyond the control of the Company, IDCOL / IKIWL shall not beresponsible for the same in any manner whatsoever33. The management of IDCOL reserves the right to accept / reject / cancel any orall the bids at any stage without assigning any reason.
