These terms & conditions can not be changed without obtaining priorapproval of Managing Director / CMD, Industrial Development Corporation ofOrissa Limited (IDCOL), Bhubaneswar.3. The pig iron, in one rake load of closed railway wagons, will approximatelybe 2500 MTs. However, the sale price payable by the purchasers shall becalculated on the basis of the exact weight of pig iron loaded in the rake asmentioned in the Consignment Advice and the Railway Receipt (RR) issued by theIndian Railway Authority.4. The pig iron shall be loaded and dispatched in the rakes from the railwaysiding of the factory of M/s. IDCOL Kalinga Iron Works Limited(IKIWL) situated inBarbil, district – Keonjhar, Orissa.5. Sealed bids shall be invited by open advertisements issued from time totime. The advertisement will also be available on the web-site of M/s. IDCOL atwww.idcorissa.com. Bids received otherwise than in response to suchadvertisements shall not be entertained. The bidders must mention the destination,where the rake will be unloaded by them. It should be within the region mentionedin the open advertisements.

( 3 )6. Bidders shall quote their prices per Metric Ton (MT) Ex-Factory, Barbil. Itshall be applicable to whole rake load. All the other charges like, excise duty, salestax, freight and other levies & duties payable under the Law, if any, shall be extra.The excise duty, sales tax and other levies & duties shall be payable at the ratevalid and applicable on the date of billing. This date shall be treated as the date oftransaction of sale in question.7. If the excise duty, sales tax and other levies & duties payable under the Laware increased with retrospective effect, the additional burden shall be borneentirely by the purchaser / successful bidder.8. This transaction shall be treated as inter-state sale. Therefore, the CentralSales Tax (CST) shall be charged from the purchasers at the rate applicable onthe date of transaction. The rate of CST on Pig Iron currently is 4%. However, ‘C’Forms shall be accepted from the successful bidders (or purchasers) having validSales Tax or VAT registration and having the TIN numbers. In that case theconcessional CST, applicable as on the date of transaction, shall be payable bythe purchasers. This concessional rate of CST currently is 2%.9. The prices quoted in the bid other than in the manner prescribed aboveshall not be valid and the bid shall be rejected. No replacement bid shall beacceptable.10. The bidders must mention in their bids the purchase price per MT in figuresas well as in words without erasing, cuttings and over-writings. The prices quotedshould be legible and have no ambiguity. Otherwise the bid shall be rejected. Incase of variation between the prices quoted in words and figures, those quoted inwords shall be final.

The bidders must give their full Name, address, Excise Central Codenumber (if they have one) and telephone numbers in the bids submitted by them.They should also give their FAX number and e-mail address, if they have one.They shall be intimated at either of these addresses about the acceptance of theirbid. Notwithstanding the intimation as above, they shall keep in touch with the NewDelhi Office about the fate of their bids. Non receipt of intimation above in timeshall not be permitted to be the reason for non payment within the stipulated time.No intimation shall be given, where the bids are rejected.12. If it is not possible for a single bidder to afford to purchase the entire rakeload of pig iron, the bid may be submitted by a group of firms (business entities)quoting jointly. In that case the names, TIN numbers, Excise Central Codenumbers(wherever relevant) and Telephone numbers (FAX numbers, whereverthey have) and full addresses of all the firms shall be given in the bid indicatingapproximately the quantity to be purchased by each, such that the total quantity ofpig iron of that bid shall approximately be 2500 MTs. It shall be presumed that thejoint bidders shall purchase the entire rake load of pig iron, even if the actualquantity turns out to be different than 2500 MTs. The bid may be signed by one ofthem by enclosing the written authority of the remaining ones. Alternatively, all maysign the bid.13. An Earnest Money Deposit (EMD) of Rs.1.00 lakh shall be submittedalongwith the bid in the form of crossed Demand Draft drawn in favour of M/s.IDCOL Kalinga Iron Works Ltd. and payable at New Delhi. This shall be forfeitedfor failure to pay the advance (see clause 15 below) in time, Otherwise, it shall bereturned / refunded as early as feasible. However, no such Earnest MoneyDeposit is payable at the time of submission of the bid in case of regularcustomers, who have been purchasing the full rake load of pig iron from M/s.IKIWL. The decision in this respect of the M/s. IKIWL or its authorized officer shallbe final and binding. It can be communicated to the prospective bidders in advanceof the submission of bid, if they approach M/s. IKIWL or its authorized officer at theNew Delhi address mentioned above.

( 5 )14. All the bids received shall be opened immediately after the time limit fixedfor receipt of bids is over.15. An advance, for booking the rake, an amount not less than Rs.2.00 croresshall be paid at New Delhi office of M/s. IKIWL by the successful bidders in theform of one or more crossed Demand Drafts, drawn in favour of M/s. IDCOLKalinga Iron Works Ltd. and payable at New Delhi, or by Cheque encashable atpar at New Delhi, within 3 (three) days of intimation to them of the acceptance oftheir bid. This intimation shall be given over telephone or FAX or otherwise. Exactquantity of pig iron loaded in a rake can only be ascertained after recording ofweight (Tare / Gross) by the Railways. An advance copy of sale advice, indicatingtotal quantity in the rake, total amount and the balance amount payable shall becommunicated to the New Delhi office of M/s. IKIWL as soon as the weighment iscompleted. The successful bidders shall keep in touch with the New Delhi office toget to know this information. This will enable them to make the balance payment,with or without ‘C’ Forms, as the case may be, in the shape of one or more crossedDD payable at New Delhi, submitted in the New Delhi Office, sufficiently before thearrival of the rake. This payment by cheque, encashable at par in New Delhi, canalso be accepted provided the cheques are submitted sufficiently in advance andare encashed before the rake indented. In case of joint bid, the bidders shall alsointimate the New Delhi office in writing as to who is purchasing exactly how muchquantity for issuing the sales invoices, accordingly. Consignment Advice or theRRs shall be endorsed in favour of purchaser(s) at New Delhi office only after thefull payment as above has been received. All the sale invoices shall also beendorsed with the Railway Consignment Advice number, under which the sold pigiron is dispatched. The successful bidders will become purchasers after this stage.

( 6 )16. No interest will be payable on EMD and on the advance payment of Rs.2.00crore referred above. In case of default, on the part of successful bidders, inmaking full payment of the balance amount as above, M/s. IDCOL and M/s. IKIWLreserve the right to forfeit the advance payment including EMD and both shall alsobe free from all the contractual obligations of the sale. M/s. IKIWL or M/s. IDCOLshall have the right to sell the rake load of pig iron in any manner considereddesirable by them.17. M/s. IKIWL shall be the consigner as well as the consignee in theConsignment Advice and the Railway Receipt issued by the railway authorities.M/s. IKIWL will endorse the Consignment Advice in the capacity of consignee infavour of the nominee of the purchasers obtained in writing from them.18. After endorsing the Consignment Advice as above, it shall be theresponsibility of purchasers to make arrangements for receiving andunloading the rake load of pig iron at the receiving destination by maintainingliaison with the railway authorities. All the charges for unloading / loading anddemurrage (if any) payable to the railway authority etc. at the receiving end shallbe the responsibility of the purchasers.19. M/s. IKIWL shall not bear the transit risk. It shall be the responsibility of thepurchasers to claim the compensation from the railways for the loss of pig iron, ifany, during the transit.20. M/s. IKIWL shall not entertain any objection to the quality of pig iron after ithas been loaded in the railway wagons and the railway receipt in question hasbeen issued. It shall be the responsibility of successful bidders to check at theircost the quality of the pig iron at the time of loading, if they so desire.

( 7 )21. The bids may be submitted preferably in the format enclosed in theAnnexure to these terms & conditions. In any case it will be presumed that thebidders have agreed to these terms & conditions.22. All the commercial disputes shall be subject to jurisdiction of the Courtssituated in the district of Keonjhar, Orissa.23. The Management reserves the right to reject any or all the bids at any stagewithout assigning any reasons.
