( 5 )11. In case of cancellation of the sale order/ release order, the management of M/s.IDCOL/ M/s. IKIWL may sell the ore of that stack in the manner desired by them.M/s. IDCOL as well as M/s. IKIWL shall also be free from the sale obligationspertaining to that stack under these terms and conditions. The management ofM/s. IDCOL and M/s. IKIWL also reserve the right to recover the loss suffered bythem in selling the iron ore subsequently at a lower rate, if any, from anyamount payable to such purchaser apart from forfeiting the Security Deposit/EMD.12. ELIGIBILITY TO BID.12.1 The bidder must fulfill the following conditions to be eligible to bid.i) He must be registered for CST and VAT and must have theTraders Identification Number (TIN).ii) Must have and give his FAX number & e-mail ID in the General Bidformat.iii) Must possess a valid license under Section 6 of the Orissa Minerals(Prevention of Theft, Smuggling and other unlawful Activities)Act,1988.iv) IBM Registration Certificate under Rule 45 of MCDR (Amendment)2011.v) Traders / Crusher Units are not allowed to participate in the bid.vi) The bidders should have their own Sponge Iron / Pig Iron / SteelPlant and shall use the ore for manufacturing of Sponge Iron/ PigIron/ Steel at their own plant.vii) Lease Holders of mines are not eligible for participation. Thebidders have to give an undertaking to the effect that they are notLease Holders of any Iron Ore Mines. If it is detected that wronginformation is submitted to this effect the EMD will be forfeited andSale Order will be cancelled.12.2 Notwithstanding the above, it shall be the responsibility of bidders tosatisfy themselves that they have the necessary licenses and permissionsrequired under the Law, Rules & Regulations, applicable for purchasing,transportation and for end-using of iron ore in question. The Managementof IDCOL or (IKIWL) shall not be responsible, if they suffer any loss,damage or face arrest/ prosecution for any violation in the process ofpurchasing, transporting and end-using the iron ore.13. Bids received, otherwise than in response to aforesaid advertisements shall notbe entertained.14. This tender document has a prescribed General Bid format and a Price Bidformat enclosed herewith. The Price Bid format duly filled in and signedshall be submitted in a small sealed envelope, which shall contain nothingelse. This sealed envelope shall be written with the Tender Call Notice number,last date prescribed for receipt of bids and the name of bidder, for easyidentification to avoid any mix up.

(6)The General Bid format duly filled in and signed, terms & conditions part ofthis document signed on each page, and EMD instrument shall be put in aseparate sealed envelope.Both the above sealed envelopes (for General bid & Price bid) shall be put in aBigger sealed envelope. The bigger sealed envelope should also be written withthe Tender Call Notice number, the last date prescribed for receipt of bid and thename of bidder, for its proper identification.This bigger sealed envelope shall be submitted :In the office of M/s. Industrial Development Corporation of OdishaLimited, IDCOL House, Unit-II, Ashok Nagar, Bhubaneswar-751009,Dist Khurda, Odisha so as to reach there before 3.00 PM on the lastdate prescribed for receipt of bids and mentioned in the Tender CallNotice advertised. Bidders may, at their discretion, not submit the “termsand conditions “ part of this document as it is available on the websitewww.idcorissa.com for all to see. But they must follow its provisions andsubmit all the documents and information required by the “terms andconditions” part. In any case, if a bid has been submitted, it shall bepresumed that the “terms and conditions” part has been accepted by thebidder.15. The bids may be submitted by post or courier or personally as consideredconvenient by the bidders. However, M/s. IDCOL shall not be responsible for thepostal and other delays in receipt of the bids.16. Fill up all the columns and spaces in the General Bid format and the Price Bidformat. Wherever nothing is to be written, cross out the space or write Nil givingunmistaken indication that the bidder has nothing to fill in those spaces.17. The bids opened shall be evaluated first on the basis of information supplied inthe General Bid format and on the basis of the documents and informationsubmitted in accordance with the terms & conditions of the tender document.The unacceptable and ineligible bids, shall be rejected. The Price Bids shall beopened only in those cases, which have not been rejected as above.The bidders may choose to be present or depute theirrepresentative (one person only) with authorization letter during theTechnical as well as Price Bid opening.

(7)However, opening of the bids shall not be effected even if the participant or theirrepresentative are not present during opening.18. The bidders must give their full address, telephone numbers, FAX number (it is amust) and the e-mail address in the General Bid format and ensure that thetelephone & FAX are in working condition. The successful bidders shall beintimated through either of the aforesaid modes and addresses about theacceptance of their bids. Notwithstanding the intimation as above, they shallkeep in touch with the Head (Commerce) of IDCOL Corporate Office,Bhubaneswar (Tel. 0674-2530036 and Fax.0674-2533286/2530518) to know thestatus of their bids. No intimation shall be given where the bids are rejected.19. Successful bidders shall be called upon to make full tentative payment inadvance to “ The I.D.C. of Odisha Ltd. ” payable at Bhubaneswar throughcrossed Demand Drafts/or through RTGS. Non-receipt of intimation above intime shall not be permitted to be the reason for non-payment within thestipulated time.20. The tentative amount above will be slightly on the higher side. Exact amountpayable will be known only after the entire iron ore of the stack has been lifted inthe trucks and the weight has been arrived at by weighment of all such trucks.21. On confirmation in writing by M/s. IKIWL/IDCOL of receipt of full tentativepayment in advance, the Manager of Roida ‘C’ mine shall apply to the DeputyDirector of Mines, Joda, District. Keonjhar, in the prescribed manner, with orwithout advance payment of royalty, as the case may be, for his permission toremove the ore sold. The stack numbers shall be indicated, so that he may grantsuch permissions stack-wise. The management shall not be responsible for delay,if any, in granting the aforesaid permissions by the Deputy Director of Mines. Ongrant of permission the respective buyers shall be advised to remove the ore intrucks/tippers within the stipulated period of one month from the date of issue ofpermit. The dispatch of material from the Mines shall be done as per theprovision i-3 MS system of Steel & Mines Department of Govt. of Odisha underOrissa Minerals (Prevention of Theft, Smuggling & Illegal Mining and Regulationof Possession, Storage, Trading and Transportation) Rules,2007 & MMDR Act1957.

On receipt of release order, the purchaser shall give to Mines Manager a list ofTruck / Tippers Registration numbers and names of the concerned drivers dulyauthorizing them to lift the iron ore on his behalf from Roida ‘C’ mine. Only suchauthorized trucks shall be allowed by the Mines Manager to come inside the minefor loading of the iron ore of the stacks sold to that purchaser. The ManagerMines shall prepare, in consultation with the purchasers, the truck deploymentplan, so that too many trucks beyond the capacity of the mine or its weighbridge to handle, shall not congregate at any time in or around the mine leadingto crowding and chaos.23. The trucks authorized by a purchaser shall load the iron ore only from the stacks,which have been sold to that purchaser and from no where else.24. The drivers must produce on demand the documents like, driving license, R.C.book, the Fitness Certificate and tax token for verification before the entry isallowed inside the mine. Failure to produce these documents or such documentshaving been found invalid / outdated / expired shall lead to refusal to enterinside the mine. Any such refusal will be at the risk and responsibility of thepurchaser of iron ore concerned. The management of M/s. IDCOL or of M/s.IKIWL or the Mines Manager shall not be responsible for the alleged loss ordamage suffered by the drivers, truck owners and the purchasers concerned dueto aforesaid refusal.25. All the trucks / tippers coming inside the mine for lifting of the iron ore sold shallpass through the weigh bridge at the gate of the mine and their tare (empty)weight shall be recorded. A truck / tipper shall not be allowed to load more thanpermitted load of iron ore. After loading, the gross weight of the truck shall betaken again by the same weigh bridge to arrive at the net weight of iron ore. Ifnet weight is more than the permissible load the truck / tipper shall be directedto go back to the concerned stack and unload the excess iron ore. Theweighment as above shall be final and binding.26. If the weighbridge above goes out of order, the weighment may be done at anyother weighbridge permitted by Dy. Director, Mines, Joda, Keonjhar.27. Loading of Iron Ore in the trucks / tippers must be completed as per thedirections of the Mines Manager.28. The drivers shall sign in the records of the mine and those of the weigh bridge asrequired by the system or as advised by the Mines Manager for keeping a properrecord of the time and date of entry and exit of the trucks / tippers and of theloading of iron ore. The purchaser must instruct his authorized drivers,accordingly. They cannot refuse to put their signatures in the records ofthe mine, wherever required under the system. If they refuse to put their

(9)signatures, the trucks / tippers shall be returned empty at the risk andresponsibility of the purchaser and no damage, whatsoever, shall be payable byIDCOL management to any affected person.29. A loaded truck/tipper shall not be allowed to go out of the mine unless the driversigns in the required documents of the mine at appropriate places. In case adriver refuses to sign, he shall be directed to unload the iron ore in the stack andthen be allowed to go out of mine. The management shall not be responsible forany loss or damage suffered by the drivers or truck/tipper owners or thepurchaser on account of aforesaid decision of the management.30. The truck / tipper drivers shall be supplied with a computer printed sheet dulyauthenticated containing the record of weighment of their empty and loadedtrucks every time they come in and go out of the mine with the loaded truck.31. The driver shall also be issued a challan in proper format containing the evidenceof loading and transportation out of the iron ore in question. The challans,prepared in required number of copies, must mention, among other, itsdestination and route to be taken and must be authenticated at each stage ofoperations. The contents of challan shall not contradict those in the TransitPermit and Transit Pass referred above. Challans shall also be signed by theconcerned drivers. All the entries in the challan shall be clear, transparent and beauthenticated. There shall be no confusion or ambiguity about the purpose ofwriting various entries in the challan and in understanding them.32. The truck/tipper drivers shall obey the instructions of the Mines Manager or hisauthorized representative with regard to falling of trucks in line for weighmentand their movements inside the mine.33. The trucks / tippers shall not remain inside the mine a minute more thanconsidered necessary. After loading the iron ore, they shall immediately fall inline for gross weighment at the weigh bridge and go out after the weighment.They must take the route mentioned in their challan.34. When the entire quantity of iron ore allotted to the Party has been removed andtransported out, the Mines Manager will intimate the Commercial Division ofMines in writing (ink-signed) the actual quantity of iron ore despatched after theweighment of trucks / tipper at the weigh bridge, to facilitate Mines CommercialDivision to make the bills, accordingly.35. The billing shall be done by the Commercial Division of Mines on the basis of theactual quantity of iron ore dispatched after actual weighment of trucks/tippers, approved prices for sale and the royalty, cess & taxes payable. Theexcess amount shall be refunded to the purchaser as early as feasible.

36. The billing shall be done for the quantity actually dispatched from the Mine.( 10 )37. All the refunds shall be made by Demand Drafts drawn in favour of thebeneficiaries after deducting the bank commission paid for obtaining the D.D andthe postal / courier charges.38. No verbal agreement or inference from conversations with any officer oremployee of M/s. IDCOL, M/s. IKIWL or of the Roida ‘C’ Mines either before orafter the issue of advertisement of the Tender Call Notice shall in any way affector modify the terms and conditions specified herein.39. The successful bids are not transferable.40. The decision of the CMD., IDCOL shall be final on any disputes or differencesunder or arising out of the above deal.41. After allotment of the offered quantity to the H1 Bidder in accordance with theprovisions in Para 3, the left out quantity will be offered for sale to all the biddersincluding H1, at H1 price. However, the Management of IKIWL/IDCOL reservesthe right to discuss / negotiate with the bidders for disposal of the said left overquantity keeping the provisions of Para 3.42. Arbitration : That in case of disputes between the parties, the matter shall bereferred to the arbitration of Chairman-cum-Managing Director of the IndustrialDevelopment Corporation of Odisha Limited, IDCOL House, Ashok Nagar,Bhubaneswar or to an arbitrator nominated by the Chairman-cum-ManagingDirector of the I.D.C. of Odisha Limited in case the said Chairman-cum-ManagingDirector for any reason is not in a position to arbitrate. The award of the arbitratorshall be final, binding and conclusive.That, in all cases the arbitration proceedings shall be conducted atBhubaneswar or in the Factory Site of IKIWL at Barbil and at no other place.That, all legal proceedings in any manner arising out of or in relation to thecontract between the parties can only be initiated in a court of law situated withinthe territorial jurisdiction of the State of Odisha and none of the parties shall havethe liberty of initiating any legal proceedings any where beyond the territorial limitsof the State of Odisha.43. Force Majeure : This order is subject to force Majeure clauses and theperformance of the contract either wholly or in part will be governed by thestandard force majeure clauses. Any failure of the contract due to strike, cyclonesetc. and all other causes beyond the control of the Company, IDCOL / IKIWL shallnot be responsible for the same in any manner whatsoever.44. The management of IDCOL reserves the right to accept / defer / reject / cancelany or all the bids at any stage without assigning any reason.
