3REQUEST FOR PROPOSALDISCLAIMERThe in<strong>for</strong>mation contained in this <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong> document (“<strong>RFP</strong>”) orsubsequently provided to Applicants, whether verbally or in documentary or any other<strong>for</strong>m by or on behalf <strong>of</strong> or any <strong>of</strong> its employees or advisers on the terms and conditionsset out in this <strong>RFP</strong> and such other terms and conditions subject to which suchin<strong>for</strong>mation is provided.This <strong>RFP</strong> is not an agreement and is neither an <strong>of</strong>fer nor invitation by the Authority to theprospective Applicants or any other person. 61.4 BRIEF DESCRIPTION OF THE SELECTION PROCESS<strong>Proposal</strong> comprising technical and financial bids is to be submitted in two separatesealed envelopes. In the first stage, technical evaluation will be carried out. Based onthis technical evaluation, a list <strong>of</strong> qualified applicants shall be prepared. In the secondstage, a financial evaluation <strong>of</strong> the technically qualified applicants will be carried out.The L 1 Applicant (the “Selected Applicant”) shall be called <strong>for</strong> negotiation, if necessary,while the L 2 Applicant will be kept in reserve. INSTRUCTIONS TO APPLICANTS2.1 SUBMISSION OF PROPOSALThe Applicant shall submit its <strong>Proposal</strong> in the <strong>for</strong>m and manner specified in this Section<strong>of</strong> the <strong>RFP</strong>. The Technical <strong>Proposal</strong> and Financial Bid shall be submitted in theprescribed Form at Appendix-I and Appendix-II respectively.


72.2 CONDITIONS OF ELIGIBILITY OF APPLICANTSTo be eligible <strong>for</strong> evaluation <strong>of</strong> its <strong>Proposal</strong>, the applicant shall fulfill the followingconditions:(a) Technical Capacity: The Applicant shall have, over the past 5 (five) years precedingthe PDD, undertaken a minimum <strong>of</strong> [3 (three)] valuation <strong>of</strong> assets/business/shares inCentral and State PSUs.(b) Financial Capacity: The Applicant shall have received a minimum <strong>of</strong> ` 2 crores(RupeesTwo Crores) per annum as pr<strong>of</strong>essional fees from such valuation <strong>of</strong> business/ assets / shares during each <strong>of</strong> the three financial years preceding the current financialyear.(c) Availability <strong>of</strong> Key Personnel: The applicant shall <strong>of</strong>fer and make available all keyPersonnel meeting the requirements specified in Sub-clause (d) below.(d) Conditions <strong>of</strong> Eligibility <strong>of</strong> Key Personnel: Each <strong>of</strong> the Key Personnel must fulfillthe Conditions <strong>of</strong> Eligibility specified below:KeyPersonnelFinancialExpert(1)AssociateConsultants(2)Educational QualificationMBA/CA/CF/ICWA/CS/Technical Qualification likeengineering.MBA/CA/CF/ICWA/CS/Technical Qualification likeengineering.Length <strong>of</strong>Pr<strong>of</strong>essionalExperienceExperience on EligibleAssignments12 years He should have led the team invaluation assignments.5 years He should have worked as member<strong>of</strong> a team in valuation assignment.<strong>Proposal</strong> <strong>of</strong> only those Applicants who satisfy the conditions <strong>of</strong> Eligibility will beconsidered <strong>for</strong> evaluation.2.3 CERTIFICATION REGARDING PROFESSIONAL FEEThe Applicant shall enclose with its <strong>Proposal</strong>, certificate(s) from its Statutory Auditors/firm <strong>of</strong> Chartered Accountants, if the Applicant does not have a statutory auditor,stating its total pr<strong>of</strong>essional fees during each <strong>of</strong> the past three financial years and the feereceived in respect <strong>of</strong> each <strong>of</strong> the valuation assignments specified in the <strong>Proposal</strong>.


102.10.2 The Applicant shall prepare one original set <strong>of</strong> the Technical <strong>Proposal</strong> (togetherwith originals/ copies <strong>of</strong> Documents required to be submitted alongwith pursuant to this<strong>RFP</strong>) and clearly marked “ORIGINAL”. In addition, the Applicant shall submit 1 (one)copy <strong>of</strong> the Technical <strong>Proposal</strong>, along with Documents, marked “COPY” In the event <strong>of</strong>any discrepancy between the original and its copies, the original shall prevail. Only oneoriginal Financial proposal should be submitted.2.10.3 The <strong>Proposal</strong> and its copy, shall be signed by the authorized signatory <strong>of</strong> theapplicant who shall initial each page. In case <strong>of</strong> printed and published Documents, onlythe cover shall be initialed. All the alterations can be signed by the person(s) signing the<strong>Proposal</strong>. The <strong>Proposal</strong> must be properly signed by the authorized representative (the“Authorised Representative”) as detailed below:(a) by the proprietor, in case <strong>of</strong> a proprietary firm: or(b) by a partner, in case <strong>of</strong> a partnership firm and / or a limited liability partnership; or(c) by a duly authorized person holding the Power <strong>of</strong> Attorney, in case <strong>of</strong> a LimitedCompany or a corporation: or(d) by the authorized representative <strong>of</strong> the Lead Member, in case <strong>of</strong> consortium.A copy <strong>of</strong> the Power <strong>of</strong> Attorney certified by a notary public in the <strong>for</strong>m specified inAppendix-I (Form-4) shall accompany the <strong>Proposal</strong> (if required).2.10.4 Applicant should note that except as specifically provided in this <strong>RFP</strong>, nosupplementary material will be entertained by the Authority, and the evaluation will becarried out only on the basis <strong>of</strong> Documents received by the closing time <strong>of</strong> PDD.2.11 TECHNICAL PROPOSAL2.11.1 Applicant shall submit the technical proposal in the <strong>for</strong>mats at Appendix-I (the“Technical <strong>Proposal</strong>”)2.11.2 While submitting the Technical <strong>Proposal</strong>, the Applicant shall in particular, ensurethat:(a) All <strong>for</strong>ms are submitted in the prescribed <strong>for</strong>mats and signed by the prescribedsignatories;(b) Power <strong>of</strong> Attorney, if applicable, is executed as specified in this <strong>RFP</strong>.(c) CVs <strong>of</strong> all Key Personnel have been included;


11(d) Key Personnel have been proposed only if they meet the Conditions <strong>of</strong> Eligibility laiddown in this <strong>RFP</strong>.(e) The CVs have been signed and dated, by the respective Personnel andcountersigned by the applicant. Photocopy or unsigned / countersigned CVs shall berejected.(f) The CVs shall contain an undertaking from the respective Key Personnel abouthis/her availability <strong>for</strong> the duration specified in the <strong>RFP</strong>;2.11.3 The Technical <strong>Proposal</strong> shall not include any financial in<strong>for</strong>mation relating to theFinancial <strong>Proposal</strong>.2.12 FINANCIAL PROPOSAL2.12.1 Applicants shall submit the financial proposal in the <strong>for</strong>mats at Appendix-II (the“Financial <strong>Proposal</strong>”) clearly indicating the total cost <strong>of</strong> the Consultancy in both figureand words, in Indian Rupees, and signed by the Applicants Authorized Representative.In the event <strong>of</strong> any difference between the arithmetic total and the total shown in theFinancial <strong>Proposal</strong>, the lower <strong>of</strong> the two shall prevail.2.12.2 While submitting the Financial <strong>Proposal</strong>, the Applicant shall ensure the following:“TO BE OPENED BY THE ADDRESSEE ONLY OR BY HIS AUTHORISED PERSON’’(a) All the costs including tax liabilities associated with the assignment shall be includedin the financial <strong>Proposal</strong>. These shall normally cover remuneration <strong>for</strong> all the Personnelaccommodation, air fare, equipment, printing <strong>of</strong> documents, etc. The total amountindicated in the Financial <strong>Proposal</strong> shall be without any condition attached or subject toany assumption, and shall be final and binding. In case any assumption or condition isindicated in the Financial <strong>Proposal</strong>, it shall be considered non-responsive and liable tobe rejected. The rate quoted shall be throughout the period <strong>of</strong> per<strong>for</strong>mance <strong>of</strong> theassignment up to and including discharge <strong>of</strong> all obligations <strong>of</strong> the valuer under theagreement.(b) All payments shall be subject to deduction <strong>of</strong> taxes at source as per ApplicableLaws.(c) The <strong>Proposal</strong> shall be valid <strong>for</strong> a period <strong>of</strong> not less than 90 days from the <strong>Proposal</strong>Due Date (the “PDD”).


132.15.3 Prior to evaluation <strong>of</strong> <strong>Proposal</strong>s, the Authority will determine whether each<strong>Proposal</strong> is responsive to the requirements <strong>of</strong> the <strong>RFP</strong>.2.15.4 The Authority reserves the right to reject any <strong>Proposal</strong> which is non responsiveand no request <strong>for</strong> alteration, modification, substitution or withdrawal shall be entertainedby the Authority in respect <strong>of</strong> such <strong>Proposal</strong>s.2.15.5 The Authority shall subsequently examine and evaluate <strong>Proposal</strong>s inaccordance with the Selection Process.2.15.6 After the technical evaluation, the Authority shall prepare a list <strong>of</strong> pre qualifiedApplicants <strong>for</strong> opening <strong>of</strong> their Financial <strong>Proposal</strong>s. A date, time and venue will benotified to all Applications <strong>for</strong> announcing the results <strong>of</strong> evaluations and opening <strong>of</strong>Financial <strong>Proposal</strong>s.The opening <strong>of</strong> Financial <strong>Proposal</strong> shall be done in presence <strong>of</strong> respectiverepresentatives <strong>of</strong> Applicants who choose to be present. The Authority will not entertainany query or clarification from Applicants who fail to qualify at any stage <strong>of</strong> the SelectionProcess.2.15.7 Any in<strong>for</strong>mation contained in the <strong>Proposal</strong> shall not in any way be construed asbinding on the Authority, its agents, successors or assigns, but shall be binding againstthe Applicants if the Valuation is subsequently awarded to it.2.16 CLARIFICATIONS2.16.1. To facilitate evaluation <strong>of</strong> <strong>Proposal</strong>s, the Authority may, at its sole discretion,seek clarification from any Applicant regarding its <strong>Proposal</strong>. Such clarification (s) shall beprovided in writing within the time specified by the Authority <strong>for</strong> this purpose failing its<strong>Proposal</strong> shall be liable to be rejected. In case the <strong>Proposal</strong> is not rejected, the Authoritymay proceed to evaluate the <strong>Proposal</strong> by constructing the particulars requiringclarification to the best <strong>of</strong> its understanding, and the Applicant shall be barred fromsubsequently questioning such interpretation <strong>of</strong> the Authority.2.17 APPOINTMENT OF VALUER2.17.1 The Selected Applicant may, if necessary, be invited <strong>for</strong> negotiations. Thenegotiations shall generally not be <strong>for</strong> reducing the price <strong>of</strong> the <strong>Proposal</strong>, but will be <strong>for</strong>re-confirming the obligations <strong>of</strong> the consultant under this <strong>RFP</strong>, methodology and quality<strong>of</strong> the work plan shall be discussed during negotiations. In case the selected applicant


14fails to re-confirm its commitment, the Authority reserves the right to designate the nextapplicant as the selected applicant and invite it <strong>for</strong> negotiations.2.17.2 AWARD OF CONSULTANCYAfter selection, a letter <strong>of</strong> Award (the “LOA”) shall be issued in duplicate, by the Authorityto the Selected Applicant and the Selected Applicant shall, within 7 (seven) days <strong>of</strong> thereceipt <strong>of</strong> LOA, sign and return the duplicate copy <strong>of</strong> the LOA in acknowledge there<strong>of</strong>. Inthe event the duplicate copy <strong>of</strong> the LOA duly signed by the Selected Applicant is notreceived by the stipulated date, the Authority may, unless it consents to extension <strong>of</strong>time submission there<strong>of</strong>, cancel the LOA and next Applicant may be considered.2.17.3 COMMENCEMENT OF ASSIGNMENTThe <strong>Valuer</strong> shall commence the valuation work within seven days <strong>of</strong> the date <strong>of</strong>acceptance <strong>of</strong> the LOA or such other date as may be mutually agreed. If the Consultantfails to either acknowledge the LOA or commence the assignment as specified herein,the Authority may invite the next Applicant <strong>for</strong> negotiations. In such an event, the LOA asthe case may be shall stand cancelled / terminated.2.18 MISCELLANEOUS2.18.1. The Selection Process shall be governed by, and construed in accordance with,the laws <strong>of</strong> India and the Courts at Bhubaneswar shall have exclusive jurisdiction over alldisputes arising under, pursuant to and/or in connection with the Selection Process.2.18.2. The Authority, in its sole discretion and without incurring any obligation orliability, reserves the right, at any time to:(a) suspend and/or cancel the Selection Process and/or amend and/or supplement theSelection Process or modify the dates or other terms <strong>of</strong> conditions relating thereto;(b) consult with any Applicant in order to receive clarification or further in<strong>for</strong>mation;(c) retain any in<strong>for</strong>mation and/or evidence submitted to the Authority by, on behalf <strong>of</strong>and/or in relation to any Applicant; and/or(d) Independently verify, disqualify, reject and/or accept any and all submissions orother in<strong>for</strong>mation and/or evidence submitted by or on behalf <strong>of</strong> any Applicant.2.18.3. It shall be deemed that by submitting the <strong>Proposal</strong>, the Applicant agrees andreleases the Authority, its employees, agents and advisers, irrevocably, unconditionally,fully and finally from any and all liability <strong>for</strong> claims, losses, damages, costs, expenses orliabilities in any way related to or arising from the exercise <strong>of</strong> any rights and/orper<strong>for</strong>mance <strong>of</strong> any obligations hereunder, pursuant hereto, and/or in connection


15herewith and waives any and all rights and/or claims it may have in this respect, whetheractual or contingent, whether present or future.2.18.4. All documents and other in<strong>for</strong>mation supplied by the Authority or submitted by anApplicant shall remain or become, as the case may be, the property <strong>of</strong> the Authority. TheAuthority will not return any submissions made hereunder. Applicants are required totreat all such documents and in<strong>for</strong>mation as strictly confidential.2.18.5. 34ANNEXURE-ITerms <strong>of</strong> Reference (TOR) <strong>for</strong> Valuation <strong>of</strong> IKIWL and IFCALIntroductionThe Industrial Development Corporation <strong>of</strong> Orissa Ltd. (IDCOL) seeks theservices <strong>of</strong> a qualified firm / company <strong>for</strong> acting as <strong>Valuer</strong> <strong>for</strong> conductingvaluation <strong>of</strong> its wholly owned subsidiary companies - IDCOL Kalinga IronWorks Ltd. (IKIWL) and IDCOL Ferro Chrome & Alloys Ltd. (IFCAL). IKIWL andIFCAL are old companies with low production capacity and old technology. Ithas become imperative to undertake expansion / modernization <strong>of</strong> the twocompanies along with production <strong>of</strong> value added products <strong>for</strong> a sustainedgrowth. In order to achieve the above objectives, it has been decided by theGovernment <strong>of</strong> Orissa to induct a strategic investor as a joint venture partnerin IKIWL and IFCAL who should be ready and willing to undertake expansionand modernization. The Joint Venture partner would be required to takemajority shares in both the companies. In order to arrive at the price <strong>of</strong>shares it is required to value the assets and business <strong>of</strong> IKIWL and IFCAL.The <strong>Valuer</strong>, to be appointed through tendering process, will be required tomake a detailed study <strong>of</strong> the business assets and properties <strong>of</strong> IKIWL andIFCAL <strong>for</strong> valuation <strong>of</strong> assets / business / shares <strong>of</strong> both the subsidiarycompanies and submit the valuation report to IDCOL.ObjectivesThe objectives <strong>of</strong> engaging a <strong>Valuer</strong> is to get valuation report under differentmethods <strong>of</strong> valuation <strong>for</strong> determination <strong>of</strong> reserve price <strong>for</strong> the shares <strong>of</strong>IKIWL and IFCAL which will be considered as bench mark price to evaluatethe <strong>of</strong>fers to be received <strong>for</strong> acquiring majority stake in IKIWL and IFCAL bystrategic investors.


35Scope <strong>of</strong> WorkThe authority shall issue a work order specifying the terms & conditions.The scope <strong>of</strong> work <strong>of</strong> valuation includes the following:-(a) Study <strong>of</strong> the existing business, facilities and environment in bothIKIWL and IFCAL in the present context.(b) Collection, compilation and analysis <strong>of</strong> relevant data relating to thebusiness, assets, cost <strong>of</strong> production and revenues etc.(c) To prepare an inventory <strong>of</strong> the assets, to submit an inceptionreport to the authority mentioning the way how to go about thevaluation.(d) Preparation <strong>of</strong> different reports as may be required <strong>for</strong> facilitatingvaluation and <strong>for</strong> use <strong>of</strong> the same as background in<strong>for</strong>mation <strong>for</strong>valuation. 37Administrative ArrangementsThe <strong>Valuer</strong> should report to the authority. The authority will constitute awork group to enable the <strong>Valuer</strong> to conduct their valuation. One <strong>of</strong> thesenior management executives will be designated as the <strong>of</strong>ficer who will beresponsible <strong>for</strong> overall coordination.Documents to be made availableThe available data as may be required by the <strong>Valuer</strong> will be provided by theauthority on request. 41RAW MATERIAL SOURCESIRON ORE : The plant is situated in the heart <strong>of</strong> iron ore belt<strong>of</strong> Orissa in Keonjhar District. The Ore ispurchased from OMDC and other private MineOwners from local area.Though IDCOL / IKIWL is operating Roida ‘C’Iron and Manganese ore Mines <strong>of</strong> OrissaMining Corporation, the iron ore is not suitable<strong>for</strong> Blast Furnace operation as it is spongegrade iron ore. Long-term supplyarrangement with OMC can be made <strong>for</strong> ironore requirement.COKE : Approximately 1.7 lakh MT <strong>of</strong> Low AshMetallurgical (LAM) Coke is required perannum <strong>for</strong> operation <strong>of</strong> all four Furnaces.Coke is being procured from various sourcesas outlined below:Low Ash CokeHigh Ash CokeNut Coke-Imported / NINL / DPL-Own conversion arrangement-IISCOA Coke Oven Plant in joint venture is underoperation in the premises <strong>of</strong> IKIWL.POWER : The entire power requirement <strong>of</strong> the Plant ismet from captive generation from 4 nos. <strong>of</strong>T.G. Set <strong>of</strong> 4 MW each using B.F. Gas.Besides the Plant has contract demand <strong>for</strong>supply <strong>of</strong> power <strong>of</strong> 2.1 MVA with NESCO.Power is supplied through a 11 KV substationlocated at Barbil about 2 Kms away from thePlant through a separate feeder.WATER : Water requirement <strong>of</strong> the plant is met from aperennial river “KARO” which flows near to thePlant.RAILWAY : It has its own railway siding and BG line <strong>of</strong>about 7 kms <strong>for</strong> facilitating movement <strong>of</strong> rakes<strong>for</strong> Coke and Pig Iron. Slag, Limestone,Dolomite etc. It also possesses 4 Diesellocomotives.


42COLONY : Colony is spread over an area <strong>of</strong> 184 acreswhich is a mini town by itself. It has 932 nos.Quarters, Administration Building, Co-operativestore, two Transit Houses, Hospital, School,Club, Market Center, Auditorium, Creche andrest shed.TECHNOLOGY : The original Plant was set up with the technicalcollaboration with M/s. Fried Krupp <strong>of</strong> WestGermany. M/s. A.G. Wesser <strong>of</strong> West Germanywas technical collaborator <strong>for</strong> its Power Plants.The manufacturing process involves carbothermic reduction <strong>of</strong> iron ore by burning <strong>of</strong>metallurgical coke with pre-heated air in thetemperature range <strong>of</strong> 800 o C to 900 o C blownthrough tuyers located at certain level abovethe tap-hole. The impurities reacting withlimestone and dolomite <strong>for</strong>m a fusible slagwhich floats on the surface <strong>of</strong> molten metal.Hot metal is tapped at fixed intervals <strong>of</strong> fourhours through the tap hole. The slag is tappedtwo hours after each metal tapping throughCinder notch. The metal after being tapped inthe laddle, the ladle is sent to Pig CastingMachine <strong>for</strong> casting into Pig slabs.A part <strong>of</strong> the hot metal is transferred to SpunPipe Division <strong>for</strong> manufacture <strong>of</strong> Cast Iron SpunPipes.ISO: 9001:2008 : The company has been accredited with ISO:9001:2008 Certificate since November 1996.ISO:14001:2004 : The company has also obtainedEnvironmental Management System StandardCertificate.POLLUTIONCONTROL: An ESP has been installed to clean theFurnace Gas which is being used in theCaptive Power Plant <strong>for</strong> generation <strong>of</strong> power.The Unit has necessary clearance from theState Pollution Control Board.

45ANNEXURE-II(2) PRELIMINARY INFORMTION MEMORANDUM ON IDCOL FERROCHROME & ALLOYS LIMITED• Ferro Chrome Plant, a unit <strong>of</strong> IDC <strong>of</strong> Orissa Limited, a State GovernmentUndertaking is located at Jajpur Road in the district <strong>of</strong> Jajpur, Orissastarted its operation in the year 1969 producing High Carbon FerroChrome.• Plant is well connected having nearest railway station Jajpur-KeonjharRoad on Howrah-Chennei Main line, which is about 3 Km from the plant.It can also be approached by road through NH-5 from Bhubaneswar(Capital <strong>of</strong> Orissa ) & then NH-215 (about 110 Km) nearest Air Port isBhubaneswar whereas Paradeep being the nearest port serves <strong>for</strong> exportpurpose.• In the year 1970 it also started production <strong>of</strong> Low Carbon Ferro Chrome.• The technical know-how was obtained from M/s. A.B. MetallurgyConsultant, Sweeden and the main plant machineries were supplied byM/s.
