The voting rights on suchshares shall remain frozen till rightful owners claim theshares.NON MANDATORY REQUIREMENTS(1) Chairman of the BoardThe Company maintains the Chairman’s Office atCompany’s expenses and also reimburses the expensesincurred in performance of his duties.(2) Remuneration CommitteeThe Company has formed a Compensation Committee.(3) Shareholder RightsThe Company’s half yearly results are published inEnglish and Kannada Newspapers. Hence, the same arenot sent to the shareholders.(4) Audit qualificationsThe Auditors have issued unqualified Reporton the Financial Statements for the year ended March31, 2012.(5) Training of Board MembersHaving regard to the seniority and expertise in theirrespective areas of specialization, their training is notconsidered necessary for the time being.(6) Mechanism for evaluating non-executive Board MembersThe Board of Directors may consider adopting suchrequirement in future.(7) Whistle Blower PolicyThough briefly covered in the Code of Conduct adoptedby the Company, the Board may consider adoptinga separate mechanism for Whistle Blower Policy infuture.15
