Functioning of the Management Board<br />

and Supervisory Board<br />

The Management Board of <strong>Miba</strong> AG holds monthly Management Board meetings dealing<br />

with topics relevant to the Group as a whole as well as topics relevant to particular<br />

business areas.<br />

Supervisory Board committees<br />

The Supervisory Board of <strong>Miba</strong> AG established an Audit Committee, which held two<br />

meetings during the 2009-2010 business year on the financial statements and consolidated<br />

financial statements for the year 2008-2009, the review of the internal control system,<br />

the implementation of risk management, and matters related to the <strong>Miba</strong> Group audit.<br />

The members of the Audit Committee are: Dr. Theresa Jordis (Chairwoman), Dipl. Bw.<br />

Alfred Heinzel (Deputy Chairman, Financial Expert), Hermann Biesl (through December 17,<br />

2009) and Hermann Aigner (since December 17, 2009).<br />

The personnel committee of the Supervisory Board of <strong>Miba</strong> AG, comprised of all the<br />

members of the Supervisory Board, held one meeting during the 2009-2010 business year<br />

and dealt with matters including the appointment of a new Management Board and<br />

issues related to succession planning.<br />

The Supervisory Board of <strong>Miba</strong> AG held five meetings in the business year 2009-2010.<br />

These meetings focused on the oversight of business development in the <strong>Miba</strong> Group,<br />

strategic goals, and special agenda items such as acquisitions of firms and other business<br />

dealings subject to approval.
