Functioning of the Management Board
and Supervisory Board
The Management Board of Miba AG holds monthly Management Board meetings dealing
with topics relevant to the Group as a whole as well as topics relevant to particular
business areas.
Supervisory Board committees
The Supervisory Board of Miba AG established an Audit Committee, which held two
meetings during the 2009-2010 business year on the financial statements and consolidated
financial statements for the year 2008-2009, the review of the internal control system,
the implementation of risk management, and matters related to the Miba Group audit.
The members of the Audit Committee are: Dr. Theresa Jordis (Chairwoman), Dipl. Bw.
Alfred Heinzel (Deputy Chairman, Financial Expert), Hermann Biesl (through December 17,
2009) and Hermann Aigner (since December 17, 2009).
The personnel committee of the Supervisory Board of Miba AG, comprised of all the
members of the Supervisory Board, held one meeting during the 2009-2010 business year
and dealt with matters including the appointment of a new Management Board and
issues related to succession planning.
The Supervisory Board of Miba AG held five meetings in the business year 2009-2010.
These meetings focused on the oversight of business development in the Miba Group,
strategic goals, and special agenda items such as acquisitions of firms and other business
dealings subject to approval.
