G E N E R A L C O N D I T I O N SGC.1GC.1.1GC.1.2GC.2GC.2.1GC.3GC.3.1GC.4GC.4.1GC.5GC.5.1GC.5.2GC.5.3INTRODUCTIONThese General Conditions contain provisions which are of a generalapplication to all sections of this SWDC.The objective of these General Conditions is to ensure, to the maximumextent possible, that the various sections of this SWDC work together andwork in practice for the benefit of the DWTSO and each User.OBJECTIVEThe objective of these General Conditions is to:(a)(b)(c)(d)SCOPEprovide principles to enable unforeseen circumstances to be managed;define general rules regarding the communications between theDWTSO and each User and the exchange of data and informationbetween them;specify the purpose, functions and composition of the Review Panel;andspecify the general rules for interpreting the provisions of this SWDC.These General Conditions apply to the DWTSO and to each User.DUTY OF GOOD FAITHThe DWTSO and each User shall at all times in its dealings with each otheract in good faith and in accordance with Good Industry Practice, relevantrules and regulations and the provisions of this SWDC.UNFORESEEN CIRCUMSTANCESIf certain circumstances arise which have not been foreseen by the provisionsof this SWDC, the DWTSO shall, to the extent reasonably practicable in thecircumstances:(a)(b)consult each affected User in an effort to obtain a consensus on theaction required; andsubmit any necessary proposals to each affected User forconsideration.If agreement between the DWTSO and each affected User cannot be reachedin the time available, the DWTSO shall in consultation with ECRA,determine the best course of action.Each User shall comply with all instructions given to it by the DWTSO orECRA, as the case may be, following such a determination, provided that the7561A01/FICHT-7235220-v22GC-1
