Section 10. Executive Committee<br />

a. The officers of the MNA shall constitute the Executive Committee.<br />

b. The Board of Directors may authorize the Executive Committee to perform such<br />

duties as the Board deems expedient between meetings of the Board.<br />

c. The Executive Committee shall meet at the call of the President or upon the written<br />

request of three of its members. It shall make a complete report at each meeting of<br />

the Board of Directors.<br />

d. The Executive Committee shall prepare an annual job performance evaluation for the<br />

Chief Staff Officer with input from the Board of Directors.<br />

Section 11. Meetings and Quorum<br />

a. Quarterly meetings at a minimum shall be held at such times and places as<br />

determined by Board.<br />

b. Special meetings may be called by the president with 24 hours notice to each<br />

member by mail or other media, or shall be called by the president in like manner<br />

upon written request of five or more members of the Board. Special meetings shall<br />

be held at such time and place as specified in the call of the meeting.<br />

c. Business that requires immediate action by the Board may be conducted by<br />

telecommunication.<br />

d. Members of the Board of Directors or Committees may participate in meetings<br />

through the means of a conference call according to MNA Policy.<br />

e. A majority of the Board of Directors, one of whom shall be the president or a vicepresident,<br />

shall constitute a quorum at any meeting of the Board.<br />

f. In the absence of a quorum, emergency action may be taken and is subject to<br />

ratification at the next scheduled meeting of the Board.<br />

Section 12. Removal from Office<br />

Absence from three consecutive regularly scheduled meetings shall constitute a<br />

resignation. The member will be notified in writing of their removal from office. The<br />

vacancy shall be filled as provided for in these Bylaws.<br />

ARTICLE V<br />

COMMITTEES<br />

Section 1. Definition<br />

a. The standing committees of MNA shall be the Bylaws and Policy Committee, the<br />

Center for Ethics and Human Rights, the Continuing Education Approver Committee,<br />

the Continuing Education Provider Committee, the Finance Committee, the<br />

Legislative Committee, the Membership Committee, the Nominating Committee,<br />

the Practice and Education Committee, the <strong>Convention</strong> Planning Committee, the<br />

Committee on Environmental Health, and the Committee on Tellers.<br />

b. Standing committees assume the duties specified in these Bylaws and report their<br />

findings and recommendations to the Board.<br />
