This Note is a direct and unconditional general obligation of the<br />
Corporation and is not secured. This Note ranks and will rank pari<br />
passu with all other securities constituting general obligations of the<br />
Corporation outstanding at the date of this Note or issued thereafter<br />
without any preference granted by the Corporation, save and except<br />
any obligation for the repayment to the Government of Canada through<br />
Northern Canada Power Commission of loans made to the Corporation<br />
in respect of the construction costs of certain projects. <strong>The</strong> Corporation<br />
covenants that if it shall after the date hereof secure any loan, debt,<br />
guarantee or other obligation heretofore or hereafter existing by any<br />
lien, pledge or other charge upon any of its present or future assets or<br />
revenues, the Note of this issue shall ipso facto share in and be secured<br />
by such lien, pledge, or other charge, equally and ratably with such<br />
other loan, debt, guarantee or other obligation.<br />
This Note shall be payable as to principal at maturity against presentation<br />
by the Registered Holder to the Corporation at its Head<br />
Office in Fredericton, New Brunswick, Canada, and interest when <strong>du</strong>e<br />
by cheque or by such other method as agreed upon by the Corporation<br />
and the Province.<br />
This Note is issued to enable the Corporation to borrow from the<br />
Province (a portion/all) of the proceeds of the Province’s issue of Can.<br />
$(XXX,XXX,XXX) of (X)% Notes <strong>du</strong>e (month, day, year), (the “Province’s<br />
Series (XX) Notes”). This Note (is/is not) redeemable prior to<br />
maturity (at the following dates and premiums).<br />
In respect of the sinking fund payments required to be made by the<br />
Province under or in respect of the Province’s Series (XX) Notes, the<br />
Corporation will pay to the Minister of Finance of the Province, on<br />
(month, day) in each of the years (year) through (year), both inclusive,<br />
an amount equal to at least 1% of the principal amount of this Note outstanding<br />
on each such payment date.<br />
At maturity the Minister of Finance shall determine the accumulated<br />
value of the foregoing payments by the Corporation with earnings<br />
applicable thereto. At the sole discretion of and approval of the Corporation<br />
the amount so calculated may be offset against the obligation of<br />
the Corporation to make principal repayments on this Note or alternatively,<br />
the amount so calculated for this Note may be left in the sinking<br />
fund and the amount so calculated with earnings applicable thereto<br />
shall be later withdrawn and offset against the repayment at maturity of<br />
other Notes of the Corporation issued to the Province and maturing<br />
subsequent to this Note.<br />
In the event that the Corporation shall default in the payment of indebtedness<br />
for borrowed money (including, without limitation of the<br />
foregoing, the repayment to the Government of Canada through Northern<br />
Canada Power Commission of advances made to the Corporation<br />
in respect of the construction costs of certain projects) or in the payments<br />
for sinking fund purposes in respect of the Province’s Series<br />
(XX) Notes and such default shall continue for a period of forty-five<br />
(45) days, then at any time thereafter and <strong>du</strong>ring the continuance of<br />
such default the Registered Holder of this Note may deliver or cause to<br />
be delivered to the Corporation written notice that the Registered<br />
Holder elects to declare the principal of this Note to be <strong>du</strong>e and payable,<br />
and on the thirtieth (30) day after such notice shall be so delivered<br />

Le billet est un emprunt de collectivité locale direct, inconditionnel<br />
et non garanti de la Société. Le billet a et aura le même rang que toutes<br />
les autres valeurs mobilières constituant les emprunts de collectivité locale<br />
de la Société qui sont en circulation à la date de l’émission <strong>du</strong> billet<br />
ou qui seront émises par la suite par la Société, à l’exception de certains<br />
prêts garantis consentis à la Société par le gouvernement <strong>du</strong> Canada,<br />
par l’entremise de la Commission d’énergie <strong>du</strong> Nord canadien, relativement<br />
aux coûts de construction de certains projets, et la Société n’accordera<br />
aucun rang prioritaire en raison de l’antériorité de la date<br />
d’émission, de la devise dans laquelle s’effectue le remboursement ou<br />
d’un autre motif. Si, après la date des présentes, la Société se porte garante<br />
d’un prêt, d’une dette, d’un cautionnement ou de toute autre obligation<br />
que celles décrites ci-devant et ci-après au moyen d’un privilège,<br />
d’un gage ou de toute autre sûreté sur ses biens ou revenus<br />
présents ou futurs, la Société s’engage par le fait même à faire bénéficier<br />
le billet de la présente émission de la même sûreté à parts égales et<br />
au pro rata avec le prêt, la dette, le cautionnement ou l’autre obligation<br />
ainsi garantie.<br />
À l’échéance, la Société paiera le principal <strong>du</strong> billet que lui remettra<br />
le détenteur enregistré à son siège social à Fredericton, <strong>Nouveau</strong>-<br />
Brunswick, Canada. Lorsqu’il sera exigible, l’intérêt sera payable par<br />
chèque ou par un autre mode convenu par la Société et la Province.<br />
Le billet est émis pour permettre à la Société d’emprunter <strong>du</strong> gouvernement<br />
provincial (« la province ») (une partie/l’ensemble) <strong>du</strong> pro<strong>du</strong>it<br />
de l’émission par la province de billets d’une valeur de<br />
(XXX XXX XXX) $ en devises canadiennes arrivant à échéance le<br />
(jour, mois, année), c’est-à-dire les billets de série (XX) de la province.<br />
Le billet (est/n’est pas) rachetable avant l’échéance (aux dates et<br />
moyennant les primes suivantes).<br />
En ce qui concerne les versements à la caisse d’amortissement que<br />
doit effectuer le gouvernement provincial à l’égard des billets de série<br />
(XX) de la province ou relativement à ceux-ci, la Société versera au<br />
ministre des Finances de la province, le (jour, mois, année) et le (mois,<br />
jour) de chaque année subséquente jusqu’au remboursement <strong>du</strong> billet,<br />
une somme représentant au moins 1 p. 100 <strong>du</strong> principal non remboursé<br />
<strong>du</strong> billet à chacune desdites dates de paiement.<br />
À l’échéance, le ministre des Finances établira la valeur cumulative<br />
desdits versements effectués par la Société et des revenus qu’ils ont<br />
pro<strong>du</strong>its. La Société pourra, à sa discrétion exclusive et de son propre<br />
consentement, soit dé<strong>du</strong>ire le montant total ainsi établi des remboursements<br />
de principal qu’elle devra effectuer relativement au billet, soit<br />
laisser le montant total ainsi établi dans la caisse d’amortissement et le<br />
retirer ultérieurement avec les revenus qu’il aura pro<strong>du</strong>its pour les dé<strong>du</strong>ire<br />
<strong>du</strong> montant à rembourser à l’échéance d’autres billets émis par la<br />
Société à la province qui arriveront à échéance après le présent billet.<br />
Si la Société fait défaut de rembourser à l’échéance le principal, les<br />
primes (s’il y a lieu) ou les intérêts relativement à l’une ou l’autre des<br />
dettes contractées pour emprunter des sommes (y compris, mais sans<br />
restreindre la généralité de ce qui précède, de rembourser au gouvernement<br />
<strong>du</strong> Canada, par le truchement de la Commission d’énergie <strong>du</strong><br />
Nord canadien, les prêts consentis à la Société relativement aux coûts<br />
de construction de certains projets) ou d’effectuer ses paiements à la<br />
caisse d’amortissement relativement aux billets de série (XX) de la<br />
province, et si son défaut se poursuit pendant au moins 30 jours, le détenteur<br />
enregistré <strong>du</strong> billet pourra, à tout moment par la suite et tant que<br />
la Société sera en défaut, remettre ou faire remettre à la Société un avis<br />
écrit dans lequel il choisit de déclarer que le principal <strong>du</strong> billet est échu
