Dear Sir:<br />
I understand that the New Brunswick Power Corporation (the “Corporation”)<br />
intends to issue a Floating Rate Note in the principal amount<br />
of $(XXX,XXX,XXX) in lawful money of Canada to be dated (month,<br />
day, year) and to mature (month, day, year) (the “Note”).<br />
On behalf of the Province of New Brunswick, I offer to purchase from<br />
the Corporation the Note at a price of $(XX.XXX) per $100 principal<br />
amount thereof plus accrued interest, if any, from (month, day, year) to<br />
the date of payment and delivery. This offer to purchase is subject to<br />
the following terms and conditions:<br />
1. <strong>The</strong> Note will be in fully registered form in the denomination of<br />
S(XXX,XXX,XXX). <strong>The</strong> Note will not be transferrable.<br />
2. <strong>The</strong> Note will be dated (month, day, year) and will mature (month,<br />
day, year) and will pay interest on the dates specified in the definition<br />

(jour, mois, année). Le billet portera intérêt aux dates déterminées dans<br />
la définition de la « date de paiement de l’intérêt », aux taux déterminés<br />
dans la définition de « taux variable ».
