3. The Note will be payable as to principal at maturity against surrender
by the registered holder to the Corporation at its Head Office in
Fredericton, New Brunswick. Interest will be payable by cheque or by
such other method as agreed upon by the Corporation and the Province
of New Brunswick.
4. The Note will rank pari passu with all other securities constituting
general obligations of the Corporation outstanding at the date of issue
of the Note or issued thereafter without any preference granted by the
Corporation save and except any obligations for the repayment to the
Government of Canada through Northern Canada Power Commission
of loans made to the Corporation in respect of the construction costs of
certain projects.
5. In accordance with subsection 13(2) of the Electric Power Act, in
respect of the sinking fund payments required to be made by the Province
under or in respect of the Province’s Series (XX) Notes, the Corporation
will pay to the Minister of Finance of the Province on (month,
day, year) and on (month, day) in each year thereafter so long as the
Note is outstanding, an amount equal to at least 1% of the principal
amount of the Note outstanding on such payment dates. At maturity (or
earlier redemption) the Minister of Finance shall determine the accumulated
value of the foregoing payments by the Corporation with earnings
applicable thereto. At the sole discretion of and approval of the
Corporation the amount so calculated may be offset against the obligation
of the Corporation to make principal repayments on this Note or
alternatively, the amount so calculated for this Note may be left in the
sinking fund and the amount so calculated with earnings applicable
thereto shall be later withdrawn and offset against the repayment at maturity
of other Notes of the Corporation issued to the Province and maturing
subsequent to this Note.
6. The Corporation agrees to pay (X) of the initial and the ongoing
costs of the Province’s Series (XX) Note issue, which costs shall include
but not be limited to, Note printing expenses, registrar and paying
agency fees and normal administrative costs.
If this offer is acceptable to the Corporation, please confirm acceptance
by signing the enclosed duplicate of this letter and returning it to the
Minister of Finance.

3. La Société paiera le principal du billet échu que lui remettra le détenteur
enregistré à son siège social de Fredericton au Nouveau-
Brunswick. L’intérêt sera payable par chèque ou par tout autre mode
de règlement convenu par la Société et le gouvernement du Nouveau-
Brunswick.
4. Le billet aura le même rang que toutes les autres valeurs mobilières
constituant les emprunts de collectivité locale de la Société qui sont en
circulation à la date de l’émission du billet ou qui seront émises par la
suite par la Société sans rang prioritaire, sous réserve des obligations
de la Société à l’égard du remboursement au gouvernement du Canada,
par l’entremise de la Commission d’énergie du Nord canadien, des
prêts qui lui ont été consentis relativement aux coûts de construction de
certains projets.
5. Conformément au paragraphe 13(2) de la Loi sur l’énergie électrique,
en ce qui concerne les versements à la caisse d’amortissement que
doit effectuer le gouvernement provincial à l’égard des billets de série
(XX) de la province ou relativement à ceux-ci, la Société versera au
ministre des Finances de la province, le (jour, mois, année) et le (mois,
jour) de chaque année subséquente jusqu’au remboursement du billet,
une somme représentant au moins 1 p. 100 du principal non remboursé
du billet à chacune desdites dates de paiement. À l’échéance (ou lors
du remboursement anticipé), le ministre des Finances établira la valeur
cumulative desdits versements effectués par la Société et des revenus
qu’ils ont produits. La Société pourra, à sa discrétion exclusive et de
son propre consentement, soit déduire le montant total ainsi établi des
remboursements de principal qu’elle devra effectuer relativement au
billet, soit laisser le montant total ainsi établi dans la caisse d’amortissement
et le retirer ultérieurement avec les revenus qu’il aura produits
pour les déduire du montant à rembourser à l’échéance d’autres billets
émis par la Société à la province qui arriveront à échéance après le présent
billet.
6. La Société convient de payer (X) relativement aux coûts d’émission
et d’administration des billets de série (XX) de la province, lesquels
comprennent notamment mais non exclusivement les frais de gestion,
les frais d’impression des billets de la province, l’inscription à la cote
des billets de la province, les droits relatifs au domicile de paiement
ainsi que les frais d’administration normaux.
Si la Société est satisfaite de cette offre, veuillez en confirmer l’acceptation
en signant le double de la présente lettre et en le faisant parvenir
au ministre des Finances.
