ternatively, the amount so calculated for this Debenture may be left in<br />
the sinking fund and the amount so calculated with earnings applicable<br />
thereto shall be later withdrawn and offset against the repayment at maturity<br />
of other debentures of the Corporation issued to the Province and<br />
maturing subsequent to this Debenture.<br />
In the event that the Corporation shall default in the payment of indebtedness<br />
for borrowed money (including, without limitation of the<br />
foregoing, the repayment to the Government of Canada through Northern<br />
Canada Power Commission of advances made to the Corporation<br />
in respect of the construction costs of certain projects) or in the payments<br />
for sinking fund purposes in respect of the Province’s Series<br />
(XX) Debentures and such default shall continue for a period of<br />
forty-five (45) days, then at any time thereafter and <strong>du</strong>ring the continuance<br />
of such default the Registered Holder of this Debenture may deliver<br />
or cause to be delivered to the Corporation written notice that the<br />
Registered Holder elects to declare the principal of this Debenture to<br />
be <strong>du</strong>e and payable, and on the thirtieth (30) day after such notice shall<br />
be so delivered to the Corporation the principal of this Debenture plus<br />
accrued interest shall become <strong>du</strong>e and payable unless prior to that time<br />
all such defaults theretofore existing shall have been cured.<br />
This Debenture is not transferable.<br />
In case this Debenture shall at any time become mutilated, destroyed,<br />
stolen or lost, and such Debenture, or evidence of the destruction,<br />
theft or loss thereof (together with the indemnity hereinafter referred<br />
to and such other documents or proof as may be required in the<br />
premises) shall be delivered to the Corporation at its Head Office, a<br />
new Debenture of like tenor and date will be delivered by the Corporation<br />
in exchange for the Debenture so mutilated, or in lieu of the Debenture<br />
so destroyed, stolen or lost, but, in the case of any destroyed,<br />
stolen or lost Debenture, only upon receipt of evidence satisfactory to<br />
the Corporation that such Debenture was destroyed, stolen, or lost, and,<br />
if required, upon receipt also of indemnity satisfactory to it. All expenses<br />
and charges associated with procuring such indemnity and with<br />
the preparation, registration and delivery of a new Debenture shall be<br />
borne by the owner of the Debenture mutilated, destroyed, stolen or<br />
lost.<br />
In conjunction with the issuance of the Province’s Series (XX) Debentures,<br />
the Corporation has agreed to pay (X) of the ongoing costs of<br />
that issue to the Province, which costs shall include but not be limited<br />
to, debenture printing expenses, registrar and paying agency fees and<br />
normal administrative costs.<br />

This Note is issued under the authority of the Electric Power Act,<br />
being Chapter E-5 of the Revised Statutes of New Brunswick, 1973, as<br />
amended, and of an Order of the Lieutenant-Governor in Council of the<br />
Province of New Brunswick.<br />

de la Commission d’énergie <strong>du</strong> Nord canadien, les avances<br />
consenties à la Société relativement aux coûts de construction de certains<br />
projets) ou d’effectuer ses paiements à la caisse d’amortissement<br />
relativement aux débentures de série (XX) de la province, et si son défaut<br />
se poursuit pendant au moins 45 jours, le détenteur enregistré de la<br />
débenture pourra, à tout moment par la suite et tant que la Société sera<br />
en défaut, remettre ou faire remettre à la Société un avis écrit dans lequel<br />
il choisit de déclarer que le principal de la débenture est échu et<br />
exigible, et le principal de la débenture majoré des intérêts courus deviendra<br />
échu et exigible le trentième jour après la remise <strong>du</strong>dit avis à la<br />
Société, à moins que celle-ci ne remédie à tous ses manquements dans<br />
l’intervalle.<br />
La débenture est incessible.<br />
En tout état de cause, si la débenture est endommagée, détruite, volée<br />
ou per<strong>du</strong>e et que ladite débenture ou la preuve de sa destruction, de<br />
son vol ou de sa perte (avec l’indemnité prévue ci-après et les autres<br />
documents ou preuves qui pourraient être exigés au préalable) est remise<br />
au siège social de la Société, celle-ci émettra une nouvelle débenture<br />
comportant la même échéance et la même date que l’original en<br />
échange de la débenture endommagée ou à la place de la débenture détruite,<br />
volée ou per<strong>du</strong>e, mais si la débenture a été détruite, volée ou per<strong>du</strong>e,<br />
seulement sur réception par la Société d’une preuve suffisante de<br />
sa destruction, de son vol ou de sa perte et, si nécessaire, d’une indemnité<br />
qu’elle juge suffisante. Le propriétaire de la débenture endommagée,<br />
détruite, volée ou per<strong>du</strong>e paiera les dépenses et les frais engagés<br />
pour l’obtention de l’indemnité ainsi que pour la préparation, l’enregistrement<br />
et la remise de la nouvelle débenture.<br />
Dans le cadre de l’émission des débentures de série (XX) de la province,<br />
la Société s’est engagée à payer au gouvernement provincial (X)<br />
des coûts permanents de ladite émission, lesquels comprennent notamment<br />
mais non exclusivement les frais d’impression des débentures, les<br />
droits d’enregistrement et les droits relatifs au domicile de paiement<br />
ainsi que les frais d’administration normaux.<br />
