<strong>The</strong> <strong>Royal</strong> <strong>Gazette</strong> — June 16, 2004 961 <strong>Gazette</strong> <strong>royale</strong> — 16 juin 2004<br />
to the Corporation the principal of this Note plus accrued interest shall<br />
become <strong>du</strong>e and payable unless prior to that time all such defaults<br />
theretofore existing shall have been cured.<br />
This note is not transferable.<br />
In case this Note shall at any time become mutilated, destroyed, stolen<br />
or lost, and such Note, or evidence of the destruction, theft or loss<br />
thereof (together with the indemnity hereinafter referred to and such<br />
other documents or proof as may be required in the premises) shall be<br />
delivered to the Corporation at its Head Office, a new Note of like tenor<br />
and date will be delivered by the Corporation in exchange for the Note<br />
so mutilated, or in lieu of the Note so destroyed, stolen or lost, but, in<br />
the case of any destroyed, stolen or lost Note, only upon receipt of evidence<br />
satisfactory to the Corporation that such Note was destroyed,<br />
stolen, or lost, and, if required, upon receipt also of indemnity satisfactory<br />
to it. All expenses and charges associated with procuring such indemnity<br />
and with the preparation, registration and delivery of a new<br />
Note shall be borne by the owner of the Note mutilated, destroyed, stolen<br />
or lost.<br />
In conjunction with the issuance of the Province’s Series (XX)<br />
Notes, the Corporation has agreed to pay (X) of the ongoing costs of<br />
that issue to the Province, which costs shall include but not be limited<br />
to, Note printing expenses, registrar and paying agency fees and normal<br />
administrative costs.<br />

signatures of its Chairman and one of its other <strong>du</strong>ly authorized signing<br />

RESOLUTIONS<br />
1. BE IT RESOLVED THAT the borrowing resolution of October<br />
29, 2003 be rescinded and replaced with the following resolution.<br />
2. BE IT RESOLVED:<br />
a) THAT under the authority of the Electric Power Act being<br />
Chapter E-5 of the Revised Statutes of New Brunswick, 1973,<br />
as amended, and for the purposes of New Brunswick Power<br />
Corporation (the “Corporation”) namely, to repay in whole or in<br />
part any short-term borrowing incurred to date by the Corporation<br />
related to the Coleson Cove Refurbishment project, the<br />
Corporation, subject to the approval of the Lieutenant-Governor<br />
in Council, do borrow money by the issue and sale from time to<br />
time to the Province of New Brunswick or in world capital markets<br />
of Debentures or Notes of the Corporation in the aggregate<br />
principal amount not to exceed $400,000,000 in lawful money<br />
of Canada at an all-in cost not to exceed a semi-annual equivalent<br />
yield of 5% and for terms to maturity not to exceed 6 years<br />
and do apply the net sums realized from the sale thereof for the<br />
purposes aforesaid, it being hereby declared that the issuance as<br />
aforesaid is necessary to realize the net sum required for the purposes<br />
of the Corporation aforesaid; and<br />

per<strong>du</strong> et que ledit billet ou la preuve de sa destruction, de son vol ou de<br />
sa perte (avec l’indemnité prévue ci-après et les autres documents ou<br />
preuves qui pourraient être exigés au préalable) est remis au siège social<br />
de la Société, celle-ci émettra un nouveau billet comportant la<br />
même échéance et la même date que l’original en échange <strong>du</strong> billet endommagé<br />
ou à la place <strong>du</strong> billet détruit, volé ou per<strong>du</strong>, mais si le billet<br />
a été détruit, volé ou per<strong>du</strong>, seulement sur réception par la Société<br />
d’une preuve suffisante de sa destruction, de son vol ou de sa perte et,<br />
si nécessaire, d’une indemnité qu’elle juge suffisante. Le propriétaire<br />
<strong>du</strong> billet endommagé, détruit, volé ou per<strong>du</strong> paiera les dépenses et les<br />
frais engagés pour l’obtention de l’indemnité ainsi que pour la préparation,<br />
l’enregistrement et la remise <strong>du</strong> nouveau billet.<br />
Dans le cadre de l’émission des billets de série (XX) de la province,<br />
la Société s’est engagée à payer au gouvernement provincial (X) des<br />
coûts permanents de ladite émission, lesquels comprennent notamment<br />
mais non exclusivement les frais de gestion, les frais d’impression des<br />
billets de série (XX) de la province et <strong>du</strong> prospectus ainsi que les frais<br />
d’administration normaux.<br />
EN FOI DE QUOI, la Société a fait apposer son sceau ainsi que la signature<br />
<strong>du</strong> président de son conseil d’administration et d’un signataire<br />

RÉSOLUTIONS<br />
1. IL EST RÉSOLU QUE la résolution d’emprunt <strong>du</strong> 29 octobre<br />
2003 soit abrogée et remplacée par la résolution suivante :<br />

a) QUE la Société, sous le régime de la Loi sur l’énergie électrique,<br />
chapitre E-5 des Lois révisées <strong>du</strong> <strong>Nouveau</strong>-Brunswick de<br />
1973, dans ses nouveaux termes, et pour les besoins de la Société<br />
d’énergie <strong>du</strong> <strong>Nouveau</strong>-Brunswick, notamment pour rembourser,<br />
en tout ou en partie, les prêts à court terme contractés à<br />
ce jour par la Société en rapport avec le projet de remise à neuf<br />
de la centrale de Coleson Cove, la Société, sous réserve de l’approbation<br />
<strong>du</strong> lieutenant-gouverneur en conseil, sous réserve de<br />
l’autorisation <strong>du</strong> lieutenant-gouverneur en conseil, emprunte<br />
des deniers en émettant et en vendant selon les besoins au gouvernement<br />
<strong>du</strong> <strong>Nouveau</strong>-Brunswick ou sur les marchés financiers<br />
mondiaux des débentures et des billets de la Société dont<br />
le principal aura valeur globale d’au plus 400 000 000 $ en<br />
monnaie ayant cours légal au Canada au cours de l’année financière<br />
2003-2004, le coût global de l’émission ne dépassant pas<br />
l’équivalent d’un rendement semestriel de 5 p. 100 et<br />
l’échéance n’étant pas supérieure à 6 ans, et qu’elle utilise le<br />
pro<strong>du</strong>it net de la vente desdites valeurs pour les besoins susmentionnés,<br />
étant enten<strong>du</strong> par les présentes que l’émission précitée<br />
est nécessaire à la réalisation <strong>du</strong> pro<strong>du</strong>it net exigé par les besoins<br />
de la Société;
