“Environmental Laws” means (i) Sections 25115, 25117, 25122.7 or 25140 <strong>of</strong> the<br />

California Health and Safety Code, Division 20, Chapter 6.5 (Hazardous Waste Control<br />

Law)), (ii) Section 25316 <strong>of</strong> the California Health and Safety Code, Division 20, Chapter<br />

6.8 (Carpenter-Presley-Tanner Hazardous Substance Account Act), (iii) Section 25501 <strong>of</strong><br />

the California Health and Safety Code, Division 20, Chapter 6.95 (Hazardous Materials<br />

Release Response Plans and Inventory), (iv) Section 25281 <strong>of</strong> the California Health and<br />

Safety Code, Division 20, Chapter 6.7 (Underground Storage <strong>of</strong> Hazardous Substances),<br />

(v) Article 9 or Article 11 <strong>of</strong> Title 22 <strong>of</strong> the California Administrative Code, Division 4,<br />

Chapter 20, (vi) Section 311 <strong>of</strong> the Clean Water Act (33 U.S.C. §1317), (vii) Section<br />

1004 <strong>of</strong> the Resource Conservation and Recovery Act, 42 U.S.C. §6901 et seq. (42<br />

U.S.C. §6903) or (viii) Section 101 <strong>of</strong> the Comprehensive Environmental Response,<br />

Compensation and Liability Act, 42 U.S.C. §9601 et seq.<br />

“Escrow” is defined in Section 304 <strong>of</strong> this Agreement.<br />

“Escrow Agent” means the escrow agent <strong>of</strong> the Escrow Company for the Conveyance.<br />

“Escrow Company” means First American Title Insurance Company acting out <strong>of</strong> its<br />

Santa Ana, California <strong>of</strong>fice.<br />

“Escrow Costs ” is defined in Section 304.4 <strong>of</strong> this Agreement.<br />

“Evidence <strong>of</strong> Financing” is defined in Section 408.1 <strong>of</strong> this Agreement.<br />

“Executive Director” means the Executive Director <strong>of</strong> Agency, or her designee.<br />

“First Gross Sales Revenue Threshold” means the sum <strong>of</strong> (i) Actual Construction<br />

Costs on the Housing Units, and (ii) Five Million Forty-Eight Thousand Eight Hundred<br />

Dollars ($5,048,800).<br />

“Governmental Requirements” means all laws, ordinances, statutes, codes, rules,<br />

regulations, orders and decrees, <strong>of</strong> the United States, the State <strong>of</strong> California, the County<br />

<strong>of</strong> Orange, the <strong>City</strong> and <strong>of</strong> any other political subdivision, agency or instrumentality<br />

exercising jurisdiction over Agency, Developer or the Site.<br />

“Grant Deed” means a grant deed by which Agency will convey the Site substantially in<br />

the form attached hereto as Attachment No. 6 and incorporated herein by this reference.<br />

“Hazardous Materials” means any substance, material, or waste which is or becomes<br />

regulated by any local governmental authority, the State <strong>of</strong> California, or the United<br />

States Government, including, but not limited to, any material or substance which is (i)<br />

defined as a “hazardous waste”, ”acutely hazardous waste”, “extremely hazardous waste”,<br />

or “restricted hazardous waste” under Section 25115, 25117 or 25122.7, or listed<br />

pursuant to Section 25140 <strong>of</strong> the California Health and Safety Code, Division 20, Chapter<br />

6.5 (Hazardous Waste Control Law), (ii) defined as a “hazardous substance” under<br />

Section 25316 <strong>of</strong> the California Health and Safety Code, Division 20, Chapter 6.8<br />
