set forth in Section 704 <strong>of</strong> the Agreement and (ii) Agency’s right to reenter, take<br />

possession <strong>of</strong>, and revest in Agency title to, the Site, as set forth in Section 705 <strong>of</strong> the<br />

Agreement and Section 3 here<strong>of</strong>.<br />

4.2 Permitted Transfers by Developer. Notwithstanding any other provision <strong>of</strong> this<br />

Agreement to the contrary, Agency approval <strong>of</strong> an assignment <strong>of</strong> this Agreement or<br />

conveyance <strong>of</strong> the Site, the Improvements, or any part there<strong>of</strong>, shall not be required in<br />

connection with any <strong>of</strong> the following:<br />

a. Any transfers to an entity or entities in which Developer or any entity<br />

controlled by or under common control with Developer, retains a<br />

minimum <strong>of</strong> fifty percent (50 %) <strong>of</strong> the ownership or beneficial interest<br />

and retains management and control <strong>of</strong> the transferee entity or entities;<br />

b. The conveyance or dedication <strong>of</strong> any portion <strong>of</strong> the Site to the <strong>City</strong> or<br />

other appropriate governmental agency, or the granting <strong>of</strong> easements or<br />

permits to facilitate construction <strong>of</strong> the Improvements; or<br />

c. The Initial Sales.<br />

In the event <strong>of</strong> an assignment by Developer under subparagraph (a) above not<br />

requiring Agency's prior approval, Developer nevertheless agrees that at least thirty (30)<br />

days prior to such assignment it shall give Notice to Agency <strong>of</strong> such assignment and<br />

satisfactory evidence that the assignee has assumed the obligations <strong>of</strong> this Agreement.<br />

4.3 Agency Consideration <strong>of</strong> Requested Transfer. Agency reserves sole and<br />

absolute discretion to approve or disapprove a request for Transfer made pursuant to this<br />

Section, upon Developer's delivery <strong>of</strong> written Notice to Agency requesting such approval.<br />

Such Notice shall be accompanied by sufficient evidence regarding the proposed<br />

assignee's or purchaser's development and/or operational qualifications and experience,<br />

and its financial commitments and resources, in sufficient detail to enable Agency to<br />

evaluate the proposed assignee or purchaser pursuant to the criteria set forth in this<br />

Section and as reasonably determined by Agency. An assignment and assumption<br />

agreement in form satisfactory to Agency’s legal counsel shall also be required for all<br />

proposed assignments. Within thirty (30) days after the receipt <strong>of</strong> Developer's written<br />

notice requesting Agency approval <strong>of</strong> an assignment or Transfer pursuant to this Section,<br />

Agency shall either approve or disapprove such proposed assignment or shall respond in<br />

writing by stating what further information, if any, Agency reasonably requires in order to<br />

determine the request complete and determine whether or not to grant the requested<br />

approval. Upon receipt <strong>of</strong> such a response, Developer shall promptly furnish to Agency<br />

such further information as may be reasonably requested.<br />

4.4 Assignment by Agency. Agency may assign or transfer any <strong>of</strong> its rights or<br />

obligations under this Agreement with the approval <strong>of</strong> Developer, which approval shall<br />

not be unreasonably withheld; provided, however, that Agency may assign or transfer any<br />

<strong>of</strong> its interests hereunder to the <strong>City</strong> or any public or private entity controlled by either<br />
