100. DEFINITIONS. All capitalized terms set forth in this Agreement shall have the<br />

meanings ascribed as follows:<br />

“Actual Gross Sales Revenues on Housing Units” means the aggregate, actual base<br />

sales prices for the Housing Units upon each Initial Sale, which prices shall include<br />

lot/view premiums but shall exclude buyer upgrades (the cost <strong>of</strong> which shall not exceed<br />

the costs set forth in the Schedule <strong>of</strong> Costs for Buyer Upgrades), title insurance, escrow<br />

and other similar costs <strong>of</strong> closing.<br />

“Actual Construction Costs” means the aggregate, actual construction costs calculated<br />

pursuant to the terms set forth in the Actual Construction Costs Addendum.<br />

“Actual Construction Costs Addendum” means the definition <strong>of</strong> Actual Construction<br />

Costs which is attached hereto as Attachment No. 12 and incorporated herein by this<br />

reference.<br />

“Additional Purchase Price” means the sum <strong>of</strong>:<br />

(i) twenty-five percent (25%) <strong>of</strong> the difference between (a) Actual Gross<br />

Sales Revenues on the Housing Units and (b) the First Gross Sales<br />

Revenue Threshold, and<br />

(ii) fifty percent (50%) <strong>of</strong> the difference between (x) Actual Gross Sales<br />

Revenues on the Housing Units and (y) the Second Gross Sales Revenue<br />

Threshold.<br />

“Additional Purchase Price Payment Date” means that date occurring ninety (90) days<br />

after the closing <strong>of</strong> the last Initial Sale.<br />

“Affordable Housing Cost” shall have the meaning ascribed to such term in each <strong>of</strong><br />

<strong>Anaheim</strong>’s Homebuyer Downpayment Assistance Programs in existence as <strong>of</strong> the<br />

Effective Date or as subsequently amended from time to time.<br />

“Affordable Housing Restriction Period” means that period commencing upon the<br />

recordation <strong>of</strong> the Affordable Housing Restrictive Covenant and terminating upon the<br />

forty-sixth (46th) anniversary <strong>of</strong> such date.<br />

“Affordable Housing Restrictions” means those restrictions imposed upon (i)<br />

Developer and the Site with respect to the Initial Sales, and (ii) the Affordable Housing<br />

Units during the Affordable Housing Restriction Period.<br />

“Affordable Housing Restrictive Covenant” means generally, the covenant restricting<br />

the use and resale <strong>of</strong> each Affordable Housing Unit which will be recorded against each<br />

Affordable Housing Unit upon the respective Initial Sale in accordance with Section<br />

504.2 (E) <strong>of</strong> this Agreement and means specifically, the restrictive covenant or covenants<br />
