MANUAL I ORGANISATION, FUNCTIONS AND DUTIES<br />
<strong>of</strong> <strong>India</strong> in view <strong>of</strong> the fact that the President <strong>of</strong> <strong>India</strong> is the shareholder, the<br />
appointment <strong>of</strong> the Directors <strong>and</strong> the terms <strong>and</strong> conditions <strong>of</strong> appointment are<br />
regulated by the President under the articles <strong>of</strong> association <strong>of</strong> the <strong>Corporation</strong>. <strong>The</strong><br />
nominated Directors normally hold <strong>of</strong>fice at the discretion <strong>of</strong> the Government<br />
appointing them. <strong>The</strong> Directors <strong>of</strong> the <strong>Corporation</strong> are appointed by the President <strong>and</strong><br />
they hold <strong>of</strong>fice at the discretion <strong>of</strong> the President. <strong>The</strong> Board <strong>of</strong> <strong>Cotton</strong> <strong>Corporation</strong><br />
<strong>of</strong> <strong>India</strong> includes the Managing Director, Functional Directors <strong>and</strong> part time Directors<br />
as well as non-<strong>of</strong>ficial directors. <strong>The</strong> Articles <strong>of</strong> Association <strong>of</strong> the <strong>Corporation</strong><br />
provide the maximum <strong>and</strong> minimum <strong>of</strong> directors, depending upon the activities <strong>of</strong> the<br />
undertaking. As per Article 88 (1) <strong>of</strong> the Articles <strong>of</strong> Association <strong>of</strong> the <strong>Corporation</strong>,<br />
maximum numbers <strong>of</strong> Directors are 12 <strong>and</strong> minimum are 4. One Chief Vigilance<br />
Officer is appointed by Government <strong>of</strong> <strong>India</strong> on deputation. Through various<br />
resolutions <strong>and</strong> decisions <strong>of</strong> the Board, following functionaries are responsible for<br />
day-to-day affairs <strong>of</strong> the <strong>Corporation</strong>;<br />
i) Chairman Cum Managing Director:<br />
He <strong>functions</strong> under the control <strong>and</strong> supervision <strong>of</strong> the Board <strong>of</strong> Directors, enjoys<br />
the delegated powers <strong>of</strong> the Board for day-to-day management <strong>and</strong> affairs <strong>of</strong> the<br />
<strong>Corporation</strong>.<br />
ii) Director (Finance):<br />
He heads the Finance <strong>and</strong> Accounts Division <strong>of</strong> the <strong>Corporation</strong> <strong>and</strong> also various<br />
other sections like Secretariat, Internal Audit, Administration, C&F, Estate <strong>and</strong><br />
supervision over Finance <strong>and</strong> Accounts activities <strong>of</strong> all Branch Offices.<br />
iii) Director (Marketing):<br />
He is responsible for organising, supervision <strong>and</strong> control <strong>of</strong> all the field operations<br />
relating to procurement <strong>of</strong> kapas <strong>and</strong> sale <strong>of</strong> cotton, through the network <strong>of</strong><br />
Branch Offices including supervision over sections like Purchase, Sales.<br />
iv) Chief Vigilance Officer:<br />
He heads the Vigilance division at Head <strong>of</strong>fice <strong>and</strong> a network <strong>of</strong> Vigilance Officers<br />
posted at various Branch Offices.<br />
<strong>The</strong> two Directors <strong>and</strong> Chief Vigilance Officer report directly to the Managing<br />
Director <strong>of</strong> the <strong>Corporation</strong>.<br />
Apart from various sections at Corporate Office level, the core activities <strong>of</strong><br />
marketing <strong>of</strong> cotton are carried out through a network <strong>of</strong> Branch <strong>of</strong>fices located in<br />
various cotton growing states as also in states having cluster <strong>of</strong> textile mills located<br />
